WE, G.K BLACKWALL LTD AS JOINT BUYER WITH KODAI CO. REPRESENTED BY Mr. EDWARD GREGORY , EXPRESS OUR
INTEREST TO PURCHASE THE FOLLOWING PRODUCT AT THE TERMS AND CONDITIONS:

Product: Steam Coal (Non Coking)

Quantity: 50,000MT +/-5% Trial +100,000MT x12Month
Specification in compliance with the specs attached. (Attachment A)
Contract Duration: Trial Order +12 Month
Incoterms: CIF China Main ports
Packing: Bulk
Payment Terms: 90% + 10% sight L / C
Target Price: CIF -Fixed Price
PB: Seller issue 2%PB as delivery guarantee instrument.
Inspection: SGS inspection for quantity and quality in loading port, CIQ inspection in destination port.
Procedure:
1. 1. Buyer Submit LOI.
2. 2. Seller issue FCO
3. 3. Buyer returns signed and stamped FCO and issues Draft Contract and
Draft LC with full banking details.
4. 5. Seller & Buyer signing Electronic Draft Contract
5. 6. Buyer make site visit (Mine/stockpile/Jetty) if require.
6. 7. Satisfied with the visit and coal quality, Buyer and seller sign Hard
copy of Contract based on electronic contract agreed.
7. 8. Buyer issue LC
8. 9. Shipment commences as per contract.

We understand that any and all offers and/or contract are subject to successful verification of funds
availability. Upon contract confirmation we shall issue draft
letter of credit and subsequently give permission for seller to conduct a soft probe of our account subjecting
to price and condition before reaching final agreement.

Please confirm officially the acceptance of our letter of intent by October 30th 2021 via domain email.
And your assistance with the following is appreciated and necessary.

1. Submission latest of COA ~ BL. At least 2 copies.

2. Where COA ~ BL is not available please provide latest ROA.
3. Company Profile and Company information
Please also provide to us preliminary draft contract that will be subjected to final changes for this sales and
purchase agreement.
