4. Document objective

1.1 The purpose of this document is to propose a 575.92 kWp Solar PV roof-top power system on the roof for client BDB
Building E & F, with site in BKC, Mumbai, Maharashtra. This document aims to provide details for the engineering
manufacture, supply, installation, testing, and commissioning of the above-mentioned capacity solar power plant.

9. System Configuration

1.5 The philosophy adopted in the design of this plant has been broadly based considering the guidelines and the concept
of optimization in terms of the technical design resulting in ideal Yield and Performance Parameters and Economics
of the Project. The general dimension details of the building & the free space for solar installation has been derived,
from Google Earth Application, discussions during our meeting and we have the finalized capacity of 575.92 kWp

10. Design Methodology

Few details from our design process are presented as follows:


1.6 Optimal Plant design: The shadow free area required for installing the 575.92 kWp solar PV power plant is
approximately 3,200 Sq. meter. This excludes the Control Room.
1.7 For a complete reliable system and to ensure high energy yield from the plant, innovative components with latest
technology are selected. The inverter that is selected is of very high efficiency over a wide range of load. The inverter
operates with >96% efficiency.
1.8 We have adopted the best engineering practices for complete cable routing in the power plant by using Optimum
cable size and length while connecting strings to ensure plant cable losses are minimum.
1.9 The junction boxes wherever necessary proposed are completely prewired to ensure ease of installation,
maintenance and eliminates any installation hassles. These junction boxes combine the DC power from strings. These
are IP 65 type.

*Tech Solar is committed to supplying above mentioned BoM, however in case of shortage/unavailability/any restrictions by Indian Govt. and/or
any market volatility/abnormalities may result in non-availability of said brands as well as the size of modules may be subject to change
thereby the overall system size may also change. Hence, commercial closure can be done on a per Wp basis and not an absolute figure which
will take care of any change in the system size. If this does happen, Tech Solar shall submit available product/s for approval to the client and
based on the said approval shall supply the material and commission the project.

1.10 Price has been finalized at Rs. 53.70/Wp. In case there is any chance in the system size from the above
mentioned 575.92 kWp the same will be multiplied by Rs. 53.70/Wp to determine the final value plus
requisite GST. For example, if 1 kWp additional system is finalised as per availability then there would be
1000 Wp x 53.70 = Rs.53,700 + GST applicable and payable by BDB.
1.11 Monocrystalline prices and Steel prices are extremely volatile. At the time of finalisation of order if there

1.13 If any extra super structure, LT Panel along with spare feeder is required, the same will be charged on
actuals, and the charges of the same is not included within the scope of this offer.
1.14 Due to Ukraine war crisis, all metal & import material costs have gone up exponentially. Please note this
Offer No: 20220225 Capex Dt. 25-02-2022 is Valid for 3 days only due to high volatility in price of materials
in the market. Post the price offered in the quote will be null and void.
1.15 If at the time of delivery of solar PV module, if there is any change/imposition/ anti-dumping/ safeguard/
similar duty if it is imposed /altered /changed by government it will be applicable accordingly and will be
in client’s scope.
1.16 The price of imported inverters, are based on considering the exchange rate of €1 = INR 85. The price of
imported modules is based on considering the exchange rate of $1 =INR 75. If there is any change in the
exchange rate of over 2% than the amount mentioned here in above the same may impact the project cost
and will be to the client’s account.
1.17 AMC shall be bound by the terms & conditions of a separate annual maintenance contract to be signed
between both parties.

7. General Assumptions & Responsibilities & Scope of work


The following are the general assumptions, mutual responsibilities, and operational conditions for
the proposed power plant project.

1.18 ASSUMPTIONS
1.18.1 Clear Shadow free area required for the 575.92 kWp PV modules array.
1.18.2 The roof and support structure have adequate strength for the proposed solar system installation.
1.18.3 Evacuation point is not more than 280 m distance for each tower. Irrespective of number of run of
AC cable be it 1 or more, the total quantum of AC cable considered in our offer herein above is 560
Mtr in total. Any extra cable apart from 560 meters will be charged extra at actuals and to the
client’s account.
1.18.4 If for any reason, the roof structure/ tin shed/ trapezoidal sheet / GI sheet gets damaged simply
by personnel walking on them to install the solar equipment or if any kind of holes, contusions,
dents etc. are formed of any nature. The same will be rectified by the client at its mown cost. Any
water seepage/ leakage due to such damage shall be to the client’s account.
1.18.5 If any changes of any kind are required to the roof sheet and/or purlin support structures and/or
roof structure in any way, the same will be carried out by the client prior to and/or during the
construction of solar plant as the case may be. All the cost associated with the same shall be to
the client’s account.
1.18.6 The mounting structures are selected considering specifications given by the client.
1.18.7 The Scope of supply is expressly limited to only to materials mentioned here in above, any item
and/or service not mentioned within this quotation shall be deemed to be outside our scope.
1.18.8 Tech solar shall assist the client as far as possible with their net-metering application and
documentation. Legally and otherwise, the onus of application for net-metering, and all charges
associated with the same lies with the consumer/ client.
1.18.9 An area with proper ventilation will be provided to house the inverter systems
1.18.10 The system is designed and proposed as per present conditions, any inaccuracies, inadequate
information, incorrect information provided by the client may lead to extra cost and the same will
be borne by the client.
1.18.11 The make of solar panels, inverters and other components are indicative and Tech solar reserves
the right to select any of the makes or equivalent at their discretion.

1.19 EXCLUSIONS
1.19.1 The roof structure on which the solar panels mounting structures would be mounted. Any change
in the roof structure prior or post installation Is not in Tech Solar Scope
1.19.2 Any other items are not mentioned in the above scope of supply.
1.19.3 Construction of control room and lying of the output cables from control box to the loads.
1.19.4 Any and All kind of civil work at site shall be in consumer’s scope..
1.19.5 All requisite permissions, if any, for installation of the system have to be provided by client.

1.20 CUSTOMER SCOPE


1.20.1 Appropriate RCC / metal shed which can withstand personnel and equipment loads while
installation and post installation as well.
1.20.2 Clear shadow free roof area for installation.
1.20.3 Room /Area for placing the inverter in electric room should be provided by customer. Ventilation
and exhaust fans have to be provided by customer for the inverter room.
1.20.4 Provision of any and all type of cable tray arrangement from ACDB panel to LT Panel (evacuation
point) shall be to the BDB’s scope.
1.20.5 Security of Material is in the scope of the client prior and post installation.
1.20.6 All statutory approvals shall be obtained by the customer.
1.20.7 MMRDA permission/ Fire NOC/Airport authority NOC/ NOC from power supply company will be in
BDB's Scope
1.20.8 Customer shall assist connection from inverter to LT panel.
1.20.9 Ladder/ Charges for ladder facility should be provided, in order to transport personnel and
material to rooftop of site and also for post installation maintenance.
1.20.10 If applicable -Computer hardware to be provided by the customer for data logger.
1.20.11 Provision and Laying of Dedicated IP (internet line for Data Monitoring) up to the point of data
logger Monthly charge for internet connection is not a part of this quote, O & M or warranty period.
1.20.12 Storage Room Free of cost at site for the entire duration of the project to store all the materials
for the project.
1.20.13 Security of the material stored at customer location in customer scope for the entire installation
period
1.20.14 Electricity and water for construction, should be provided free of cost during installation of the
project at one or multiple points, as may be needed.
1.20.15 Electrical Connection to various points for construction/installation during the course of the
project implementation free of cost.
1.20.16 Any modification on the roof / roof sheeting / self-drilling of the screws of the roof to be carried
out (any screws not related to Solar mounting structure) lies in the scope of the client and to their
account.
1.20.17 Any and all charges, relating to net meter, meter changing, net metering application to DISCOM,
Liaising, out of pocket expenses or any other charges relating to the same shall be to the client’s
account.
1.20.18 Daily cleaning of the PV modules without causing any damage is to the client’s scope adequate
water source / Point at each roof location for panel cleaning purpose.
1.20.19 The client should provide safe access via ladder/ any other means to the rooftop/ installation area
for transportation of manpower and equipment, materials.

1.21 TECHSOLAR SCOPE


1.21.1 Supply of complete system.
1.21.2 Design, detailed planning, execution, and testing of the project.
1.21.3 One – time Training to the maintenance personnel, minor civil work at site.
1.21.4 CEIGS Liaisoning work. (Any statutory fees, deposits required shall be paid by BDB only).
1.21.5 Workman insurance will be provided only for workmen working directly with Tech Solar.

9. TERMS AND CONDITIONS

1.22 GENERAL
1.22.1 All spot prices are in INR (Indian Rupees).
1.22.2 Terms and conditions on this Purchase Order(s) have been mutually discussed and agreed upon
between the client and Tech Solar Solutions Pvt. Ltd. Any pre-printed terms, or any terms listed
on Customer's purchase order(s) or other documents that Tech Solar does not specifically and
expressly accept, in writing, are expressly rejected.
1.22.3 Once the order is awarded there will be no changes in the timelines or supply or material or
scope of work what so ever. Any changes agreed will be charged at extra upon mutual agreement
of both parties and Tech Solar will not be obliged / liable to the completion of the works if an
agreement will not be reached by both parties. In this case, client has to pay in full for the supply
of material irrespective of delivery and not only of the full or part supply of the materials and
works delivered.

1.23 TAXES/LEVIES
1.23.1 This quote is inclusive of GST (however at the time of delivery if any taxes are applicable the same
will be charged and will be to the clients account).
1.23.2 Any taxes applicable or new taxes implemented including but not limited to BCD (Basic Custom
Duty) or any such taxes, debts, custom duties, etc., of any kind whatsoever, the same shall be to
the client’s account and the same shall be applicable at any point in time prior to delivery of
material even if the same comes in to effect post commercial closure and issuance of the order.

1.24 DELIVERY, INSTALLATION, AND TRANSPORTATION


1.24.1 Delivery: Freight on Board, CLIENT SITE AT, BKC, Mumbai, Maharashtra
1.24.2 Transport to client site in BKC, Mumbai, Maharashtra is included in our offer quoted above. The
customer will be responsible for providing the requisite road permits, if applicable.
1.24.3 There should not be any works/ obstruction / intervention or any changes in the roof, roof-
sheeting, self-drilling of the screws or any other works carried out on the roof top and/ or
inverter room and/or any workspace designated for full or part of the installation once the goods
are delivered or during installation, any works must be completely finished prior to acceptance
of delivery of any / part of goods. This will lead to delay in delivery period and completion of
project and extra charges due to delay will be to clients account as per the rate determined by
Tech Solar at that time.

1.24.4 At the time of delivery if any other taxes or duties are applicable and/ or if there are any changes
to the existing tax applicable, the same shall be extra and chargeable to the client.
1.24.5 Unloading and storage of material at client site shall be under client scope.

1.25 WARRANTY
1.25.1 All products provided will have only manufacturer's warranty. Consumables will not be covered
in warranty such as Fuses, SPD, Air-filters etc.
1.25.2 Tech Solar Solution Pvt. Ltd. will provide a one-year Warranty on installation (This Warranty
becomes null and void in case of loss/damage to the system due to High pressure on Panels,
Strike, Natural disaster or any damage caused in result of those).
1.25.3 It is important to note that Tech Solar can only provide warranty for the products it supplies, for
the batteries, inverter and any other parts that the customer supplies will not be in the scope of
our warranty.
1.25.4 Further if the system performance is affected due to components / parts supplied by the client, in
such a case, Tech Solar cannot be responsible for the same.
1.25.5 Tech Solar shall only One-time train client staff in maintaining, repairing frequently occurring
issues thoroughly and assists in case any major issues raised during warranty period of one-year
FOC and assist in replacing components after one year at applicable charges. If the trained
representative of the client changes and the client appoints a new or more approved trainee, then
it will be charged extra by Tech Solar.
1.25.6 Once installed usage of system should be subject to terms of the Tech Solar Support Agreements.

1.1 PAYMENT TERMS

Supply Part:

1.1.1 A token amount of Rs. 10 Lakhs (Ten Lakhs) shall be paid as advance along with clear confirmed
Purchase Order & Work Order.
1.1.2 Post inspection/approval, Tech Solar will be given Rs. 40 Lakhs (Forty lakhs) as advance against
supply of panels against P.I.
1.1.3 Immediately on delivery of panels amounting to/having value of 40/50 lakhs (Forty/Fifty Lakhs)
from Mumbai warehouse to BDB site another advance of 40/50 lakhs (Forty/Fifty Lakhs) shall be
paid to Tech Solar by BDB to supply the next lot of panels against P.I. This process shall continue
till all panels are delivered at BDB site.
1.1.4 For Balance of materials such as inverters, structures, wires & cables etc Tech Solar shall make
the same ready for dispatch and at such stage ask BDB to issue advances to a maximum of Rs. 50
Lakhs and Tech solar shall deliver the materials post realisation of advance prior to dispatch.
1.1.5 It is expressly understood and agreed that at any point in time the maximum advance payable by
BDB to Tech Solar shall not exceed Rs. 50 lakhs (Fifty Lakhs).
1.1.6 5% payment shall be kept as retention amount and shall be payable after completion of one-year
DLP period (This can be released against submission of PDC of the same amount).
1.1.7 If there is any amount due to be paid to Tech Solar post the above (1.1.1 to 1.1.7) the same shall be
immediately paid to Tech Solar once all the material has been delivered at site. Apart from the 5%
retention amount as mentioned in 1.1.8 herein above.

Installation Part:

1.1.8 25% against Mobilization at site.


1.1.9 50% after installation of material.
1.1.10 25% after commissioning of project.

1.2 ESTIMATED TIME FOR PROJECT EXECUTION


1.2.1 Project execution is estimated to take 4-4.5 months subject to availability of all materials at site.
1.2.2 Delivery time may change due to circumstance, which are beyond our control like Strike, Bundh,
Natural disaster., CEIGS approvals, any type of governmental restrictions, etc.

1.3 OPERATIONS AND MAINTENANCE (O&M)


1.3.1 Operations and Maintenance Contract for year 1 is free. For year 2 cost shall be Rs. 1,61,693 +
requisite GST. Thereafter, from year 3 to year 20 there will be a 5% escalation on the basic value
of the previous year, year on year basis. This is not a part of the purchase order value.

1.4 FORCE MAJEURE


1.4.1 The following circumstances shall be regarded as cases of force majeure if they occur after
acknowledgement of order and if they are beyond Tech Solar’s reasonable control such as but not
limited to the act of God, war, riots, civil commotion, storm, floods, fire, pandemic/epidemic, any
type of governmental restrictions and industrial disputes and any other circumstances whatsoever
beyond reasonable control of Tech Solar Solutions Private Limited.
1.4.2 Upon occurrence of a Force Majeure event, the obligations of Tech Solar Solutions Pvt. Ltd shall
be suspended during the subsistence of such event and Tech Solar Solutions Pvt. Ltd shall be
entitled to suitable time extension not less than the period for which Tech Solar Solutions Pvt. Ltd.
is prevented from or delayed in complying with its obligation due to such force majeure, including
a reasonable time required for de-mobilization/ re- mobilization.

1.5 LIMITATION OF LIABILITY:

1.5.1 Notwithstanding anything contained in this offer, its appendices or orders to the contrary, with
respect to any and all claims arising out of the performance or non-performance of obligations
under this offer or purchase orders, whether arising in contract, tort, warranty, strict liability or
otherwise, Tech Solar’s liability shall not exceed in the aggregate 10% of this P.O. value or
payments received against this P.O. Whichever is lower.

1.6 CONSEQUENTIAL LOSSES:


1.6.1 Tech Solar Solutions Pvt. Ltd. shall in no event be liable for loss of profit, loss of revenues, loss
of use, loss of production, costs of capital or costs connected with interruption of operation, loss
of anticipated savings or for any special, indirect or consequential damage or loss of any nature
whatsoever.
1.6.2 Further Tech Solar’s liability does not extend to consequential damages either direct or indirect or
expenses for repair or replacements or otherwise paid or incurred without our authority. Tech
Solar accept no liability for defects or depreciation caused by damage due to lightning, rain,
neglect, misuse or other abnormal conditions directly to circumstances beyond our control.
1.6.3 There shall be no liability for either party towards the other party for loss of production, loss of
profit, loss of use, loss of contracts or for any other consequential or indirect loss whatsoever

1.7 ARBITRATION:
1.7.1 All disputes arising in connection with this offer and subsequent Purchaser Order, shall be finally
settled and governed by the provisions of Arbitration and Conciliation Act, 1996. The arbitration
panel shall consist of three arbitrators, one to be appointed by each Party and the third arbitrator
shall be appointed by the two appointed arbitrators. The third arbitrator shall serve as a chairman.
1.7.2 The award of the arbitral tribunal shall be final and binding on both Parties. The place of arbitration
shall be Mumbai, India. The proceedings shall be conducted in English language.

1.8 CANCELLATION:
1.8.1 Tech Solar reserves the right to cancel this offer by giving written notice to BDB Building E & F in
the event of delayed payments, delayed permissions, delayed access to site caused due to

obstructions by buyer’s direct/in-direct contractor/s or employee/s of the terms and conditions

1.9 Operation and Maintenance (Optional for CAPEX) (Schedule & Terms):

1.9.2 The charges for inspection, visiting and rectifying any problems other than consumables within
the manufacturer’s warranty period will be handled by Tech Solar.

10. Annexure 1 – Basic Description of Main Plant Equipment:

1.10 A solar photovoltaic module is constructed from individual solar cells. To carry the same power a
higher system voltage is advantageous since the system will carry relatively lower current, reducing
the cable losses. Higher system voltage is created by connecting the solar PV modules in series. The
modules connected in series are known as strings. The strings are connected to the Array Junction
Boxes (AJBs) and the AJBs are connected to the inverters. The inverter converts the Direct Current
generated from the SPV system to Alternating Current. The AC power from the inverters are fed into
LT panel and then to the transformer through isolators and circuit breakers.

The grid connected SPV power plant will consist mainly of the following components, but will not be
restricted to the same:

It may be noted that the design parameters like ratings, type, quantities etc. described in this report
are indicative. Necessary changes could occur as the detailed engineering of the plant progresses,
as these depend very much on the availability of the same at the time of placement of order. However,
the performance of the system will not have any major deviation.

1.11 Civil Works

The civil work must be executed keeping in mind the following:

1.12.1 The mounting structure will be so designed to hold suitable number of modules in series. The frames
and leg assemblies of the array structures are to be made of MS. Stainless steel make nuts and bolts
should be used.
1.12.2 Most photovoltaic modules are designed to last for about 25 years or longer with proper maintenance
schedule. It is important that the other components in the system, including mechanical components,
have to be replenished from time to time to maintain lifetime equivalent to those for the PV modules.
It is also important that the mechanical design requirements of the system be consistent with the
performance requirements as well as with the operational requirements of the system. More
specifically, the mechanical design should involve:

1.12.3 Determining the mechanical forces acting on the system.


1.12.4 Selecting, sizing and configuring structural members to support these forces
1.12.5 Selecting and configuring materials that will not degrade or deteriorate unacceptably over the life
of the system.
1.12.6 Locating, orienting and mounting the photovoltaic array so that it has adequate access to the sun’s
radiation, produces the required electrical output and operates over acceptable PV cell
temperature ranges.
1.12.7 Designing an array support structure that is generally aesthetically appropriate for the site and
application and provides for ease of installation and maintenance.

1.12.8 The mechanical system to be provided should affect the array performance in several ways:
1.12.9 Increasing the amount of incident solar radiation
1.12.10 Avoid shading
1.12.11 Allowing the array to operate at lower cell temperatures

a. Based on the above-mentioned criteria the module mounting structure would be designed with a state-
of-the-art technology which describes the withstanding capacity of TCPy wind speed and gathering
maximum sun light with the optimum tilt angle. A single structure will hold all the modules. The modules
will be sited on the structure in landscape basis and one upon another.

ON TO US, WE WOULD THEN SUPPLY THE STRUCTURAL DRAWING TO YOU FOR APPROVAL FROM YOUR CIVIL
ENGINEER.

1.13 Solar PV Modules


1.13.1 The modules should be IEC 61215 and IEC 61730 certified or equivalent. Modules supplied for the power
plant should be made of crystalline silicon Solar cells. The SPV Modules has been tested & certified
by an independent international testing laboratory. The module frames shall be made of corrosion
resistant material, which shall be electrically compatible with the structural material used for
mounting the modules. The module shall be provided with a junction box with provision of external
screw terminal connection and with arrangement for provision of by-pass diode. The box should have
hinged, weatherproof lid with captive screws and cable gland entry points.

1.14 Grid Connect Arrangements


1.14.1 An energy meter may be installed in between the solar grid inverter and the building distribution
board to measure gross solar AC energy production (the “Solar Generation Meter”).

1.15 Cables
1.15.1 The size of the cables between solar array interconnections, solar array to junction boxes, Junction
boxes to Solar PCU side and Solar PCU to battery bank etc. shall be so selected to keep the voltage
drop and losses to minimum. All the cables supplied will be conforming to IS 694 or equivalent and
will be 650 V / 1.1 kV grade or as per Single Line Diagram.

1.15.2 The bright annealed 99.97% pure bare copper conductors that offer low conductor resistance, FRLS
PVC UV grade insulated single core wire, thereby resulting in lower heating and increased life, are

considered. These wires are insulated with a special grade PVC compound formulated and
manufactured in-houses. The skin coloration offers high insulation resistance and long life.

1.16 Solar Inverter


1.16.1 The heart of the system is the inverter. The inverter converts the DC power to AC power to facilitate
feeding into the grid. In addition, it performs many other functions. The system exports power to the
grid when the DC output from solar array is available. The 3 Ph output voltages and current are
sinusoidal with low total harmonic distortion meeting IEC 61683 & IEC 60068 standards.

1.16.2 Inverter should be having efficiency levels of 90% and above. The inverter capacity should be derived
by the vendor after proper permissions from the competent authority. The output power factor of the
inverter should be of suitable range to supply or sink reactive power. The inverter shall have internal
protection arrangement against any sustained fault in feeder line and lightning in feeder circuit. The
inverter should be three phases static solid-state type power conditioning unit. Both AC & DC lines
shall have suitable fuses and contactors to allow safe start up and shut down of the system. Fuses
used in the DC circuit should be DC rated. The inverter shall have provision for input & output isolation.

1.16.3 Inverter may have arrangement for adjusting DC input current and should trip against sustainable
fault downstream and shall not start until the fault is rectified. Inverter front panel shall be provided
with display (LCD or equivalent) to monitor the following:
• DC power input
• DC input voltage
• DC current
• AC power output
• AC voltage (all the 3 phases and line)
• AC current (all the 3 phases and line)
• Power factor
1.16.4 Provision may be available in the inverter for Remote Monitoring of all the parameters mentioned
under paragraph above and other important data. As the application is grid connected, the three Phase
inverter should be synchronized with Grid frequency of 50 Hz at 400 V AC voltage with more than 90%
efficiency.
1.16.5 The array structures of the PV yard will be grounded properly using adequate number of earthing kits.
All metal casing / shielding of the plant shall be thoroughly grounded to ensure safety of the power
plant. Provision will be made for shorting and grounding of the PV array at the time of maintenance
work.

1.17 Monitoring Systems


1.17.1 Computer Aided Data Acquisition Unit shall have features for simultaneous monitoring and recording
of various parameters of different sub-systems, power supply of the Power Plant at the DC side and
AC side. The unit shall be a separate & individual system comprising of different transducers to read
the different variable parameters, A/D converter, Multiplexer, De-multiplexer, and Interfacing
Hardware & Software. Reliable sensors for Solar Radiation, Temperature and other Electrical
Parameters are to be supplied with the data logger unit.
1.17.2 The data acquisition system shall perform the following operations, it includes the measurement and
continuous recording of-
• Ambient Air Temperature near Array Field
• Inverter Output
• System Frequency
• DC Bus output
• Energy delivered to the GRID in kWh

1.17.3 All data must be recorded chronologically date wise. The data logger shall have internal reliable
battery backup to record all sorts of data simultaneously round the clock. All data are to be stored in
a common work sheet chronologically. Representation of monitored data in graphics mode or in
tabulation form will be displayed on the computer screen or can be printed out. All instantaneous data
