(hereinafter called "Company and/or Airgigafiber net", which expression shall unless
it be repugnant to the meaning or context thereof, be deemed to include its
predecessors, successors and permitted assigns) of the One Part,

And

to as the " Local Cable Operator" “LCO” which expression shall unless it be
repugnant to the meaning or context thereof, be deemed to include the heirs,
executors and administrators in the case of a sole proprietorship; the successors and
the partner or partners for the time being and the heirs, executors and administrators
of the last surviving partner in the case of a partnership firm of the OTHER PART

WHEREAS, The Parties have entered into the FRANCHISEE AGREEMENT dated
__________ 2022 (“Original Agreement”) and

And whereas, parties now desire to amend certain terms of the original agreement
related to consideration to the franchisee and taxes in case of network migration of
Company’s existing broadband customers to Franchisee’s Network.

NOW, THEREFORE, the parties hereto agree to add Following in the Original
Agreement:

Added to Para F (b) (Consideration To The Franchisee And Taxes):

In specific Tariff Plans , designated as “Airgigafiber Prepaid Plan“ by the Company

from time to time , The Service Fee for Local Cable Operator shall be up to 70% of net
revenues (excluding taxes , license fees) collected from the Company’s Subscribers
acquired , installed , connected and maintained by Franchisee in the area
mentioned in Schedule - A hereto .

In case any Service Fee is payable to Distributor under this Agreement, then the
Service Fee for Local Cable Operator shall be reduced by the same amount.
For avoidance of doubt, Total Service Fee due to Local Cable Operator & Distributor
for each Airgigafiber Prepaid Plan shall be explicitly mentioned on Airgigafiber Prepaid
Plan release note along with plan details and terms of usage. The Service fee shall be
inclusive of GST as applicable.

Prepaid Plan shall be available for Sale by the Franchisee’s/ Local Cable Operator’s
personnel only.

In case LCO partner is unable to provide connectivity and services, as per the scope of
work enlisted in the Agreement, for entire duration of the validity of Tariff plan, Pro-
rata amount of the balance validity period shall be reversed and deducted from
Service Fee.

In case of Service Waiver , Refunds or any Penalty applied by Government due to

deficiency in Service provided by the Franchisee , the same shall be payable by
Franchisee and shall be deducted from Service Fee .

All other terms & conditions of the Agreement shall remain unchanged.

IN WITNESS WHEREOF, the parties hereto have set their hands at Mumbai, the
