EMPLOYEE NON-DISCLOSURE AGREEMENT

KNOW ALL MEN BY THESE PRESENT:

This Employee Non-Disclosure Agreement is entered into by and between:

___________________, a non-profit, non-stock educational institution organized

and existing under and by virtue of the laws of the Republic of the Philippines,
with principal office address at No. 2 Cannon Road, New Manila, Quezon City,
herein represented by its Vice President, ______________ and hereinafter referred
to as the EMPLOYER.

- and –

______________________ of legal age, single and a resident of # _________________

_____________ and hereinafter referred to as the EMPLOYEE.

WITNESSETH THAT:

WHEREAS, confidential and classified information are necessarily disclosed in the course
of employment of the employee;

WHEREAS, materials and processes may be created or developed by the employee in the
course of his employment;

NOW THEREFORE, for and in consideration of the foregoing and the covenants hereinafter set
forth, the Employee hereto agrees as follows:

1. CONFIDENTIALITY

1.1 The Employee acknowledges that in the course of his employment by the (Name of
Employer), he will be exposed to valuable confidential and classified information of
the (Name of Employer).

1.2 Employee agrees to treat all such information as confidential and to take all necessary
precautions against disclosure of such information to third parties during and after
the term of this Agreement.

1.3 Employee acknowledges that confidential information of the (Name of Employer)

will consist of but will not be necessarily limited to:

1.3.1 Financial Information: Funds collected, sources of these funds, including

names of donors, funds disbursed for the needs of the (Name of Employer)
and the (Name of Employer) projects.
1.3.2 Internal Information: conversations and comments of priests, health status
of priests and brothers, internal affairs of the Priory.

1.4 Employee understands that this Agreement does not and will not prevent him/her
from working for any other Organization subsequent to the termination/end of his/her
employment with the (Name of Employer) as long as the Employee does not use or
disclose any such confidential and proprietary information.

2. USE
 1.1 Employee shall not use the Confidential and classified information of the(Name of
Employer), except to the extent necessary to provide services or goods requested by
the(Name of Employer).

3. ENFORCEMENT

3.1 The Employee agrees that if he commits a breach of any of the provisions of this Agreement,
the (Name of Employer) shall have the right to enforce this Agreement in any court having
equity jurisdiction.
3.2 The Employee acknowledges and agrees that any such breach of this Agreement will cause
irreparable injury to the (Name of Employer) and that monetary compensation for damages
will not provide an adequate remedy. In addition, the (Name of Employer) shall exercise all
the rights and remedies available under the law.

4. TERMINATION

4.1 All materials furnished by the (Name of Employer) to the Employee and all materials
prepared by Employee in connection with his/her employment, including but not limited to
documents, models, source code, designs, flowchart and listing, along with all copies made
thereof, shall be returned promptly to the (Name of Employer) upon termination/end of
Employee’s employment.

5. OWNERSHIP

5.1 The Employee agrees that all developments made and works created by Employee or under
Employee’s direction in connection with the(Name of Employer)’s assignments shall be the
sole and complete property of the (Name of Employer) and that all copyrights and other
proprietary interests therein shall belong to the(Name of Employer), and that the other
provisions of this agreement shall fully apply to all such development and works.

6. BINDING AGREEMENT

6.1 If any of the provisions of this Agreement becomes void for any reason, the undersigned
accepts that it may be severed without affecting the validity or enforceability of the other
provisions thereof.

This Agreement shall be binding upon and inure to the benefit of the parties, their
successors, assigns, and personal representatives, this _______ day of _________, 2020.
