Organization

Holdingsella Properties was organized and formed on February 10, 2029, in the City of Olney, Texas.

Parties

This OPERATING AGREEMENT (“Agreement”), dated on March 10, 2029 (“Effective Date”), is made between
[Richard H. Olsen] of [Holdingsella Properties] (“Company”) at 4090 Redbud Drive, Olney, Texas 76374 and
[Yolanda M. Donovan] of [Upscale Finances Inc.] (“Member”). The Member shall agree to the initial capital
contributions as follows:

Upscale Finances Inc. $150,000.00

Terms and Conditions

APPOINTMENT

The Company hereby appoints the Member to distribute, at its own expense, available funds annually or
frequently as set forth in this Agreement.

MANAGEMENT AND RESPONSIBILITIES

The Member shall have the complete power and authority in the management and operations of the
Company as granted by the laws governing this Agreement.

RESERVATION OF RIGHTS

The Company shall reserve the right to approve or reject any and all applications for its Policies submitted by
the Member.

MAINTENANCE OF RECORDS

The Company and Member shall maintain a system of files containing accurate financial and other Company
records at the principal office for the entire term of this Agreement. Thereafter, these books and records
shall be maintained in accordance with the issuance of standard record keeping.

FISCAL YEAR

The Member agrees to comply with the Company’s Fiscal Year as of December 01, 2030.

EFFECTIVE DATE, TERM, A TERMINATION

This Agreement shall commence on the Effective Date stated above and shall continue until the termination
date.

GOVERNING LAW

This Agreement shall be governed by the state laws of Texas.
