- The titles to the Articles in this Contract and in the said Exhibits are for convenience of reference only, not
part of this Contract, and shall not in any way affect the interpretation thereof.

- “Licensed Products” means the devices and products described in Schedule 1 annexed hereto together with all
improvement and modification thereof or development with respect thereto.

impossible by amicable settlement, the same shall be referred to Arbitration.

1. The use of archaic adverbs and pronouns.

(1) HERE/ THERE PREPOSITION
In contract English, the use of such terms as Herein, Hereafter, Hereinafter, Hereby, Thereof, Thereinafter,
Thereto, Thereunder, Thereupon, Therefrom, Whereby…… are often used to avoid repetition.
- HERE is often used to replace the Noun “Contract” concerned in a strict meaning.
- There is used to replace a “noun” preceding.
For example:
- If there is any conflict or discrepancy between the Contract and any documents of the Contract, then the
provisions of the Contract shall prevail.

(3) The use of WHERE+ PREPOSITION
- WHEREAS: Căn cứ vào, xét thấy
- Whereas is used in the Preamble of a contract to refer to the background.
For example:

2. The use of Doublets and Triplets

Note: In contract language, drafters often use words or terms of similar meanings to create an express meaning
of the words or terms used in order to avoid misunderstandings by the other party and misinterpretation by
legal courts or arbitrators.

Examples :
- The parties hereby agree and covenant to perform this Contract in accordance with the provisions stipulated

3. The use of expressions to extend the meaning in use

(1) INCLUDE BUT NOT LIMITED TO/ BUT WITHOUT LIMITATION TO:
- Neither party shall hold liabilities for any failure to perform its obligations herein stipulated due to events
occurred beyond its reasonable control, including but without limitation to: actions of military forces, civil
commotion, national strikes, labour unrest, or acts of God.

1. Hợp đồng này sẽ chỉ phát huy hiệu lực khi bên Bán nhận được thông báo của ngân hàng Thông báo rằng
bên Mua đã mở thư tín dụng cho bên Bán hưởng.
This Contract shall not become valid and effective until the Seller receives an advice from the Advising Bank
that an L/C has been opened by the Buyer in favour of the Seller
2. Bên Bán bảo đảm rằng mọi cấu kiện do bên Bán giao phải phù hợp với Bảng quy cách phẩm chất được

The Seller warrants that all components delivered by the Seller shall be fit and proper with the Specifications

replace, make good or otherwise such defective goods free of charge of the Buyer

In case a Force Majeure event lasts for more than 10 weeks, the Buyer shall have the right to cancel and set aside
the Contract
