MEMORANDUM OF UNDERSTANDING

BETWEEN

M/S OMEGA CONSULTANT SERVICES

AND

WAPCOS LIMITED

THIS MEMORANDUM OF UNDERSTANDING (MOU) is made on this day 1st of month of March,
2022 and M/s WAPCOS Limited, a Company incorporated under the Indian Companies Act, 1956
and having its Registered Office at ‘Kailash Building’, 5th Floor, 26, Kasturba Gandhi Marg –
110001 (hereinafter referred to as “WAPCOS”) is represented by the Project Director (ER), 10 th
Floor, Jalasampad Bhawan, Salt Lake, Kolkata – 700091 on the FIRST PART, WHEREAS WAPCOS
is a Government of India Undertaking under the Ministry of Jal Shakti rendering its services in
India and abroad in the fields of Water Resources, Power and infrastructure Development.
And
M/s OMEGA CONSULTANT SERVICES, having its head office & laboratory at 256A, M.G. Road,
Purbasan, Thakurpur, Kolkata – 700063, India on the other part (hereinafter referred to as
“AGENCY”) represented by Smt. Lipika Das, Proprietress. WHEREAS M/s OMEGA
CONSULTANT SERVICES is ISO certified Laboratory having NABL accredited testing facility and
is involved in the NDT testing work of RCC Structures.

WHEREAS, Office of the Superintending Engineer (Civil), Programme Circle, Sewerage, Drainage
and Solid Waste Management Sector, KMDA, West Bengal (hereinafter referred to as “Client”)
has issued Request for Proposal(s) for ‘Preparation of Geographic Information System (GIS)
based Comprehensive Drainage Master Plan and Detailed Project Report’ for the following
Sewerage & Drainage Sector:

a) Barrackpore Sub-Division and Bidhannagar Municipal Corporation Area, District

North 24 Parganas, West Bengal
b) Nabadwip Planning Area, District- Nadia, West Bengal
c) Nabadiganta Industrial Township Authority (NDITA), Sector – V, Salt Lake, Kolkata,
West Bengal
d) Rajpur Sonarpur Municipality and Baruipur Municipality, District – South 24 Pgs.,
West Bengal

Whereas WAPCOS intends to submit the bid for the above said works and as per request for the
proposal needs to outsource the Non-Destructive Test (NDT) work.

Whereas M/s OMEGA CONSULTANT SERVICES represents that they are able, qualified and
willing to perform NDT testing for the above said work and accordingly WAPCOS decides to
utilize the services of M/s OMEGA CONSULTANT SERVICES if the said work is awarded to
WAPCOS by the Client on the terms and conditions to be mutually agreed based on total number
of test to be done. M/s OMEGA CONSULTANT SERVICES shall carry out the services with due
diligence and efficiency and in conformity with sound engineering practices and in accordance
with the work schedule of the Project.
Now these present witnesses and it is hereby agreed to by and between the parties hereto as
follows:
A. SCOPE OF SERVICES TO BE PERFORMED BY “M/s OMEGA CONSULTANT SERVICES”
The Agency shall carry out the Non-Destructive Testing of all RCC structures as per IS code in
consultation with WAPCOS as per requirement / necessity. The test descriptions are as follows:
 Concrete Rebound Hammer Test
 Concrete Ultrasonic Pulse Velocity Test
 Concrete Core Compressive Strength
 Concrete Carbonation Test
 Half Cell Potential and Electricity Resistivity Test
The above tests shall be carried out as per direction of WAPCOS.

B. CONSULTANCY SERVICES CHARGES
WAPCOS shall pay to the Agency for the services rendered according to the details to be finalized
as per quantum of work to be executed. All other payment terms and conditions shall be covered
separately during the agreement stage after award of work to WAPCOS by the Client.
The detailed terms & conditions shall be covered in specific separate agreements for each project
/ assignment.

C. DURATION OF THE MOU

This MOU shall be valid for a period of 180 days and shall be renewable with mutual consent of
WAPCOS and the Agency.

IN WITNESS WHEREOF both the parties have executed the MEMORANDUM OF

UNDERSTANDING as of the date, month and year first above written.
