As a condition of and in consideration for my obtaining a facilities access badge and/or the necessary facility,
system, or information system access for my assignment for Google Korea LLC, Google LLC, its related
companies, subsidiaries, affiliates, successors or assigns (together “Google”), I agree to the following:
본인은 구글코리아유한회사, Google LLC, 그 관련 회사, 자회사, 계열사, 승계인 또는 양수인(통칭하여
"구글")에 대한 본인의 구글에서 수행하는 위탁 업무와 관련하여 출입증 및/또는 필요한 시설, 시스템, 또는
정보 시스템 액세스를 얻는데 대한 조건 및 대가로서 다음에 동의한다.

1. Nature of Assignment.​
구글에서 수행하는 위탁업무의 본질.

(a) Not An Employment Relationship​. I acknowledge that I will provide services to Google as an employee or
agent of __________________
IRON SYSTEMS INC [​Vendor/Agency/Company Name​] (hereafter “Contractor”) and not as an employee
of Google. I understand and acknowledge that nothing in this Agreement or my assignment for Google creates or
shall be construed as creating an employer-employee relationship between me and Google.

"벤더회사")의 직원 또는 대리인으로서 구글에게 서비스를 제공할 것이다. 본 계약의 어느 부분 또는
본인의 구글에서 수행하는 위탁업무가 본인과 구글 간 고용 관계를 만들거나 만드는 것으로 해석되지
아니함을 이해하고 인정한다.

(b) Benefits and Perks​. I understand and agree that I will not be entitled to any compensation, options, stock,
insurance or other rights or benefits accorded to employees of Google, waive any right to them, and promise never
to claim them. I understand that I will not be entitled or authorized to use or participate in many perks Google offers
to its employees. I understand that no one is authorized to make me an oral offer or promise of employment at
Google and that in the event I receive such a promise or offer, it is not enforceable and I cannot rely on it.
수당 및 혜택​. 본인은 구글 직원에게 주어지는 보상, 옵션, 주식, 보험 또는 기타 권리 또는 수당을 받을

(c) Complete Nature of Assignment.​ Section 1 of this agreement represents the entire agreement between me
and Google regarding the nature of my assignment for Google and supersedes any prior or contemporaneous
agreement on this subject matter. I give the Contractor my consent to provide Google a copy of this Agreement
(including the attachments herein) before my first assignment date at Google.
구글에서 수행하는 위탁업무의 완전한 본질. 본 계약 제1조는 구글에서 수행하는 위탁업무의 본질에 관한
본인과 구글 간의 완전한 합의를 나타내며, 이에 관한 이전의 또는 현재의 모든 합의에 우선한다. 본인은
구글에서의 첫 위탁업무 수행일 이전에 벤더회사가 구글에게 본 계약(첨부물 포함)의 사본을 제공하는 것에

2. Confidential Information.
기밀 정보.
(a) Google Information.​ I understand that, as a result of my assignment for Google, I will obtain extensive and
valuable Confidential Information belonging to Google. I agree at all times during my assignment for Google and
thereafter to hold in the strictest confidence and not to use, except for the benefit of Google, or to disclose to any
person, firm or corporation without written authorization of the Chief Executive Officer or the Board of Directors of
Google, any Google Confidential Information, except under a non-disclosure agreement duly authorized and

executed by Google. I understand that my unauthorized use or disclosure of Google Confidential Information may
lead to disciplinary action by the Contractor, including immediate termination of my assignment for Google and
legal action by the Contractor and/or Google. I understand that “Google Confidential Information” means any
Google non-public information that relates to Google, professional and personal information about any employee of
Google, Google’s structural or reporting information, the actual or anticipated business or research and development
of Google, technical data, trade secrets or know-how (including, but not limited to, research, product plans, or other
information regarding Google's products or services and their marketing), the identity of Google’s customers
(including, but not limited to, customer lists and the identity of customers of Google with whom I became
acquainted during my assignment), software, developments, inventions, processes, formulas, technology, designs,
drawings, engineering, hardware configuration information, marketing, finances, employee data, or other business
information. I further understand that Google Confidential Information does not include any of the foregoing items
that have become publicly known and made generally available through no wrongful act of mine.
구글 정보​. ​본인은 구글에서 수행하는 위탁업무의 결과로서 구글이 소유하는 광범위하고 가치 있는 기밀
정보를 얻게 될 것이다. 구글이 기밀유지계약을 정당하게 승인하여 체결한 경우를 제외하고, 본인은
구글에서 수행하는 위탁업무 기간 동안 및 그 이후에도 항상 구글 기밀 정보를 엄격히 기밀로 유지하고,
구글의 위하여 사용하는 경우를 제외하고 이를 사용하거나, 구글의 CEO 또는 이사회의 서면승인 없이
어떠한 개인, 회사 또는 법인에게 공개하지 아니하기로 동의한다. 본인이 구글 기밀 정보를 무단으로 사용
또는 공개하는 경우, 벤더회사가 징계조치를 취할 수 있으며, 여기에는 구글에서 수행하는 위탁업무의
즉각적인 종료, 및 벤더회사 및/또는 구글에 의한 소송이 포함될 수 있다. "구글 기밀 정보"는 구글과 관련된
모든 비공개 정보, 구글 직원에 관한 직업 및 개인 정보, 구글의 구조적 또는 리포트 정보, 구글의 실제 또는
예상하는 사업 또는 연구개발, 기술 데이터, 영업비밀 또는 노우하우 (구글 제품 또는 서비스 및 그 마케팅에
관한 연구, 제품 계획 또는 기타 정보를 포함하되 이에 한정되지 아니함), 구글 고객의 신원 (본인이
구글에서 수행하는 위탁업무 기간 동안 알게 된 고객 명단 및 구글 고객의 신원을 포함하되 이에 한정되지
아니함), 소프트웨어, 개발, 발명, 프로세스, 공식, 기술, 디자인, 도면, 엔지니어링, 하드웨어 구성 정보,
마케팅, 재무, 직원 데이터, 또는 기타 사업 정보를 의미한다. 위 정보 중 본인의 부당행위 없이 공개되거나
일반적으로 이용할 수 있게 된 것은 구글 기밀 정보에 포함되지 아니한다.

(b) Contractor or Former Employer Information​. I agree that I will not, during my assignment for Google,
improperly use or disclose any proprietary information or trade secrets of the Contractor or any former or concurrent
employer or other person or entity. Further, I will not bring onto Google premises any unpublished document or
proprietary information belonging to any such employer, person or entity unless consented to in writing by such
employer, person or entity.
벤더회사 또는 이전 고용인 정보​. 본인은 구글에서 수행하는 위탁업무 기간 동안 벤더회사, 또는 이전의
또는 현재의 모든 고용인 또는 기타 개인 또는 법인이 소유하는 모든 정보 또는 영업비밀을 부당하게

(c) Third Party Information​. I recognize that Google may have received and in the future may receive from
third parties associated with Google, e.g., customers, suppliers, licensors, licensees, partners, or collaborators, their
confidential or proprietary information (​“Associated Third Party Confidential Information”). By way of example,
Associated Third Party Confidential Information may include the habits or practices of Associated Third Parties, the
technology of Associated Third Parties, requirements of Associated Third Parties, and information related to the
business conducted between Google and such Associated Third Parties. I agree at all times during my assignment
for Google and thereafter to hold in the strictest confidence and not to use or to disclose any Associated Third Party
Confidential Information, except as necessary in carrying out my assignment for Google consistent with Google’s
agreement with such Associated Third Parties. I understand that my unauthorized use or disclosure of Associated
Third Party Confidential Information during my assignment will lead to disciplinary action by the Contractor,
including immediate termination of my assignment for Google and legal action by the Contractor and/or Google.

제외하고, 관련 제3자 기밀 정보를 사용하거나 공개하지 아니하기로 동의한다. 본인이 구글에서 수행하는
위탁업무 기간 동안 구글 기밀 정보를 무단으로 사용 또는 공개하는 경우, 벤더회사가 징계조치를 취할 수
있으며, 여기에는 구글에서 수행하는 위탁업무의 즉각적인 종료, 및 벤더회사 및/또는 구글에 의한 소송이
포함될 수 있다.

(d) User Data. U ​ ser Data means information in any format that Google or Contractor collects, either directly
or indirectly, from or about users of Google services. User Data includes information collected from Google users,
created by users, received on behalf of users, or generated about users. User Data includes (1) aggregate or
anonymous data related to any user or use of Google services, and (2) information that may be used to uniquely
identify, contact, or locate, a user, including but not limited to name, address, telephone number, e-mail address,
government ID number, financial account numbers, IP addresses, cookie data, or any other information associated
with user activity. I agree to treat User Data as Google Confidential Information under this Agreement, even if
some or all of the information is publicly known, and to access, use and disclose User Data only as authorized by
and in accordance with this Agreement and Google policies.

고유하게 식별, 접촉하거나 위치를 파악하는데 사용될 수 있는 정보가 포함되며, 이는 이름, 주소, 전화번호,
이메일 주소, 주민등록번호(government ID number), 계좌번호, IP 주소, 쿠키 데이터, 또는 사용자 활동과
관련된 기타 모든 정보를 포함한다. 본인은 사용자 데이터 일부 또는 전체가 공개적으로 알려져 있다
하더라도 이를 본 계약상 구글 기밀 정보로 처리하고, 본 계약과 구글 방침에서 허가하는 대로만 사용자
데이터를 액세스, 이용 및 공개하기로 동의한다.

3. Intellectual Property.
지적 재산.
(a) Definitions.​ “Intellectual Property” means any and all inventions, original works of authorship, data,
developments, concepts, improvements, designs, discoveries, ideas, trademarks or trade secrets, whether or not
patentable or registrable under patent, copyright or similar laws. “Google Intellectual Property” means any and all
Intellectual Property that I create, conceive, author, develop, reduce to practice, or otherwise contribute to during my
assignment with Google, or with the use of Google’s equipment, supplies, or facilities, or Google Confidential
Information, but excluding (1) such Intellectual Property that I am under a written obligation to assign to Contractor
provided that (i) such Intellectual Property directly relates to the services and/or products that Google has engaged
Contractor for and such Intellectual Property is subject to a written agreement between Google and Contractor, and
(ii) I perfect the assignment of such Intellectual Property to Contractor in writing, and (2) any invention or subject
matter which is subject to and fully qualifies for an exclusion at law operable in the jurisdiction of my assignment.

본인이 벤더회사에게 양도할 서면 의무가 존재하는 지적 재산 (단, (i) 그러한 지적 재산은 구글이
벤더회사를 고용한 서비스 및/또는 제품과 직접 관련이 있으며, 그러한 지적 재산은 구글 및 벤더회사 간
체결된 서면 계약의 대상이어야 하고, (ii) 본인이 서면으로 벤더회사에게 그러한 지적 재산의 양도를
완료하여야 한다), 및 (2) 본인이 양도하는 관할 지역에서 적용되는 법률의 대상이 되며 이에 따라 배제될
자격이 있는 발명 또는 대상은 제외한다.
 
(b) Assignment of Intellectual Property to Google.​ I agree that I will promptly make full written disclosure to
Contractor and Google of Google Intellectual Property, and that I will keep and maintain written records
documenting Google Intellectual Property, and that these records shall be available to and owned by Google Korea
LLC or its designee (via Contractor). I also agree to hold in trust for the sole right and benefit of Google Korea
LLC, and hereby assign to Contractor (which Contractor will grant such assignment to Google Korea LLC or its
designee) all my right, title, and interest in Google Intellectual Property including any and all copyrights, patents, or
other rights thereto. I agree to assist Google (or its designee) (via Contractor) at Google’s expense, in every proper

way to secure Google’s rights in Google Intellectual Property including securing any copyrights, patents, or other
rights. This includes executing all applications, oaths, assignments and all other instruments which Google shall
deem proper or necessary in order to assign, secure and enforce such rights worldwide. If Google is unable for any
reason to secure my signature in this regard then I hereby irrevocably designate and appoint Google (via Contractor)
and its duly authorized officers and agents as my agent and attorney in fact, to, on my behalf and in my stead,
execute and file any papers, oaths and to do all other lawfully permitted acts with respect to Google Intellectual
Property with the same legal force and effect as if executed by me. To the maximum extent permitted by applicable
law, I agree to waive all “moral rights” in Google Intellectual Property and hereby assign all “moral rights” to
Google Korea LLC or its designee (via Contractor). I further acknowledge that to the maximum extent permitted by
applicable law all original works of authorship made by me within the scope of and during my assignment with
Google are “works made for hire” in the employment relationship with Contractor. I also acknowledge that my
obligations under this section shall continue after the termination of my assignment for Google.
구글에 대한 지적 재산의 양도​. 본인은 구글 지적 재산에 대하여 벤더회사 및 구글에게 온전하게 서면으로
신속히 공개하며, 구글 지적 재산에 대하여 서면 기록을 작성하여 유지하고, 구글코리아유한회사 또는
벤더회사를 통한 그 피지정인가 이 기록을 이용할 수 있고 소유하게 하는데 동의한다. 본인은 또한 구글
지적 재산(이에 대한 일체의 저작권, 특허권 또는 기타 권리 포함)에 대한 본인의 모든 권리, 권원 및 이익을
구글코리아유한회사의 단독 권리와 이익을 위해 맡고, 벤더회사에게 양도하기로 동의하며, 벤더회사는
구글코리아유한회사(또는 그 피지정인)에게 동 양도 허가한다 . 본인은 모든 저작권, 특허권, 또는 기타
권리를 포함하여 구글 지적 재산에 대한 구글의 권리를 확보하기 위하여 구글이 비용을 부담하는 조건으로
모든 적절한 방법으로 구글 (또는 (벤더회사를 통한) 그 피지정인)을 지원하기로 동의한다. 이는 모든 신청,
선서, 양도, 그리고 전세계적으로 그러한 권리를 양도, 확보 및 행사하는데 적절하거나 필요하다고 구글이
간주하는 기타 모든 수단을 포함한다. 구글이 이유를 불문하고 이와 관련하여 본인의 서명을 확보하지
못하는 경우, 본인은 구글과 그 수권 임원 및 대리인이 본인이 실행하는 것과 동일한 법적 효력 및 효과를
가지고 본인을 대리하여 구글 지적 재산과 관련하여 모든 문서, 선서를 작성하여 제출하고, 법적으로
허용되는 기타 모든 행위를 하도록 본인의 대리인(agent and attorney in fact)로 (벤더회사를 통해) 지정하고
임명하며, 이는 취소 불가능하다. 해당되는 법률상 허용되는 최대한의 범위 내에서 본인은 구글 지적
재산에 대한 모든 "저작인격권"을 포기하며, 모든 "저작인격권"을 구글코리아유한회사(또는 (벤더회사를
통한) 그 피지정인)에게 양도한다. 본인은 또한 구글에서 수행하는 위탁업무 기간 동안 그 범위 내에서
본인이 만든 모든 원저작물은 해당되는 법률상 허용되는 최대한의 범위 내에서 벤더회사와의 고용관계
내의 "직무저작물"임을 인정한다. 본인은 또한 본 조에서 본인의 의무는 구글에서 수행하는 위탁업무가
종료된 후에도 존속됨을 인정한다.
 
(c) Inventions Retained and Licensed​. In my work for Google, I agree to only use Intellectual Property as
authorized and directed by Google and Contractor (if applicable) and agree not to incorporate or use my own
Intellectual Property (such as any invention owned by me or in which I have an interest). If, however, in the course
of my assignment, I incorporate any of my own Intellectual Property, I hereby grant to Contractor (which Contractor
will grant to Google Korea LLC or its designee) a nonexclusive, royalty-free, fully paid, irrevocable, perpetual,
worldwide license, with the right to grant and authorize sublicenses, to such of my Intellectual Property that I
incorporate or use.
보유하고 라이센스하는 발명​. 본인은 구글을 위해 일하는데 있어 구글과 (해당되는 경우) 벤더회사가
승인하고 지시하는 대로만 지적 재산을 사용하고, 본인의 지적 재산(본인이 소유하거나 본인이 이해 관계를
갖고 있는 발명 등)을 포함시키거나 사용하지 아니하기로 동의한다. 그러나 본인이 구글에서 수행하는
위탁업무 근무 과정에서 본인의 지적 재산을 어느 것이라도 포함시키는 경우, 본인은 본인이 포함시키거나
이용하는 본인의 지적 재산에 대하여 비독점적, 완납한, 취소 불가능한, 영구적, 전세계적 라이센스를
무료로 벤더회사에게 허여하며(벤더회사는 구글코리아유한회사 또는 그 피지정인에게 허여한다),
여기에는 서브라이센스를 허여하고 승인할 권리도 포함된다.

4. Conflicting Activities. ​I agree that, during my assignment for Google, I will not engage in any other
activities that conflict with my obligations to Google, including but not limited to engaging in personal transactions
that may present a potential conflict of interest—real or perceived—with Google.
상충되는 활동. 본인은 본인이 구글에서 수행하는 위탁업무 기간 동안 구글에 대한 본인의 의무와 상충되는
다른 활동을 하지 아니하기로 동의하며, 이는 구글과 실제적 또는 인식상 잠재적 이해 상충을 일으킬 수

5. Access to Google Property, Information Technology, and Information.

구글 재산, 정보 기술 및 정보에 대한 액세스.
(a) Authorization.​ I understand that whenever I access Google Property (including but not limited to Google
facilities, offices, and equipment), Information Technology (online accounts, email or remote computing services,
systems, computers, mobile devices, storage media or documents) and Information (including but not limited to all
forms of Google Confidential Information, Associated Third Party Confidential Information, User Data and
Intellectual Property) I must be acting (1) within the scope of my assignment, (2) within legitimate business
purposes specifically authorized by Google during my assignment, and (3) in compliance with Google’s policies. I
promise that I will not access or use any Google Property, Information Technology, or Information beyond the scope
of my assignment, specific authorization, and the policies of Google, as they may be updated from time to time.
허가​. 본인이 구글 재산(구글 시설, 사무실, 및 장비를 포함하되 이에 한정되지 아니함), 정보 기술 (온라인
계정, 이메일 또는 원격 컴퓨팅 서비스, 시스템, 컴퓨터, 모바일 기기, 저장 매체 또는 문서) 및 정보 (모든
형태의 구글 기밀 정보, 관련 제3자 기밀 정보, 사용자 데이터 및 지적 재산을 포함하되 이에 한정되지
아니함)에 액세스할 때마다 본인은 (1) 구글에서 수행하는 위탁업무의 범위 내에서, (2) 구글에서 수행하는
위탁업무 기간 동안 구글이 구체적으로 승인한 합법적인 사업 목적 내에서, 그리고 (3) 구글 방침을
준수하면서 행동하여야 한다. 본인은 구글 재산, 정보 기술, 또는 정보를 본인의 구글에서 수행하는
위탁업무, 구체적인 승인, 및 수시로 업데이트될 수 있는 구글 방침 범위 내에서만 액세스 또는 사용하기로
약속한다.

(b) Authorized Services, Hardware and Software​. I understand that I am not permitted to (1) use any
Information Technology to conduct the business of Google unless Google has authorized such use in writing, or (2)
add any unauthorized, unlicensed or non-compliant software to Google-managed Information Technology. I will
not use unauthorized Information Technology to conduct the business of Google or copy unauthorized software into
Google-managed Information Technology or otherwise use unauthorized software. I understand that it is my
responsibility to comply with Google’s policies and not attempt to circumvent Google’s policies or controls through
the use of unauthorized Information Technology or software.
승인 서비스, 하드웨어 및 소프트웨어​. 본인은 (1) 구글이 이를 서면으로 승인하지 아니하는 한 구글 사업을
수행하는데 있어서 정보 기술을 이용하거나, 또는 (2) 승인 받지 않은, 라이센스되지 않은, 또는 부합되지
않는 소프트웨어를 구글이 관리하는 정보 기술에 추가하여서는 아니 된다. 본인은 구글 사업을 수행하는데
승인 받지 않은 정보 기술을 이용하거나, 구글이 관리하는 정보 기술에 승인 받지 않은 소프트웨어를
복사하거나, 또는 달리 승인 받지 않은 소프트웨어를 사용하지 아니할 것이다. 본인의 책임은 구글 방침을
준수하고, 승인 받지 않은 정보 기술 또는 소프트웨어를 이용함으로써 구글 방침 또는 통제를 우회하려고
시도하지 아니하는 것이다.

(c) Audit and Management. ​I acknowledge that I have no expectation of privacy in any Information
Technology that is used to conduct the business of Google. Google may audit and search all Information
Technology used to conduct the business of Google without further notice to me for any business-related purpose in
Google’s sole discretion. I promise to provide Google with access to any Information Technology used to conduct
the business of Google immediately upon request. I acknowledge and consent to Google, in its sole discretion,
taking reasonable steps to prevent unauthorized access to Google property and information. Such steps may include,
for example, suspension of access to accounts or remote deletion of data or remote wipe of devices where (1)
Google identifies a risk that Information Technology used to conduct the business of Google has been compromised,
lost or stolen, and (2) upon suspension of or separation from my assignment for Google.

인정한다. 구글은 자신의 단독 재량에 따라 업무 관련 목적으로 본인에게 추가 통지 없이 구글의 업무를

(d) Separation. Upon separation from my assignment for Google or on demand by Google during my
assignment, I will immediately (1) stop accessing Google Property, Information Technology, and Information; and
(2) deliver to Google, and not keep in my possession, recreate, or deliver to anyone else, any and all Google
Property, Information Technology, and Information, including any and all copies of Google Confidential
Information, Associated Third Party Confidential Information, User Data, and Intellectual Property.

6. Export Statement of Assurance. During the term of my assignment for Google, I will comply with all
applicable export control and sanctions laws and regulations, including (i) the Export Administration Regulations
("EAR") maintained by the U.S. Department of Commerce, (ii) trade and economic sanctions maintained by the
U.S. Treasury Department's Office of Foreign Assets Control, and (iii) the International Traffic in Arms Regulations
("ITAR") maintained by the U.S. Department of State.
수출 관련 확약. Google에서 할당한 업무를 진행하는 동안 본인은 (i) 미국 상무부에서 관리하는
수출관리규정('EAR'), (ii) 미국 재무부 해외자산관리 사무소에서 관리하는 무역 및 경제 제재, (iii) 미국
국무부가 관리하는 국제무기거래규정('ITAR')을 포함하여 모든 적용 가능한 수출 통제 및 제재에 관한
법률과 규정을 준수하겠습니다.

7. Compliance with Anti-Bribery Laws. ​I agree that, during the term of my assignment for Google, I will
comply with all applicable commercial and public anti-bribery laws, including, without limitation, the U.S. Foreign
Corrupt Practices Act of 1977 (“Anti-Bribery Laws”), which prohibits corrupt offers of anything of value, either
directly or indirectly, to a government official to obtain or keep business or to secure any other improper commercial
advantage. “Government officials” include any government employee; candidate for public office; and employee of
government-owned or government-controlled companies, public international organizations, and political parties.
Furthermore, I will not make any facilitation payments, which are payments to induce officials to perform routine
functions they are otherwise obligated to perform.
뇌물수수금지법 준수. 구글에서 수행하는 위탁업무 기간 동안 본인은 사업을 획득하거나 유지하기 위하여,
또는 달리 상업적 이익을 확보하기 위하여 공무원에게 유가물을 직/간접적으로 제공하는 행위를 금지하는

뇌물수수금지법을 준수하기로 동의한다. "공무원"은 정부 공무원, 공직 후보자, 정부가 소유하거나
지배하는 기업/공공 국제 단체/정당의 직원을 포함한다. 또한 본인은 공무원이 의무적인 일상 업무를
수행하도록 유인하기 위한 급행료를 지급하지 아니하기로 한다.

8. Code of Conduct And Policies Acknowledgement. I acknowledge that I have read Google’s Code of
Conduct, which is available on Google’s public website and can be found by clicking “About Google” and looking
on the “Investor Relations” page of the site, and which is incorporated here by reference. I agree to adhere to the
terms of Google’s Code of Conduct and to report any violations of the Code. I acknowledge that other Google
policies are applicable and accessible to me during my assignment, including but not limited to Google’s Insider
Trading Policy and Information Security Policies. I agree to review and adhere to the terms of such policies.
복무규정 및 방침 확인. 본인은 구글 공식 웹사이트에서 "구글 정보"를 클릭한 후 "투자자 정보" 페이지에
들어가면 있는 구글의 복무규정을 읽었음을 확인하며, 이는 여기 언급함으로써 편입된다. 본인은 구글
복무규정을 준수하고, 이에 대한 위반을 모두 보고하기로 동의한다. 본인은 구글에서 수행하는 위탁업무
기간 동안 다른 구글 방침이 적용되며 본인이 이에 액세스할 수 있음을 확인하며, 이는 구글의

9. Data Privacy Consent​. I consent to Google processing data relating to me for legal, administrative and
other assignment-related purposes. I also agree to make such information available to those who provide products
or services to Google, to service providers acting on Google’s behalf, and to governmental or quasi-governmental
organizations where appropriate for business-related and legal purposes. I also consent to the transfer of such
information within Google and among Google’s affiliates and service providers acting on Google’s behalf outside
the country in which I am engaged. I understand that, during my assignment, Google may obtain digital, film, or

other images of me for subsequent use in materials or collateral for Google. I hereby grant advance permission for
such use of my image(s) by Google, both during and after my assignment, and I understand that I will not receive
any royalties or other compensation for this use.

10. General Provisions.

일반 조항.
(a) Governing law; Consent to Personal Jurisdiction.​ This Agreement is governed by the laws of Korea,
without giving effect to any choice of law rules or principles that may result in the application of the laws of any
other jurisdiction. ​To the extent that any lawsuit is permitted under this Agreement, I hereby expressly consent to
the personal jurisdiction of the courts located in Seoul, Korea for any lawsuit filed there against me by Google
arising from or relating to this Agreement.
준거법, 대인적 관할에 대한 동의​. 본 계약은 다른 관할권의 법률이 적용되게 하는 결과를 낳을 수 있는
섭외사법의 원칙을 제외하고 대한민국 법률을 준거법으로 한다. 본인은 본 계약 상 허용된 소송과
관련하여 본 계약으로부터 또는 본 계약과 관련하여 구글이 본인에게 제기한 모든 소송의 대인관할이
대한민국 서울에 소재한 법원에 있음을 명시적으로 동의한다.

(b) Entire Agreement.​ This Agreement sets forth the entire agreement and understanding between Google and
me and supersedes all prior discussions or representations between us, whether written or oral. No modification of
or amendment to this Agreement, nor any waiver of any rights under this Agreement, will be effective unless in
writing signed by the Chief Executive Officer of Google and me. Any subsequent change(s) to my assignment or
duties will not affect the validity or scope of this Agreement.
전체 합의​. 본 계약은 구글과 본인 간 이루어진 전체 합의 및 이해를 구성하며, 서면 또는 구두 여부를
분문하고 당사자들 간 이루어진 이전의 모든 논의 또는 진술에 우선한다. 본 계약에 대한 모든 변경 또는
수정, 또는 본 계약상 권리 포기는 구글 CEO와 본인이 문서로 서명하여야만 유효하다. 본인의 구글에서
수행하는 위탁업무 또는 의무에 대한 추후의 모든 변경은 본 계약의 효력 또는 범위에 영향을 미치지
아니한다.

(c) Severability.​ ​ If one or more of the provisions in this Agreement are deemed void by law, the remaining
provisions will continue in full force and effect.
분리가능성​. ​본 계약의 규정 한 개 또는 그 이상이 법률상 무효인 것으로 판단되더라도 본 계약의 나머지
부분은 효력이 유지된다.

(d) Successors and Assigns.​ This Agreement will be binding upon my heirs, executors, assigns, administrators
and other legal representatives and will be for the benefit of Google, its successors, and its assigns.
승계인 및 양수인​. 본 계약은 본인의 상속인, 집행인, 양수인, 관재인 및 기타 법적 대리인을 구속하며, 구글,
그 승계인 및 양수인에게 이익이 되어야 한다.

(e) Waiver. ​Waiver by Google of a breach of any provision of this Agreement will not operate as a waiver of
any other or subsequent breach.
포기. 구글이 본 계약 규정 위반을 포기하더라도 다른 또는 향후의 모든 위반에 대한 포기로 간주되지
아니한다.

(f) Survivorship. ​The rights and obligations of the parties to this Agreement will survive termination of my
assignment for Google.
존속​.​ 본 계약 당사자들의 권리 및 의무는 본인의 구글에서 수행하는 위탁업무가 종료된 후에도 존속한다.

(g) ​Language​. ​This Agreement may be translated into different languages but in each case the English version
will prevail. Other versions are for reference purposes only.
언어.​ 본 계약은 다른 언어로 번역될 수 있지만 어떤 경우라도 영문본이 우선한다. 타 언어 버전은
참고목적으로만 사용된다.
