CONFIDENTIALITY AGREEMENT WITH UNDERTAKING AND WAIVER

I hereby declare that I am an employee of Majorel Corporation. As a result of my employment with the
company, I will receive ‘Confidential and/or Protected Information’ that is not generally known to the
public and belongs to the Company and its clients, including but not limited to equipment, computer,
software, network, electronic files, or electronic data storage system.

I agree to hold in strictest confidence all the above-mentioned ‘Confidential and/or Protected Information’,
disclosed to me, and obtained by me during my employment or as a result of my employment with
Company.

I fully recognized the ownership, rights and interest of the Company on ‘Confidential and/or Protected
Information’, and I undertake to protect the same by observing and complying with the following
company’s rule and regulations:

1) To use, utilize and operate the Company’s computers, facilities, and other equipment, including but
not limited to access to the Internet and email exclusively for legitimate, legal and company’s business
purposes;
2) The use, utilization and operation on the Company’s computers, facilities, and other equipment,
including but not limited to access to the Internet and email for personal purpose, and other than
legitimate business purposes are strictly prohibited.

In support of protecting the interest, rights and ownership of the Company on the ‘Confidential and/or
Protected Information’, I hereby absolutely and willfully agree and allow the Company, IT Department or
its authorized representative to check, examine, review, and/or audit the desktop/laptop computer,
mobile devices, facilities and other equipment that I have used or accessed during my employment at any
time while I am employed at the company.

I likewise agree that all information and matters becoming known to me during my employment will be
held in strictest confidence even when I am no longer connected with the Company and I will be bound
and responsible for the wrongful disclosure of said information, whether intentionally or negligently.

I further agree that in case of violation of the provisions of this Confidentiality Agreement and the unlawful
or illegal use/access/utilization of the company’s properties including but not limited to the computer,
facilities and other equipment, unauthorized accessing or downloading of files, data or other information,
I undertake to pay Company for all the damages that it shall be entitled to under existing laws.

HEREBY GIVING MY FULL CONSENT AND AUTHORITY
