CODE OF CONDUCT

Every instructor on contract is required to do his/her duty diligently and follow the below
basic code of conduct which is essential for proper functioning of the company and is in the
interest of the Company. “All pages of the code of conduct document shall have to be signed
by all instructors on contract in hard copy (take a print if sent in electronic form) and the same
(including scanned copy) should be sent to the management/ HR department vide email/ hard
copy. If the company management/ HR has sent the code of conduct and has proof of sending
it and even if the instructor has not signed and returned the same, the code of conduct will be
binding on the instructor and cannot be challenged in any court of law.

1. The following is an illustrative list of the code of conduct for the instructors which shall
include, amongst others, the following:

1.1 Every instructor shall, in accordance with the rules and regulations of the Company
or any policy laid down by the Company from time to time, sincerely and diligently
perform his/her duties that may be entrusted to him/her from time to time.

1.2 All the records, data (hard and soft copy including in electronic form), books,
articles, documents, Pen Drive, CD/ DVD, Hard Disk etc. belonging to the Company
or client, shall remain in the designated office/school and the instructor shall
ensure that they are kept safely and maintained in their proper places.

1.3 No instructor shall use the Company’s/ client’s properties, including but not limited
to IT equipment’s, communication devices, stationary, in a manner prejudicial to
the interests of the Company.

1.4 Further, instructors shall not take photographs of any confidential/non-public


information, or of other Employees/ clients/ students (without their permission).

1.5 No instructor shall remove any document, records, data, etc. even temporarily
from the office/ client premises without the prior permission of his manager/
client.

1.6 Every instructor shall, during the tenure of his/her service devote full time to (as
defined in the service contract of the Company in all respects, conform to the
directions and regulations issued by management, obey the orders of his/her
superiors and faithfully serve and use his/her utmost endeavour to promote the
interest of the Company and serve at such places and in such capacity as the
Company may from time to time decide or direct.

1.7 Every instructor shall report to duty at the time specified for start of working hours
and leave only after the specified closing hours or as specified in contract.

1.8 Every instructor shall maintain good hygiene and should be in official uniform
(T-shirt issued by company) while working (including online or physical presence in
schools). They must follow the accepted grooming standards of the school and the
company.

1.9 In the event any instructor is suffering from any communicable disease/mental
distress he/ she shall immediately inform his/her superior of the same. If in the
opinion of the superior, the condition of the instructor is such that it may affect the
other instructor/ client/ students then such instructors may be asked to take leave
and join duty after he/ she is fully fit and submits proofs of fitness.

1.10 No instructor shall, unless authorized in writing, receive any cash, or pledge any
property or assets of the Company or sign on behalf of the Company on any
document or agreement or bind the Company in any manner whatsoever.

1.11 Every instructor shall maintain good behaviour and be courteous to other
instructors/ employees/ clients/ students.

1.12 No instructor shall accept any money, presents or gratification from any client of
the Company or any other person who has been dealing with the Company in any
manner unless the gift is of edible perishable nature and valued less than Rs 500/-
and it is during festivals or school functions.

1.13 In case any instructor has been given any money to buy any article or goods for the
company/ client, then he/she shall account for the same as soon as possible of
such release of money to the accounts department or to any other person assigned
by the Management for this purpose.

2 Every instructor shall, at the time of severance/ non-renewal of contract from the
Company, deposit all the goods of the Company lying with him/ her with to the
Management or immediate superiors.

3 No instructor shall take any of the Company’s/ client’s properties outside the premises of
the Company or client, without prior written permission from authorized personnel.

4 Power Saving:

This is responsibility of each instructor to save Power and Water of company and client.

All machineries, lights and electrical installations will be switched off when not in use.

Prior to leaving their workplace (including school premises), each individual should ensure that
all switches are put off.

6 Breach of Code of Conduct, Policies, Rules and Practices:

An instructor who is alleged to have breached any of the code of conduct, rules or policies
as stipulated in this document (or its addendums and revisions) shall be informed in writing
and shall be entitled to 'due process' to refute the allegations and/or submit a defense.
The Management shall establish a Board of Inquiry to determine the actual breach(es) and
the Board of Inquiry may recommend to Management to impose specific disciplinary action
which can include termination of service contract.

The Management shall decide on appropriate disciplinary action to be imposed unto the
instructor. Disciplinary actions may range from verbal reprimand to immediate dismissal
depending on the severity of the breach committed

13.2 ACTS OF MISCONDUCT

13.2.1 No instructor shall during his/her service contract engage in any of the following acts
of misconduct:

1.1 Tarnishing the image of the Company/ client or causing any loss or damage to the
Company/ client or any of its property 

1.2 Habitually leaving the workplace (client premises/ school/ online session) during
working hours without any compelling reason and without the prior permission of
superiors after recording attendance
1.3 Making available to others any information whatsoever that the instructor has
become privy to during his/her contract which is confidential in nature.
1.4 Removing company/ client documents, records, data, etc. from the premises
(including copying/ deleting in electronic form) without permission.
1.5 Using company/ client supplies, equipment, and vehicles or removing them from
the company/ client/ school premises, except as warranted in discharging his/her
duties or misusing company/ client/ school funds for any purpose whatsoever.

1.6 Accepting hospitality (food and drinks) or gifts from outsiders with whom business
transactions take place in conducting the operations of the Company, without
permission from the company MD.

1.7 Causing sexual harassment to any co-instructor/ company employees/ client/


school staff (whether on or off rolls or contract) or students or any person directly
or indirectly associated with the school or client.

1.8 Criminal or unlawful activities

1.9 Unauthorized use or theft of the properties of the Company or client or school. 

1.10 Insubordination or failure to perform assigned duties. 


1.11 Violation of company/client/ school regulations and working conditions, including
the code of conduct.

1.12 Other actions deemed unacceptable by the Company. 

1.13 Irresponsible conduct towards one’s duty duly delegated by superiors.

1.14 Any behaviour which damages the reputation of the Company/ clients/ schools
and its Employees or disrupts public peace and tranquillity.

1.15 Damage to the property of company/ client/ school due to negligent act and
conduct

1.16 Uniting instructors/ employees for the purpose of creating agitation against the
Company/ client/ school or any of the Employees/ instructors of the Company/
client/ school.

1.17 Any behaviour that endangers the life of Employees/ instructors, property of the
Company/ client/ school, public property or general peace.

1.18 Corruption in the conduct of business or passing dishonest remarks and comments
against superiors, instructors, Employees of company, client, school.

1.19 Providing false reports/ information to the Company /superiors/ school/ client
which may lead to loss in the Company’s profit or incorrect information being
reflected in the books of account.

1.20 To forge job application forms or any other document(s) and/or to abet such act
being done by any other individual.

1.21 Concealing own mistakes or mistakes committed by one's peers/ associates/


students etc. to avoid disciplinary action.

1.22 Giving illegal instructions to one's client/ students.

1.23 Failure to exercise due care in using the Company’s/ client’s/ school’s property.

1.24 Any act which may lead to damage/loss to the Company’s/ client’s/ school’s profit,
except in case of exercising one’s duty as the Company regulates or delegates.

1.25 Marking own attendance record through proxy or marking proxy attendance for
any other instructor or altering the attendance records
1.26 Talking or joking while at work and not concentrating on one’s duty and disrupting
the work of other instructors.

1.27 Failure to promptly report to the immediate superior any instance which may
cause loss or, damage to the Company/client/school property or any other instance
which may disrupt the normal business activity of the Company/ client/ school.

1.28 Non-cooperation in keeping the office/client/ school premises clean.

1.29 Drinking alcohol during working hours or during break time or within overtime
working hours including during online sessions.

1.30 Coming to the office/ client premises/ school under the influence of alcoholic
drinks or narcotic substances /prohibited drugs including during online sessions.

1.33 Taking and/or bringing prohibited drugs to the office/ client/ school premises.

1.34 Smoking within the office/ school/ client premises except at places where the
Company/ client/ specifies (but not in the school premises).

1.35 Late arrival or early leaving to or from the office/ school/ client during working
hours (including sessions online), habitually, without taking prior permission from
the concerned superior.

1.36 Refusing to wear the Company’s uniform (T shirt of Torrins) or wearing unclean or
disgraceful clothes while on duty.
1.37 Noncompliance with safety regulations established and/or enforced by the
Company/ client/ school.

1.38 Inside or outside the company/ client/ school premises any ungentlemanly/ un lady
like behaviour, use of any insulting or abusive language provoking any other
individual (especially employees or associates of company or clients or schools/
students).

1.39 Indulging in abuse, assault, or violent act of any kind with other instructors/
Employees/any other individual whether inside or outside the office/ client/ school
premises or in any event organized by the Company/ client/ school.

1.40 Destroying, altering, any notice issued by the Company/ client/ school.

1.41 Issuing any notice(s) which may cause negative impact on the image of the
Company/ client/ school and may result in losses to the Company/ client/ school.
1.42 Handing out fliers without prior permission of the authorized person, inside the
Company/ client/ school premises and/or any place under its control

1.43 Any act of defamation or any other action which could affect the solidarity and
team spirit among the Employees of company or client or school/ instructors/
students etc.

1.43 Except as otherwise required or permitted by the Company/ client/ school, selling
or soliciting any products / services in the Company/ client premises/ school
premises/ online during working hours.

1.44 Bringing dangerous weapons and/or explosives to the company/ client/ school
premises with or without prior permission.
1.45 Abuse of one’s authority for personal profit or for others.

1.46 Sleeping or abdicating one’s duty during working hours (including online sessions).

1.47 Revealing one’s own or other instructor’s fees/ increase or abetting any such act.

1.48 Gambling within the Company/ client/ school premises

1.49 Refusing to undergo security check by guards before entering and/or leaving the
Company/ client/ school premises or not cooperating in security check.

1.50 Without due reason(s) disobeying orders for overtime work or holiday overtime.

1.51 Refusing to answer any information sought by management/ superiors or failure to


co-operate with any enquiry being conducted by any committee or making false
statements.

1.52 Disobeying rules for holidays as established by the Company or taking holidays on a
false pretext.

1.53 Buy or sell a lottery and/or mutual financing association within the company/
client/ school premises.

1.54 Without permission, holding or organizing a meeting in the Company/ client/


school or participating in any authorized/ unauthorized strike.

1.55 Participating directly or indirectly in any outside business which may directly or
indirectly conflict with the business interest of the Company/client/ school or
carrying on any other business activity or accepting employment with any other
entity.

1.56 Intentionally working sluggishly or not using one’s full capability to perform the
work assigned. Abandoning or neglecting or avoiding official duties. Absenting
from work without due reasons
1.57 Filing of false complaints against other instructors/ Employees of company or
clients or school/ students without any proof, damaging or causing damage to the
reputation of other party and/or backstabbing any of the instructor/ employees/
students with the intention that he/she may be looked down upon or be despised
by MD or/and other Employees/ client/ school.

1.58 Absconding from work and not serving notice period as required by the
management.

1.59 Commission of any offence punishable under laws of India

1.60 Any other activity which is declared to be misconduct vide notification by the
Company.

13.2.2. If any instructor is found guilty of any of the above act of misconduct, then
disciplinary action will be taken against the instructor by the Company, at its sole
discretion, as provided hereinafter. 

2.1 Initiate disciplinary proceedings against the instructor.

2.2 Management shall have the right to suspend an instructor pending disciplinary
proceedings and till imposition of punishment.

2.3 All orders of suspension shall be in writing and signed by management or any other
authorized person in this behalf and shall be made available to the instructor
concerned, if personally present, or vide email.

2.4 In case of his/her absence or refusal to accept the said order, the same may be
sent through registered post with acknowledgement on the latest available address
of the instructor in his/her personal records.

2.5 A copy of the suspension order when sent to him/ her shall be deemed to have
been served on him/ her.

2.6 Management may appoint any officer of the Company and/ or any
outsider/professional, whether a management consultant, advocate, an industrial
law consultant as enquiry officer for conducting the enquiry of misconduct

2.7 An instructor concerned, in respect of whose misconduct, an enquiry is to be held,


shall be given a charge sheet clearly setting forth the circumstances appearing
against him/ her.

2.8 The instructor shall be given a time of at least 48 hours duration either to furnish
his/her explanation in reply to the charges alleged against him/her or to appear for
the enquiry or over video conference.

2.9 At the enquiry, the instructor concerned shall be permitted to cross examine the
witness examined on behalf of the Enquiry Officer and examine the witness in
his/her defence.

2.10 The witnesses examined by the concerned instructor in his/her defence are liable
to be cross examined by Enquiry Officer. At the enquiry, the concerned instructor
shall also be permitted, if so desires, to take assistance of any other Employee/
instructor (not an outsider) under suspension working in the same plant premises.

2.11 The evidence led on either side shall be recorded (on mail/ voice recorded).

2.12 After due notice, if the concerned instructor refuses or fails to attend or participate
in the enquiry, it may be conducted ex-parte and orders may be passed basis
available proofs/ material.

2.13 Management may appoint any Employee/ consultant of the Company as


presenting officer to represent management and to present the case of
management before the enquiry officer.

2.14 If on conclusion of the enquiry, whether an order of dismissal is passed or not, or


any punishment is imposed or not on the instructor, then, the instructor shall be
deemed to have been absent from duty during the period of suspension and shall
not be entitled for any fees/ remuneration for such period.

13.3.3 Punishment for misconduct:

Any instructor who is found guilty of any misconduct may be:

a) Warned or censured

b) Suspended without fees for a period not exceeding 15 days

c) Dismissal or discharge, without any further notice thereof.

Exception: The requirement of disciplinary proceeding in the event of commission of


misconduct by an instructor shall be dispensed with by the Company, in case of such an
offence of which gravity compels the Management to initiate criminal proceedings against an
instructor, the Management shall be within its rights to immediately dismiss the instructor by
serving of a notice to that effect (including in electronic form).
