UNDERTAKING

TERMS AND CONDITIONS OF
ADMISSION

1. The rules mentioned herein below pertain only to admission in the Course and are applicable in
addition to the general rules and regulations of Times Professional Learning a division of Bennett,
Coleman & Co., Ltd., (“Timespro”), with which the student is ought to be familiar. In case of any
specific queries with respect to the same, the student can direct his/her queries to the respective
centre head of Timespro in which he is admitted for the Course.
2. The student shall adhere to all rules, regulations of Timespro and shall, at all times, observe the
provisions stated in the ‘code of conduct’ handbook, as handed over to the student with this Form.
Timespro reserves the right to change these rules, regulations and code of conduct, at any time,
without any notice to the students and the student is required to keep abreast and in compliance
with such updated rules. Any breach of any of the rules, as stated herein or the general rules and
regulations or code of conduct of Timespro can result in disciplinary and/or punitive and/or legal
action or may lead to cancellation of admission from the Course, at the sole discretion of Timespro.
3. The student agrees that he/she will not perform any act which is illegal or compromises the goodwill
of Timespro or reflects badly on the brand name of Timespro or any other Times Group entity
during the course or thereafter.
4. The student undertakes to pay the installment(s) of the Course Fees to Timespro on the respective
due date(s) as specified in Part A hereinabove and all taxes applicable to such payments shall be
borne and paid by the student at the extant rates.
5. The student undertakes that he/she is eligible to be admitted into the Course, and meets the eligibility
criteria, as laid down for the Course by Timespro and shall produce his/her mark sheets/
qualification certificates/ work-experience certificate/ any other documents, as may be required by
Timespro from time to time.
6. Timespro reserves the rights to change the Fee structure, location of the centre, faculties, content,
schedule, timings, batch commencement date and any other niceties pertaining to the Course for
valid reasons, with reasonable notice to the student, wherever deemed appropriate by Timespro.
7. Timespro has the right to extend the commencement date of the batch for the Course at its sole
discretion. In case Timespro fails to commence the Course due to unavoidable reasons on the
commencement date or the extended commencement date, as the case may be, Timespro may
offer the student an option to enroll under some other similar course and/or to enroll under a different
batch of the same Course and/or to enroll with some other center of Timespro for the same Course.
In the event the same is not acceptable to the student, Timespro shall refund the Course Fees or
any part thereof, received from the student till the date of intimation of non- commencement of the
batch to the student (“Advance Fee”). In the event if the student avails the option provided by
Timespro to enroll under some other similar course and/or to enroll under a different batch of the
same Course and/or to enroll with some other center of Timespro for the same Course the Advance
Fee may also be adjusted against the fee for any other course offered by Timespro as per prevalent
course-transfer policy of Timespro.
8. Notwithstanding anything contained in this Terms and conditions, if the student wishes to discontinue
from the Course on his/her own and not due to circumstances stated under Section 7 hereinabove,
the student shall not be entitled for refund of Course Fee or any part thereof paid by the student for
such Course (“Non- Refundable Fee”).
9. Before the commencement of the Course, the student may request Timespro for transfer of his/her
admission in some other course offered by Timespro. However, such transfer shall be subject to
grant of approval by Timespro in writing, in its sole discretion. If the approval is granted by
Timespro, the student would be required to pay to Timespro a transfer fee or such other fees at
such rate, as applicable on the date of such transfer. The Course Fee or any part thereof, which is
received from the student till the date of approval of transfer (“Transferable Fee”) shall be adjusted
against the course fees for the other course which the student has opted for and any difference
between the Transferable Fee and the course fee of the other course in which the students’ transfer
is approved, shall be paid by the student to Timespro or refunded by Timespro to the student, as
the case may be. Notwithstanding anything to the contrary stated above, it is hereby clarified that
transfer of admission to the other course is subject to the terms and conditions of that course and is
subject to availability and Timespro’s decision in this regard shall be final and binding.
10. In the event of refund by Timespro to the student for the reasons as mentioned in clause 7 herein,
there shall be no interest payable by Timespro against any such Advance Fee and/or Non-
Refundable Fee and/or Transferable Fee and/or any other payments made by the student to
Timespro.

11. In the event the student is desirous of availing any changes to the schedule of the batch he has
been admitted for and/or to defer his/her admission to a different batch of the same Course, he shall,
before the commencement of such batch of the Course, request for such deferment and Timespro
shall, at its sole discretion agree to such deferment on such terms and conditions as it may deem fit
and the decision of Timespro in this regard shall be final and binding on the student. It is hereby
clarified that incase Timespro declines such request, the student shall be required to continue with
the same batch and timing as initially commenced and shall continue to be liable to pay Course Fee
as per original fee payment schedule, as stated under Part A of this Form.
12. Course Fees or any other amounts paid by the students are non-transferable to any other individual,
unless approved by Timespro in writing.
13. On successful completion of the Course, the student will be awarded with a certificate of completion.
During the Course, Timespro reserves the right to continually monitor the student’s performance
and suggest corrective actions throughout the Course, which the student will be obliged to undertake.
In the event the student fails to clear the assessments and evaluations conducted by Timespro,
throughout the Course and at the final assessment necessary for the conclusion of the Course, such
student shall be given not more than 5 (Five) attempts, at the sole discretion of Timespro, to re-
appear and clear the assessments and evaluations, failing which, the student may be denied a
certificate of completion and/or placement assistance and/or any refund of Course Fee and the
student shall be declared as ‘Fail’. The student is free to undertake re-admission in any other batch
of the Course and/or enroll with Timespro for a different course, subject to the terms and conditions
and fee structure applicable to that batch of the same Course or the different course. Course Fee
paid hereunder will not be adjusted under any circumstances for such instances of re-admission
covered hereunder.
14. If the student fails to honor his/her commitment pertaining to balance payment of Course Fee and/or
minimum attendance criteria as laid down by Timespro and/or any other rules and regulations or
code of conduct, Timespro, in its sole discretion, reserves the right to terminate the student’s
admission to the Course and/or impose any disciplinary and/or punitive actions, without any liability
for refund of Course Fee.
15. Incase any payments are made by the student vide cheque(s), the same shall be subject to
realization and in case the cheque(s) is/are dishonored on presentation, the issuer and/or the
student will be subject to legal action, at the sole discretion of Timespro and shall be obliged to
bear and pay the applicable charges. Timespro, at its sole discretion, shall have the right to cancel
the admission of the student on occurrence of such event.
16. Timespro may at times, undertake courses, which are offered in affiliation with a third party. Such
courses are with an objective to assist students with employment opportunities with the affiliated
third party on successful completion of such course. However, any job offers made by the affiliated
entity, pursuant thereto is conditional and is based on various parameters like performance during
course, results of assessments and examinations, attendance and policies of the prospective
employer (affiliated entity) and other factors. Timespro levies no additional charges for assisting the
students with placement and neither does it provide any employment guarantee/assurance as the
same is the pronouncement of the affiliated entity and the course fee charged under such calls is
only for the course and the training provided by Timespro. Such students who are admitted by
Timespro for mandated and third-party affiliated courses for employment opportunities, shall not be
provided with the regular placement assistance as in case of any other courses of Timespro as the
student shall be earmarked for employment with the affiliated entity, subject to confirmation by such
affiliated third party. Students opting for such course may accept the employment by the affiliated
entity for placements, if so selected, at their sole discretion and Timespro shall not be liable for the
same in any manner whatsoever.
17. For all other courses not covered under Section (16), on successful completion of the Course as
listed in Appendix-1, Timespro may, at its sole discretion, provide the placement assistance in
BFSI/ respective domain of your course. Additionally, for the placement interview calls
please refer to the Appendix 1. The placement assistance will be provided to only those students
who have successfully completed the Course. In the event the student has failed to appear for an
interview when invited, it shall be counted towards one of the interviews as specified in Appendix-1.
It is further clarified that Timespro shall only arrange for such interviews for the students and in
case any student does not like the job profile offered or salary offered by the interviewing entity and/or
any other aspects related to such job offer and/or or the interviewing entity itself, as the case may
be, Timespro shall not be required to provide additional interviews beyond what is stated in
Appendix-1.
18. It is hereby clarified that if the student is offered any job opportunities from any of the interviewing
entity, the student shall not be allowed to appear for any further interviews, irrespective of the student
accepting or declining such offer and Timespro shall not be required to arrange for any further
interviews for such candidates, notwithstanding whether the student thereafter chooses to joins such
interviewing entity or not. In the event the results of the interviewing entity are not announced, the
Student’s Signature:
 student will be permitted to attend the remaining interviews, however, he shall be obligated to
consider the job offer from only that interviewing entity whose result is declared first in time. In the
event any two (2) or more interviewing entities declare their result on the same day, the student can
choose either of the job offers, if any, made to him/her by those interviewing entities.
19. Notwithstanding anything to the contrary stated herein, Timespro shall not be responsible or liable
for any decision made by the student with respect to the placement assistance extended by
Timespro. If the student does not appear for interviews or does not accept placement opportunities
made available to him/her by Timespro, whether under Section (16) (17) or (18), as the case may
be, then in such a case Timespro may, in its sole discretion, refrain from sharing any further
placement assistance as available under the Course opted by the student.
20. It is hereby clarified that Timespro only provides placement assistance to eligible students who
successfully clear the Course and any such placement assistance provided/offered by Timespro
shall in no event be construed to be a promise for placement and Timespro shall not be liable to
provide any employment guarantees hereunder.
21. Any selection in such interviews and the offered salary/designation/job role/place of posting or other
criteria(s) are solely dependent on the requirements of the interviewing entity and is subject to the
students’ performance during the interview. Timespro has no control on any such criteria(s) or on
the final nature of job offered. The student may reject such offer(s) in his/her sole discretion subject
to the provisions of Section
18. However, if the student has accepted the conditional offer letter/appointment letter from any
interviewing entity, any further discussions, negotiations, deliberations or disputes shall be between
such interviewing entity and the student; and Timespro shall be relieved of all its obligations
hereunder.
22. The student hereby agrees to promptly intimate Timespro about any change in his/her personal
details including his/her address, contact number or email-id. All communications made by
Timespro shall be addressed to the last registered details of the student available with Timespro,
delivery of which shall be construed final.
23. The student hereby agrees to indemnify and hold harmless Timespro and its group companies, its
affiliates, its associates and their directors, officers, councilors, employees and consultants
(“Indemnified Parties”), against all liabilities, claims, demands, actions, costs (including reasonable
legal costs), awards, damages or loss arising directly as a result of any breach or non-performance
by the student of his/her obligations towards Timespro or any other interviewing entity whose job
offer has been accepted by the student as per the provisions stated hereunder, any act or omission,
any illegal or unlawful act, any loss, or damage to Timespro’s property, breach of any intellectual
property rights of Timespro or any third party. This clause shall survive the completion of the Course
by the student.
24. The student agrees not to disclose or share the Course content and/or any other material provided
to him/her pursuant to his/her admission in the Course, whether during the subsistence of the
Course or post its completion. Students are hereby strictly instructed to abstain from using the name/
brand/ logo of Timespro or its group entities in any media / social media platform for any purpose
whatsoever, without prior written permission from Timespro during the course or thereafter. Any
violation of this provisions, shall be strictly dealt with by Timespro
25. This terms and conditions associated to this Form and the Course may be supplemented, extended,
modified or amended from time to time by Timespro, at its sole discretion.
26. This Form shall be interpreted in accordance with the laws in India. Any dispute with respect to this
Form shall be subject to the exclusive jurisdiction of the courts at Mumbai. The dispute shall be
referred to an Arbitrator mutually appointed by the student and Timespro as per the Arbitration and
Conciliation Act.
27. Timespro shall not be liable for failure to perform its obligations if such failure is a result of causes
beyond the reasonable control of Timespro including but not limited to acts of God, fire, mischief,
accident, riot, strike, slowdown, labor stoppage of any kind, act of any government foreign or
domestic, terrorism ("Force Majeure Event").
28. No failure or delay by Timespro in exercising any right or remedy provided by law shall operate or
be construed as a waiver.

this Admission Form and/or the course I am admitting myself in, are duly answered and explained to
me by the counselor of Times Professional Learning (“Timespro”).

I hereby warrant that the details provided by me are true and correct to the best of my knowledge and I
hereby unconditionally and irrevocable accept the all the terms stated in this Admission Form.

I further undertake to have read and understood all terms stated in the ‘code of conduct’ handbook
supplied to me by Timespro and unconditionally agree and affirm that I shall abide by the terms stated
therein and that in this Admission Form including under Part C hereof.

I confirm that I will put forward my best endeavors to live up to the high standards of Timespro which
are reasonably expected out of me and shall strive to live up to the expectations of my esteemed
faculties. I understand that my performance shall be the prime criteria that will lead to placement
opportunities, if any, provided to me by Timespro. I also undertake to complete at my own cost, all
external certifications, if any, required for the completion of the course I am enrolling for and/or as
deemed necessary by Timespro, before the completion of the course, or at such times as may be
inherently required, which shall enable me to appear for any placement interviews.
