EMPLOYMENT CONTRACT

This Employment Contract entered into by and between AGRI MD FARM IMPLEMENTS COMPANY, with
principal office at Unit 8 Juana’s Kubo North Building, Panacan, Davao City, herein represented by its General
Manager, MR. GLENN GARRY F. AYUSTE or MS. ANDREA MARIE S. DIZON and also known as the
EMPLOYER;

Hereinafter referred to as the EMPLOYEE;

The following are the conditions of your employment with this company;

The Employee’s employment is DESIGN ENGINEER


Designation

The employee is employed beginning on ___________ as a regular employee;

1. Salary and Other Benefits

a. The EMPLOYEE shall receive a Daily Basic Pay of SEVEN HUNDRED SIXTY-NINE PESOS & 23/100
CENTAVOS ONLY (P 769.23) and COLA rate of THREE HUNDRED SEVEN PESOS & 69/100
CENTAVOS ONLY (P307.69) during the employment contract.

Monthly Basic Pay : 20,000.00


Monthly Cola Pay : 8,000.00

b. The EMPLOYEE shall receive a fixed pay with no deduction every cut-off. The government
regulatories such as SSS/Pag-ibig/Philhealth will be shouldered by the EMPLOYER.

c. The EMPLOYEE, a regular, shall be entitled to six (6) Sick/Vacation Leave (SVL) and six (6) Mental
Break Leave (MBL) for each year. EMPLOYEE is expected to accrue leaves since it is not convertible to
cash.

d. The EMPLOYER will pay mandatory 13th month salary at the end of each calendar year and
EMPLOYER may at its discretion provide performance bonuses. Annual and incremental salary
adjustments and merit increases may be affected on a case to case basis and upon the recommendation
and approval of the management.

e. Commission-sharing shall be P10,000.00 per unit of the net of the project, unlimited quantity. For direct
sales, for own designs or innovations made successful, the EMPLOYEE shall receive P20,000.00 per
unit of the net of the project. Sharing shall be released at the end of each calendar year.

2. Duties and Responsibilities

a. The EMPLOYEE shall work for a period of eight (8) hours per day Monday to Saturday. In case of
unusual volume of work, the EMPLOYER may require you to work on Sundays or Holidays.
Overtime work or any work rendered in excess of eight (8) hours per day during regular or special
days is not compensable unless declared by the management. The EMPLOYER prescribes the work
schedule, and it reserves the right to change the schedule as it may be deemed necessary to meet
operational requirements;

b. The EMPLOYEE shall perform the duties and responsibilities that his position or job necessarily entails,
as may be contained in his job description or as may be reasonably assigned by the company from
time to time. The specific duties and responsibilities of employee are contained in the Scope of Work
and Job Description, which herein EMPLOYEE acknowledges to have read and understood.

c. The EMPLOYEE is required to comply with all the existing rules, regulations and policies of Agri MD
Farm Implements Company as well as those which may hereafter be issued, including but not limited
to those governing order and discipline, honesty, safety and security, work assignments and standard
operating procedures, use of Company properties and access to matters of confidentiality, and such
other rules deemed necessary in the conduct of the business;

d. The Employee recognizes EMPLOYER’s right and prerogative, to assign and re-assign him to perform
such other tasks within EMPLOYER’s organization, in any area, as may be deemed necessary or in the
interest of the service;

3. Confidentiality/Non-disclosure and Non-competition After Employment

a. The EMPLOYEE agrees that all record and documents of the Company and all information pertaining
to its business and/or affairs and that of its customers are absolutely confidential and unauthorized
disclosure or reproduction of the same will not be made by you at any time during or after your
employment. You agree that any breach of confidentiality will constitute sufficient ground for
immediate termination of your employment for cause and/or civil or criminal liability. The term
confidential information shall include but not limited to:

i. Information related to drawings or designs of whatever form (including without limitation, in


written, oral, visual, electronic form, or on tape or disk), whether disclosed prior or after this
contract;
ii. Any and all discoveries, ideas, concepts, papers, software in various stages of development,
designs, drawings, specifications, techniques, models, prototypes, data, source code, object
code, documentation, manuals, diagrams, flow charts, schematics, research, process,
procedures, functions, “know how”, etc.;
iii. Supplier contacts, supplier lists, supplier preferences, financial information, marketing
strategies, new materials research, pending projects and proposals, pricing and cost
information, proprietary production processes, estimating practices, research and
development strategies, technological data and technological prototypes, supplier/vendor
lists and information related to the party's employees, consultants or other human resources
including information concerning their capabilities, interests and work.

b. In the event the EMPLOYEE is separated or terminated from employment for whatever reason, he/she
shall not seek employment in a local or foreign firm doing business in the Philippines nor establish or
set up a business offering similar services for a period of ____ from date of separation or termination,
without the prior notice to EMPLOYER;

4. Termination

a. The EMPLOYER reserves the right to terminate or cancel this Contract after observing due process for
just or valid causes. Termination may due to any but not limited to the following:
i. Inefficiency
ii. Incompetence
iii. Tardiness
iv. Insubordination
v. Breach of confidentiality and non-disclosure
vi. Breach of Rules and Regulations

5. Resignation

a. In case EMPLOYEE intends to resign from the Company, he/she is required to notify the Company at
least thirty (30) days prior to the effectivity of your resignation, otherwise, failure on your part to do so
will render you liable for damages. However, it is within the sole discretion of the Company whether
or not to accept such resignation earlier than the expiration of the said date.

6. Acceptance

I HEREBY CERTIFY that I have read and have fully understood the foregoing terms and condition of my
employment.
