Annexure I

Work order effective 15th Aug 2017 (“Work Order”)

This Work Order is entered into by and between NTEX Transportation Services Private Limited, a
private company having its registered office at Unit-16, 5th Floor, Ganeesham-D (Commercial), Near
Govind garden Chowk, Pimple Saudagar, Pune 411027 (“ElasticRun”), and M/s. Co name, a
proprietorship company with name of proprietor Milind and father name (PAN card number
_____________ and GST Number ___________) located at Andheri E-Address ______________
Mumbai. ("Partner") and running operations from Our Andheri Office address __________
("Node") and is made a part of the Agreement between ElasticRun and the Partner having an effective
date of 16-Aug-2017 for the Services (as described below) to be performed by the Partner. All
capitalized terms not defined in this Work Order have the respective meanings set forth in the
Agreement. To the extent that the terms of this Work order conflict any of the terms of the
Agreement, and the Work Order explicitly states that it intends to modify the conflicting terms, this
Work Order supersedes the terms of the Agreement.

1. Description of Services and related performance standards to be ensured by the Partner


(“Services”):

The Partner wishes to provide the services in accordance with the performance standards as set
forth below ("Services"):

Basic Services

1. Ensure that the Node is kept neat and clean at all times;
2. Ensure that the Partner’s team arrive on time every day as agreed between ElasticRun and
the Partner;
3. Ensure that all Customers are treated with politeness and respect;
4. Ensure that the Partner will attend Customers walking in, with priority and with warmth;
5. It must not ask any Customer to come back at a later time/ day to collect or drop the
package(s);
6. In case COD package deliveries are carried out by Partner - ensure safe collection of cash
for any Cash on Delivery (COD) orders and subsequently ensure safe keeping of the cash
at the Node for the purpose of submission to the ElasticRun or ElasticRun authorized
staff. The process shall be conducted as per the written instructions of ElasticRun;
7. Ensure safe custody of any hardware and/or software that may be provided by ElasticRun
for rendering of Services by the Partner, and be responsible for any loss/damage caused to
the same;
8. Ensure safe custody of the packages in a secured space at all times until it is collected by
or delivered to Customer or returned safely to ElasticRun, and remain responsible for any
loss/damage caused to the packages placed at the Node or while in transit;
9. Ensure safe custody of the packages picked up from customers in a secured space at all
times, and remain responsible for any loss/damage caused to the packages placed at the
Node or while in transit;
10. In case of deliveries - Ensure that home delivery packages are attempted for the delivery
the same day they are handed over to the partner;
11. Ensure privacy of the Customers at the time of delivery or pick-ups of the
orders/packages;
12. Maintain confidentiality of all Customer and seller information shared by ElasticRun
13. Ensure that the partner conducts adequate background checks on the staff employed by it
at, and those employed for delivery or pick up of packages from/to the Customers; in
accordance with the performance standards set forth herein with respect to the Services to
be provided under this Agreement
14. Ensure that the staff identified by the Partner for the Services described herein are always
in a clean and presentable condition and wearing the agreed uniform and ID card;
15. Ensure that only the staff that can comply with the performance standards set forth herein
for the Services are sent by the Partner for conducting deliveries and pickups at addresses
of the Customers;
16. Ensure that the staff utilized for delivering packages to or picking up the packages from
Customers and complies with the training and the performance standards set forth herein
in relation to the Services to be provided under this Agreement;
17. Will not make any unsolicited calls to Customers or share their contact details/order
details with any third party;
18. In the case of pickups ensure that the picked up packages are connected to the designated
sort center within the time-frame specified by ElasticRun.
19. Agrees and undertakes that it shall be wholly responsible for the acts and/or omissions of
its staff for the performance of the Services to be provided under this Agreement;
20. Agree that any decision of ElasticRun regarding the loss/damage to the packages or cash
shall be final and binding;
21. To share any change in working hours or holiday to ElasticRun at least 15 days in
advance;
22. To ensure that replacement for staff is made available immediately in case of ad hoc
absenteeism.
23. Ensure compliance with all applicable legal requirements and maintain necessary licenses
in relation to the Services to be provided herein;
24. Ensure minimum infrastructure as mandated by ElasticRun is procured by the Partner
before start of operations.

Vehicle Deployment services-If vendor is providing this service

1. Vehicles provided by the partner will need to be available all days of the month.
2. The vehicle driver should have at least 2-3 years of experience driving in the city locally
3. Vehicles will need to report everyday in the morning at the designated time at the node or
at a location instructed by ElasticRun and will have to be available for the agreed duration
throughout the day.
4. Vehicles provided by the partner will be used for Transporting pickup or delivery
shipments from and to node and seller or customer locations as instructed by ElasticRun
and there will be no fixed routes. Routes may be changed daily or as per the instructions
of the ElasticRun team.

Pickup and Station Processing Services

1. Staff provided by the partner for pickup and for station processing operations must be
well versed with handling computer software, android phones and should be familiar with
the logistics domain.
2. Everyday, the Partner team will receive information about all the pickups to be carried
out for that day along with the list of sellers and locations from where the pickups need to
be performed. The list will also indicate the time-slots in which the pickups need to be
performed. The Partner is responsible to plan the routes, manage the staff and arrange to
carry out all the pickups within given time slot.
3. Partner pickup team will need to report to the ElasticRun team at the designated reporting
location in the morning before leaving for pickups everyday
4. Partner will need to ensure that the pickups are carried out in the designated time-slots by
planning the routes and utilization of staff optimally
5. Partner will need to ensure that its staff are fully trained on the software system and that
they are able to perform all the scans and processing as specified during the training
without bypassing any prescribed steps
6. Partner will ensure that all the pickups done from the seller locations are brought back to
the Node for processing, and then perform back to station processing, bagging process,
closing of the bag and loading the closed bags into vehicles which will need to be
transported to the sort center after the processing of the picked up packages at the node is
complete.
7. The Partner will need to adhere to changes in the process as communicated by ElasticRun
from time to time.
8. The Partner will be responsible to drop all the bags after station processing is complete to
the specific location as informed by ElasticRun
9. The Partner will be responsible to perform entire process within the stipulated cut-off
time as informed by ElasticRun (Route planning, arranging vehicles and DAs, performing
Pickups in the given slots, Bringing the picked up packages back to the node and then
dropping the bags of processed packages to the designated sort center)
10. The Partner will remain responsible for any loss/damage caused to the packages placed at
the Node and will be accountable for any mismatch in the count of the packages done at
the pickup location Vs count of packages brought back to the node for processing.
11. The Partner performance will be measured on the following parameters:
a. Meeting designated time-slots for pickups
b. Loss and damage of packages
c. Customer/Seller complaints
d. Cancel shipment if picked up would be return next day to seller by the
vendor.

2. Obligations of the Partner:

In relation to the Services described under Section 1 above, the Partner undertakes to follow the
obligations as set forth below:

1. It will assign and allocate staff that can comply with the performance standards set forth
in Section 1 above, and shall ensure that such staff is available at all times to perform the
Services described hereunder; Following staff, transportation and infrastructure needs to
be made available by the partner and ER as per the agreement and requirement.:
a. Associates who will go and perform pickups from designated sellers/locations would
be all bikers.
b. Vehicles to carry packages from seller to node location and then to the designated
ElasticRun location after the packages are processed at the node
c. Infrastructure required to run node processing operations :
i. Zebra printer Model number GX430t and printer rolls
ii. Video cameras with recording facility and back up of recordings for up to 3
months.
iii. Need to have 1 Camera per 100 sq. ft. and minimum camera resolution
should be 2 MB
iv. 3 Laptops
v. 4 MBPS Internet connection + 1 back up connection
vi. Power backup (Invertor/Generator)
vii. Bagging stands
viii. 2 Scanners
2. Ensure that a single point of contact (SPOC) from the same city will be made available
and who will work with the ElasticRun local team for queries, questions, escalation well
as for requests for new staff and vehicles. The SPOC should also visit the node and the
operations and meet the local ElasticRun team at least three days in a week.
3. Ensure that it allocates appropriate staff to undergo the training to be provided by
ElasticRun;
4. Prevent misuse of any hardware and/or software to be used for the Services by any of its
staff and be responsible for any such misuse if it occurs;
5. Duly inform ElasticRun in the event the associate who is identified by the Partner to be
compliant with ElasticRun Service performance standards as set forth in Section 1 above
is on leave;
6. Comply to instructions provided by ElasticRun or its local representatives at all times
7. Ensure that a cordial relationship is maintained with customers and sellers
8. Agrees and undertakes that any communication exchanged between ElasticRun and the
staff of the Partner in relation to the Services shall be binding on the Partner at all times;
9. The Partner will not subcontract the Services described hereinabove to another entity.
10. End of day reporting to the Station team and the central team with complete
reconciliation.
11. Take complete partnership and responsibility of insurance, PF and any state level or
national level compliances for personnel employed by partner
12. Ensure vehicles deployed have proper permits, pollution under control certificates and
prescribe to any other state level or national level laws describing usage of vehicles for
providing services as per this agreement.
13. Ensure drivers of vehicles have valid commercial driving licenses.

3. Refundable Deposit and Security Check


3.1 Partner will maintain non-interest bearing refundable deposit amount of INR 50,000 with
ElasticRun. The deposit will be returned in full upon termination of this agreement.
ElasticRun may deduct from this deposit any amount towards damaged or un-returned
inventory by the Partner. ElasticRun may deduct from this deposit any monies towards
package damage or package loss or COD cash loss by the Partner.
3.2 The Partner is required to deposit an undated signed check (without amount) as security.
 The security deposit check will only be used in case of loss of packages OR damage to
packages OR to ElasticRun provided equipment OR in case of mismatch or delay in
handing over cash collected from customers on time (“Dues”), ElasticRun may apply so
much of the Security as is necessary to cure the dues or pay an expenses incurred by
ElasticRun as a result of the dues.
 A 15-day notice will be given to the Partner requesting to pay the dues incurred as
described above. In case the Partner fails to pay within the notice period, we will use the
security deposit check for the value of the expenses incurred.

4. Damages, Lost and theft

4.1 Damages
4.1.1 Partner is responsible for the damages to the packages in his custody or during transit.
4.1.2 Partner is responsible to refund to ElasticRun the full book value of the damaged package

4.2 Theft of packages


4.2.1 Partner is responsible for the theft of packages in his custody, while in transit or at the facility
4.2.2 Partner is responsible for refund to ElasticRun the full value of the stolen packages

4.3 Theft of Cash


4.3.1 Partner is responsible for the theft of cash in his custody, while in transit or at his facility
4.3.2 Partner is responsible for refund to ElasticRun the full amount of the stolen cash
5. Fees / Payment Terms

5.1 Payment for pickup, processing and transportation service will be made monthly on a per
shipment basis with rates as described in section 5.2

5.2 Billing rates based on volumes of shipments handled:

5.3 Performance Expectations from the partner (measured monthly)


5.3.1 Partner pickup team needs to visit each and every seller assigned for the day’s pickup.
There should be not any fake attempts or misbehavior with the seller. The performance
expectation is that there should not be more than 1 seller complaint in a month.
5.3.2 Average pickup slot adherence of 100% - Total count of all packages picked up in a
month within the defined time slot will be compared with the total number of pickups
handled by the partner in a month.
5.3.3 Meeting CPT (cutoff) – All packages collected on a day need to connected to the
designated location or Sort Center as per defined cutoff time after having processed the
picked up shipments. This needs to happen 100% of the time everyday.

5.4 Performance Terms and conditions (measured monthly)


5.4.1 Performance will be considered below expectations, even if any one of the 3 conditions
described in section 5.3 is not met. In this case, a 10% penalty will be charged on the
billing for the month.
5.4.2 Performance will be considered as exceeded expectations only if all the conditions
described in section 5.3 have exceed expectations consecutively for 2 months. In this
case, a 10% performance incentive may be added on the billing for the next month

5.5 ElasticRun may from time to time at it sole discretion pay out additional one-time bonuses and
incentives over and above the agreed per package fees based on partner performance.
5.6 The Partner will submit invoice before 7th of next month with details of number of staff and
vehicles used every month, compliant with service tax requirements.
5.7 Upon verification and approval of the invoice, Payment will be released with 7 days of invoice
approval.
