MEMORANDUM OF AGREEMENT

(with Commitment and Undertaking)

KNOW ALL MEN BY THESE PRESENTS:

The Memorandum of Agreement made and executed on this 25th day of July, 2022 by and
among the herein contracting parties;

This Memorandum of Agreement made and entered into by and among:

“name of Triple A company”, a company duly organized and existing under the laws of the
Philippines, with office address at xxxx, represented by its President, “name of company’s
representative”, hereinafter called "FIRST PARTY";

and

NORBERTO M MALUBAY JR., LEONOR GONZALES, FREGIE C FLORES, JOSE

RAMON E. GONZALES, ELEANOR L. ESPINAS, MARIA TERESITA R. ROXAS,
CARLO A. MADERAZO, GERRY L. JONES AND REYNALDO CAPISTRANO of legal
age, Filipino, hereinafter referred to as the "SECOND PARTY";

Where as by the power vested in me as President of the company, I agreed to give three (3%)
percent incentives to the SECOND PARTY as a professional fee for negotiating and locating
a project in behalf of the company.

That the FIRST PARTY and SECOND PARTY are mutually agreed in this memorandum of
agreement with commitment and undertaking are bindings.

IN WITNESS WHEREOF, the parties have hereunto affixed their signatures this 25th day of
