This is a further elaboration of the preliminary memorandum of understanding (the "MOU") shared in the email of
January 24, 2022. This main collaboration between Von Wong and Human Needs Project is to collaborate on an
authorized reproduction of the© Giant Plastic Tap at the UNEA 5.2. The following MOU sets forth the general
terms and conditions of the Parties' agreement to collaborate and the expectations with the expansion adding
additional collaborative Partners brought in to help with funding, message amplification, etc.

Funding: Fundraising funds have been obtained in the from of Crypto currency to build the Giant Plastic Tap in
Nairobi for the goal to display at the UNEA5.2

The amount of$ 10,000.00 USO is confirmed and is for the Human Needs Project team to support and create
(fabricate) the Giant Plastic Tap including all photo, video/editing and communications to push this project forward
curating the message to maximize the various partner audiences.

Transfer of Funds: Crypto currency has already been transfer to HNP in the value of$ 10,000.00 USD
Covering and not limited to as we identify needs and mutually agreed upon:

The 10K/11K USO budget is at your discretion to distribute externally and internally as required.

Resources from Metal to Plastic collection

Fabrication & building of Tap with plastic flow
Lift to hold
Any local permits/insurances, permissions, safety needs & insurance, etc.
Any workspaces to build & transportation
Any require labor
Any onsite messaging support to represent artist, partners, Pandas
Photography, Video & Editing
Communications support for message, releases, posts
Any additional aspects that arise that are mutually agreed upon.

Expectations:

As permission has been secured by the UNEA to exhibit the Giant Plastic Tap with the UNEA Grounds all
parties coordinating to secure volunteers, access permissions and location specifics to display at the
UNEA. Efforts are in collaboration include Greenpeace and their network(s).

Open communication by all parties on all aspects.

Permissions, credits, social tags to be agreed on the project and parameters of application defined for
various parties involved - Development in progress.

Expectations Continued:

VON WONG Production will require full permission of copyright to all visual assets supplied in order to be
able to distribute visual assets to all partners and for release to press/media, etc. Parameters of shared
permissions to be defined and Content Creator waivers to be supplied.

As costs are identified - keep us in the loop should there be any strains.

Overages: there is currently a $ 1,000.00 slush fund for extension should either side require. If any
further financial needs we need to reach out to see what can be sourced quickly or mutually agree to
earmark from Phase 2 fundraising efforts.

Phase 2 fundraising efforts are being designed as a 30 day campaign starting shortly with the "Trash
Pandas". Your team is working on the community, long term, human needs project that we can align all
the communication towards.

We all work to make this as impactful as possible utilizing all the avenues & audiences each partner
brings to the efforts.

Benjamin is your creative director and supporter that will guide & support the build, visual asset creation
and edit and social release directions.

Additional Expenses - TBD:

Any additional rates & expenses that are added to the project equation are to be tracked by the Artist I
Agent and to be covered under the Phase 2 fundraiser.

Benjamin is arrange travel to Nairobi to be available as needed including press opportunities, etc. Any
travel costs are currently not supported within the current fundraising of the build.

Artistic creative video that is being explored would is an example, and not limited to, an element requiring
funding under the Phase 2 fundraiser.

What happens to the pieces after?
The created "Tap" and any related elements including any images, videos, etc. become part of the overall Von
Wong campaign. Further display of the installation campaign to create awareness is a goal before any
destruction.
At a point, that it is agreed, there is no further life for the HNP built Giant Plastic Tap - it is understood that the
team at HNP will responsibly manage the return of materials for recycle of assets accordingly.

Displaying Von Wong's original photography &/or video(s) ·

It is understood that elements of the #TurnOffThePlasticTap campaign or other Artist's images may be utilized in
support of the Artist and the presence of the installation. However, application of any visual materials,
statements, use of name or brand must be pre-approved by Von Wong & his Agent prior to any application or
release to any third party.
For any print applications proper file sizes will be supplied for print reproduction upon approval of application.
Any display requirements or printing costs to be discussed. See above for "What happens to the pieces after".

Licensing Rights Understanding:

To uphold the brand integrity of the Artist's Brand, avoiding contractual conflicts from the release of materials
while manage expectations of partnering parties, etc. it is imperative that the Artist I Agent are aware of all
requests prior to release for review prior to any application.

Brand Messages & Crediting the Artist & Partners:

This collaboration brings together many partners from the Artist Von Wong, Human Needs Project, Greenpeace,
and more being defined. All messaging is being shared across all partners to assure respect and adherence to
Brand messages prior to any release.

This Collaboration Confirmation constitutes the rights that are being granted. Any additional rights available
and to be negotiated prior to any release. Artist retains ownership and © copyright of all artwork & images.
