POWER OF ATTORNEY

(Without consideration)

TO ALL TO WHOM THESE PRESENTS SHALL COME, I, MR. NANDAN


INGAWALE, son of NARENDRA INGAWALE, Hindu, adult Indian inhabitant, Aged
70 years, having permanent address at Kapila Vastu No.4, Room No.1003,
Kolbad Road, Near Patap Cinema, Khopat, Thane (W) 400601 (hereinafter
referred to as “Grantor”) SEND GREETINGS;

WHEREAS I am desirous of appointing a fit and proper person to look after all my

properties, and other affairs during my absence as I am residing abroad due to my


service / educational purposes;
AND WHEREAS being unable to personally attend to various matters during my
aforesaid absence in connection with immovable properties, I am desirous of
appointing my Wife MRS.JAYASHREE NANDAN INGAWALE Hindu, Adult Indian
inhabitant, Aged 42 years, residing at Kapila Vastu No.4, Room No.1003, Kolbad
Road, Near Patap Cinema, Khopat, Thane (W) 400601, as my constituted
Attorney;

NOW KNOW YE AND THESE PRESENTS WITNESS that I, MR. NANDAN


NARENDRA INAGAWALE, do hereby nominate, constitute and appoint my Wife,
MRS.JAYASHREE NANDAN INGAWALE, (hereinafter referred as “the Attorney”),
who has appended his signature at the foot hereof for the purpose of identification,
to be my true and lawful attorney, for me and in my name and on my behalf to do
the following acts, deeds, matters and things, namely:

1.1 To appear on my behalf, execute on my behalf and to represent me and carry


out necessary acts, deeds, matters, operations of my viz. various Insurance
Policies, accounts at Bank/s, Post Office/s by depositing and withdrawals of
amount and undertake such other necessary act as per various provisions
etc.

1.2 To appear on my behalf, execute on my behalf and to represent me and carry


out necessary acts, deeds, matters, operations at and for educational
institution/s, school/s, college/s, university/ies etc. and undertake such other
necessary act as per various provisions etc.

1.3 To purchase and acquire or sell and transfer movable and immovable properties
as my attorney may think fit, proper and desirable, including plot of land,
building premises, shops, flat in Co-operative Society Limited, Apartment,
Company or otherwise and to pay any earnest moneys or bid money or any
part or whole consideration on my behalf for the said purpose and to do all
other acts deeds matters and things in this respect for completing the
purchase or sale (as the case may be) including negotiations, executing
Agreement For Sale/ Memorandum, Conveyance and/ or Deed of Sale
executing relevant forms documents applications reasonably necessary for
completing the transaction and/or incidental thereto.

1.4 To represent me before the Registrar of Co-operative Societies, Registrar of

Companies, Charity Commissioner or the like including the chairman,


secretary and/or the managing committee of a society or the company or any
other association of apartment owners, for the above mentioned purposes.

1.5 To engage advocates, solicitors, counsel or other legal representative for


drafting the deeds and documents for the aforesaid purposes and to settle
and pay the fees of the advocate, solicitor and/or counsel in respect thereof.

1.6 To pay stamp duty, to lodge the agreement for sale, deed of conveyance, sale
and other documents requiring registration in the office of the Registrar of
Assurances concerned or any other Officer of Assurances in India and/or to
admit execution before him to pay registration charges to give or to take
formal possession of the concerned property, to apply for and take the
delivery of certified copies of Index II and documents relating to mutation
entries and the transaction documents after they are duly registered.

1.7 To take possession of and receive the rents, interest and profits of and manage
moveable and immovable properties free hold or leasehold or of any tenure
belonging to me or to which I am or any person or persons in trust for me
now is or are, or at any times hereafter shall or may become seized or
possessed of or entitled for any shares or interest whatsoever and also to let
or demise or grant licences or lease of movable and immovable properties or
any of them or any part thereof, to any person or persons, body or bodies for
any term at such rent or rents or compensation either with or without any fine
or premium and upon such covenants and conditions as my said Attorney
thinks fit, and to execute any deeds, documents of writings for the purpose.

1.8 To accept surrender of any lease or tenancies or licences now existing or which
may hereafter be created in and in the movable and immovable properties or
any part thereof and to make allowances and arrangements with lessees,
tenants, licensees or others.

1.9 To appoint and employ agents, clerks and servants to assist in the management
of the movable and immovable properties belonging to me or in which I may
be interested and to remove them and appoint others in their place and to
pay and allow to the persons so employed as aforesaid such salaries, wages
or other remuneration as my said Attorney shall think fit.

1.10 To give and execute effectual receipts and discharges for the rents, profits
and compensation of the movable and immovable properties belonging to
me or in which I may be interested, and on non-payment of such rents,
profits or compensation or any part thereof or on the breach of the
covenants, agreements and conditions which ought to be observed and
performed by any Lessee or Tenant or Licensee of the movable and
immovable properties or any part thereof, to restrain for such rent, or to
commence, carry on and prosecute any actions, suit or other proceedings
whatsoever for compelling payment of such rents, profits or compensation of
the movable and immovable properties or for any other reliefs or remedies

arising out of any such breach of covenants as aforesaid as my said

Attorney shall think fit.

1.11 To use and take all such lawful ways and means for recovering, receiving,
obtaining, getting, defending or protecting movable and immovable
properties which do or shall or which by my said Attorney shall be conceived
or thought to belong to or in which I may be interested as fully and effectually
as I myself might or could use or take if I were personally present and did the
same.

1.12 To take on lease or hire or on leave and licence basis or otherwise


howsoever any movable or immovable properties for my sole benefit or
wherein I may be interested jointly with another or others at such periodic
rent or compensation and on such terms and conditions as my said Attorney
shall think fit and to execute agreements, leases, leave and License
Agreement, Indemnities, letters and other deeds, documents and writings for
the purpose.

1.13 To ask, demand, sue for, recover and receive of and from all persons and
bodies, political or corporate, liable to pay, transfer and deliver receipts
and/or discharges for the same respectively all sums of money, rents,
issues, profits, stock, funds, interest, dividends, debts, dues, property,
goods, effects and things now owing or payable or belonging to me or which
shall at any time hereafter be owing or belonging to me either by virtue of
any security or upon any balance of account or otherwise howsoever, and on
payment, transfer or delivery thereof or of any part thereof respectively to
give, sign and execute, receipts, dividend warrants, releases, re-
conveyances and other discharges for the same respectively and on non-
payment, non-transfer or non-delivery, carry on and prosecute any action,
suit or other proceedings whatsoever for recovering and compelling
payments, transfer or delivery thereof respectively and for that purpose to
sign and execute all plaints, written statements, and applications and to
engage Solicitors and Advocates and to settle and pay their fees.

1.14 To purchase and acquire any movable and/or immovable properties for me
and on my behalf as trustee or otherwise on such terms and conditions and
at such price as the said Attorney may think fit and for that purpose to sign,
seal, deliver and execute all necessary document or documents of any kind
for me and on my behalf as my said Attorney shall think fit, such purchase or
acquisition being either for my sole benefit or wherein I may be interested or
in which I may be a trustee or in any other manner.

1.15 To sell to or gift or exchange with or otherwise deal in with any person or
persons whomsoever all or any of the movable and/or immovable properties
or shares, securities or any other moveable or immovable property of or to
which I or any person or persons in trust and/or for me now, is or are, or at
any times hereafter shall become seized, possessed of or entitled for any
estate or interest whatsoever or which I now have or at any time or times

hereafter shall have power to dispose off, at such price or prices, or other

equivalent or satisfaction in land or money and by such ways and means as


my said Attorney shall think reasonable, either by public auction or private
contract and on such terms and conditions as the said Attorney shall think fit,
and upon such sale or exchange or other disposition to execute
conveyances, assignments, transfer forms and all other deeds and
documents and to receive or, pay as the case may be, all moneys on my
behalf and to sign and execute all receipts and discharges for the same.

1.16 To borrow and/or lend moneys on my movable or immovable properties or


without security at such rate of interest and upon such terms and conditions
as my said Attorney may in their absolute discretion think fit and for the said
purpose to sign and execute pledge, mortgage, bond or any other writings or
instruments or promissory notes or hundis as may be thought necessary.

1.17 To give on Leave and License all my immovable properties and for this
purpose to sign and execute Leave and License Agreements, Indemnities
and all ancillary documents in relation thereto.

1.18 AND GENERALLY to do and perform all such acts, deeds, matters and
things necessary or expedient in relation to immoveable properties in my
name, as fully and effectually in all respects, as I myself could do by law.

AND I do hereby ratify and confirm and agree to ratify and confirm all and
whatsoever the Attorney shall lawfully do or purport to do or cause to be done by
virtue of these presents.

This Power of Attorney has been given for the specific purpose as stated above.
The powers granted under this Power of Attorney by the Grantor in favour of the
said Attorney has been granted without any consideration.
