SURETY BOND

KNOW ALL MEN BY these presents that I, , son / daughter of ,

residing at (hereinafter called the “Employee”) am hereby
held and firmly bound unto Augmedix BD Limited a company incorporated under the laws of Bangladesh having its registered office at 216 Shahid Syed Nazrul Islam
Sharani, First Floor, Naya Paltan, Dhaka and a Corporate office at Augmedix Building, Suite 203, 17/C, Panthapath, Sukrabad, Dhaka- 1207 (hereinafter called the
“Employer” or “ABL”) which term shall include its successors or assigns and I bind myself and also my heirs, executors, administrators and representatives under the
conditions of this Bond as hereunder.

WHEREAS the EMPLOYER has appointed the above-named EMPLOYEE as Scribe of ABL and whereas the EMPLOYER shall at its own cost and expense give
suitable training to the EMPLOYEE during the initial period of employment over and above payment of salary and benefits.

SEALED with our respective seals this 1st January, 2022.

NOW THE CONDITIONS OF THIS BOND OF OBLIGATION IS AS FOLLOWS:

1. THAT as the EMPLOYER is providing me training with its own cost and expense which is BDT 200,000 in consideration for such cost of training, I have
agreed to serve the EMPLOYER for the entire duration of the Training period and at least for a minimum period of 18 (Eighteen) months from the date of
achieving a Doctor Ready status (DR) and becoming permanent.
2. THAT I have agreed that, if I do not serve the EMPLOYER for the said period, or any part thereof, I have to reimburse/compensate the EMPLOYER without
any claims for set-off and/or counter claims for necessary training inputted on me by reimbursing/compensating the cost of training in pro-rata basis in the
following manner:
(i) 100% of the total cost of training i.e. BDT 200,000 to the EMPLOYER as penalty for reimbursing all fees, if the Trainee leaves the
EMPLOYER within 18 (Eighteen) months of achieving the Doctor Ready status and becoming permanent.
3. THAT I shall not seek employment elsewhere within a period of 18 (Eighteen) months and the Training period without the prior approval of the EMPLOYER
and to this effect from the signing of this Bond along with this Bond to the Company.
4. THAT I during my period of employment including Training shall faithfully, diligently, and efficiently do all acts, deeds and all such duties which may be
required to be done by me.
5. THAT if I am dismissed from service on a charge of misconduct, negligence, breach of duty, embezzlement or if I terminate my service within the period of
mandatory 18 (Eighteen) months permanent employment and Training period the said Bond will be enforced and I shall be bound to pay the said amount of
training in pro-rata basis as stated above on demand to the EMPLOYER apart from any other penalties which may be at the discretion of the EMPLOYER. That
the EMPLOYER may deduct or set-off any such amount from any dues I may have against the EMPLOYER for breach or violation of this bond.
6. THAT I understand that the EMPLOYER may require me to work with any of its partner Company, in which case the period of employment with the
EMPLOYER’s partner Company will be calculated and accordingly deducted from the permanent employment and Training period requirement of the
EMPLOYEE.
7. THAT this Bond is signed by me further to the terms and conditions stipulated in the letter of appointment and that the terms and conditions stipulated therein are
valid and remain in full force.
8. THAT any deviation from the clauses of this Surety Bond will be at the sole discretion of the EMPLOYER.
9. THAT this BOND shall automatically be treated as cancelled with the completion of permanent employment and Training period by the EMPLOYEE to the
EMPLOYER as agreed above.
10. Any notice required to be given hereunder shall be deemed to be sufficiently and duly served if addressed and sent by registered post to me to the address
hereinbefore mentioned.
