Non-Disclosure Agreement

By entering into this Non- Disclosure Agreement (“Agreement”) you acknowledge and undertake that given the
unprecedented breakdown of COVID -19, you have been allowed to work from home in your and organization’s
mutual interest. You are, therefore, be bound and undertake that while working from home:
a) You continue to be bound by the confidentiality and integrity of all the information, trade secrets, proprietary
data of the Company or its customers or such other information (hereinafter defined and referred to as
“Confidential Information”) you are provided with or you worked upon or you create or you become privy to,
whether orally or in writing or otherwise in any other form;
b) For work from home, the Company may provide (subject to availability) you with necessary equipment’s/
system (“Device”) and support and you shall take good care of such Device and hold the same in trust for the
Company;
c) Such Device shall be used solely for the official purposes;
d) Where you use your own laptop or some part of the equipment belonging to you, you shall ensure that the
Company Confidential Information is stored, accessed and worked upon separately in a separate disc/ location;
e) You shall always take adequate precautions to preserve the confidentiality and integrity of all the Confidential
Information in a manner you preserve for you own confidential information;
f) You acknowledge that while working from home the adequacy of protection of Confidential Information, at times,
may not be as strong as the same is while working from office, you shall take all reasonable steps to ensure that
the Confidential Information is not compromised at all;
g) To the extent possible and applicable while working from home, you shall continue to comply with all the
policies of Company as are available in Employee Self Service portal or you are made aware of time to time;
h) You shall use the Confidential Information shall be used only for its intended purpose and shall ensure that its
not use for any other purposes;
i) You shall not discuss with anyone, except where required in official capacity, the content of the Confidential
Information and shall completely refrain from taking prints, noting down or taking picture of Confidential
Information;
j) You shall ensure that the Confidential Information is not accessible by any other person (including your family
members) and shall be protected by a strong password;
k) You shall ensure that you shall not visit any susceptible websites or websites which track user data or websites
which may grant access to data stored in your system;
l) You shall ensure that when you are not using the Confidential Data, the Device shall be logged off or shut down;
m) Any information concerning passwords, usernames, network credentials or requirements/ability used to access
the Company’s information and systems by teleworking/mobile working must not be shared with any other person
including your family, friends or members of the public;
n) During short periods of time when Device is not being used (e.g. when on the phone/ small breaks) users
should lock Device to prevent screens being overlooked;
o) In the event you face any problem/ issue, you shall immediately contact your manager and the concerned team
at address given below:

p) You shall follow all other instructions/ recommendations given by the Company from time to time;
q) You acknowledge that the Company shall have a right to take appropriate action against you in the event any
act or omission done with malafide intent or any voluntary omission to follow the provisions of this Agreement or
breach of provisions of this Agreement, which right shall include appropriate penal action and/ right to terminate
with immediate effect, right to recover damages caused to the Company.
Company expect that you understand these trying and unprecedented times and Company solicit your
cooperation to continue the business with minimum impact while ensuring your safety and welfare at the same
time. These times, collectively, make us stronger and better.
