Dear Yonas,

Warm Greetings!

Thank you for the opportunity to work with you as a Hotel Consultant at Lalibela.
Following our meetings on Saturday Dec. 3/2022 I have thought about what
needs to be done currently after visiting your Hotel facilities and discussion with
you and my experiences and skills will help you to put the right system and
standard for your hotel.

I am available at any time in order to discuss further your requirements. In this

connection, please find attached my proposal for your perusal. Here below is also
my email, contact address and telephone number.

THIS AGREEMENT is made on December 3, 2022.

BETWEEN:
1. MR. TARIKU HAILU BALCHA herein after called (the “Consultant”) whose
registered address is Addis Ababa, Lideta sub city, Wereda 02, House No. 117,
Telephone no. +251912828220 and email address tarikuhailu2014@gmail.com.
And

2. Entrusting party: Lalibela Hotel, herein after called (the “Client”) whose

registered address is………………………………………………..

Whereas
The client demands the consultancy service and the client wishes the consultant to
provide professional consultancy service regarding Hotels management operated by the
client that is located in bole airport. Whereas the consultant has agreed to undertake the
work in accordance with the terms and conditions of this agreement, the client has also
agreed to pay the consultant as per this agreement. Both parties have reached agreement
for following terms and conditions.

1. Scope of Consultancy Work

The consultant shall provide professional consultancy service for Lalibela Hotel
Management. The consultancy service is including but not limited to following:
1.1 Conduct basic Hospitality and customer service trainings for all employees and
owner.
1.2 Prepare standard operating procedures and operating manuals for all
departments
1.3 To prepare the Organizational Structure , HR manual and Job Description for

 all the positions and all departments
1.4 Recruit the management and line staff as per the organizational structure
1.5 Train all management and line staff as per the standard operating procedures
prepared
1.6 The consultant shall provide the soft copy documents relating to professional
service, manuals, SOP and check lists.
1.7 To assist the client in any other requests or demands raised during the contract
period

2. Obligations of the consultant

2.1 The consultant agrees to provide consultancy during the service period in such
a way that meets both local and international standards, ensuring professional
and reliable consultancy service.
2.2 The Consultant will discuss the progress of the service with the Client or
personnel authorized by the client on a daily basis.
2.3 The consultant shall timely reply all enquires consulted by the client and the
consultant shall ensure the correctness and professionalism of his consultancy
and shall meet the client’s requirements.
3. Obligations of the client
3.1 The client shall effect payment to the consultant according to the terms of this
agreement.
3.2 The client shall provide necessary information to the Consultant for execution
of this agreement.
3.3 The client will provide Office facilities, Transportation and F&B Allowances
while on duty to the consultant.

4. Term for Service

The term for service shall commence from date of contract signing and ends with in
2 (two) years.

5. Payment
5.1 The client agreed to pay contract price that is amounting to net 160,000 (ETB)
（One hundred Sixty thousand ETB only）for the service and the payment will
be affected as follows.
a) The first 20 % of contract price will be paid on the date of signing of this
agreement.
b) The remaining amounts will be paid on a monthly basis until the end of the
contract period
5.2 Regarding on taxation of consultancy fee under this contract, both parties agree
that the client shall be responsible for any taxes and related government fees.
6. Change Orders
6.1 Any changes in the work scope shall be carried out based on mutual agreement
and shall be notified in writing.
6.2 After the constancy service is completed, the parties can renegotiate and modify
this agreement if the Client wants the consultant to continue to be Advisor of
the Restaurant.
7. Force Majeure
If either party is unable to perform an obligation under these conditions, by reason
of circumstances beyond a reasonable control and which could not have been
avoided or overcome by the use of reasonable diligence and foresight, the party
concerned shall immediately notify the other party in writing, provide an estimate
that how long such circumstances are likely to continue and he may be entitled to
reasonable extension of time for performance upon mutual agreement,.
8. Law
8.1 The consultancy work and this agreement shall be governed and coinsured in
all respects in conformity with the relevant laws of the Federal Democratic
Republic of Ethiopia.
8.2 Consultant shall perform the work under this agreement complying with all

 applicable laws, regulation, customs and good practice.
9. Notice
Notices shall be validly given if sent by email or recorded delivery post to the
respective addresses of the parties stated in the agreement or to any addresses
subsequently notified in writing by one party to the other.

10. Commercial Secret

Either party who has known the Commercial Secret due to project execution, he
must not release the antecedent Commercial Secret in any forms for any other
parties or individual to learn, use or release, otherwise, the defaulting party must
compensate the non-defaulting party all the economic and goodwill loss due to this
noncompliance. The use of Commercial Secret for project related work within the
scope of the Agreement is not considered as noncompliance.
11. Arbitration
11.1 The parties acknowledge minimizing any destruction which may result in
disputes. If such dispute happens, they will attempt to resolve such dispute
amicably or through arbitration prior to taking any further actions to resolve
the dispute.
12. Entity
12.1 This Agreement constitutes the entire Agreement between the parties and
supersedes all prior Agreement and understanding in written or oral.
12.2 This Agreement is written in English, shall be valid and take effect from date
that the parties affix their signatures hereunder. This contract has 4 original
copies and each copy has same legal effect.
