PROFESSIONAL CONTRACT AGREEMENT TO UNDERTAKE ENVIRONMENTAL IMPACT

ASSESSMENT

The contract agreement is entered between Siraj Bekelie, Environmental Impact Assessment and Audit Consultancy
Service herein after called the consultancy firm.

Ato/ Mr /Mrs iraj Bekelie, Professional Specialist /Expert/, herein after called the Expert.

Address: Oromia, Sebeta, Kebele 04, Ho. No. New, Tel. 0911844465

The agreement has been reached that the specialist /Expert/ will handle the environmental impact assessment (being
one of the study team members) in his area of competency in which he secured a certificate from Environmental
protection Authority as a senior Biodiversity and Ecosystem Affairs Analyst Expert.

Article 1: Scope of the Work

 Prepare the technical proposal based on TOR provided by the client

 Prepare assessment checklists, and other relevant tools, pertinent to the project under study.
 Conduct field assessment and produce the first draft report of the assessment work conducted, and
consequently well written final report considering the comments given by the client;
 Present the Environmental Statement Report (ESR) when needed and profoundly defend it when deemed
necessary;
 Explain the detailed activities of the work to the client and be able to define them whenever the need arises.

Article 2: Obligation of the Specialist /Expert/

 Assist the firm in searching the projects to be studied

 The expert shall deliver the final report of the work within the agreed timeframe;
 Produce study documents as per the desired standards and quality
 The expert needs to bind to the guidelines and obligations set by Regional and Federal Environmental
protection organs.

Article 3: Obligations of the Consultancy Firm

 Provide the necessary TOR of the work to the expert;

 When needed, the consultancy firm shall give the required technical advice that is important to the overall
work accomplishment of this agreement;
 The consultancy firm shall effect the payment to the expert as per the agreement within 5-10 days after
desired work is completed and submitted.

Article 4: Confidentiality

Unless otherwise agreed in advance and in writing by the company, the expert will not expect as require by law or
court order, use the Confidential Information for any purpose whatsoever other than the performance of the services
or disclose the Confidential Information to any third party.

Article 5: Remuneration and Mode of Payments

 The total payment (professional fee) will be tracked based on the quality and standard of the work done and
timely submission of the final report.
 The general agreement is that, the expert will be entitled to specific amount of payment depending on the
specific project for specific profession, which will be specified by specific agreement. For each profession
 the expected payment will be 10 per cent which would be computed from the remaining money after all
expenses including all taxes are deducted.

Article 6: Settlement of Disputes

Article 6.1: Amicable Settlement

The parties shall use their best efforts to settle amicably all disputes arising out of or in connection with this contract
or its interpretation.

Article 6.2: Dispute Settlement

Any dispute between the parties as to matters arising pursuant to this contract that cannot be settled amicably within
thirty (30) days after receipt by one party of the party’s request for such amicable settlement may be submitted by
either party for settlement in accordance with the laws of the country.

Article 7: Other Conditions

 The contract agreement needs renewal every two years as deemed necessary;
 This agreement is bind by the law of the country;
 The contract agreement can be terminated by either party by giving 15 calendar days written notes to the
other party.
