above said lands purchased from Mrs.P.Kalaivani, W/o Mr.P.Paradesh to


and in favour of M/s.Modi Steel Wire Manufacturing Company, vide Sale
Deed Registered as Doc.No.2459 /1988, dated 09.O6.1988, on the frle of
S.R.O. Thiruvallur.

UTHEREAS the above said property converted along with adjacent lands
comprised in Survey Nos.2lOllA (Partl,2lO/IB (Partl,2lO/2 to 2lO/7,
2tO / 9, 2Io / 10, 2Io / t 1 (Partl, 2l t / 23 (Partl, 21 1 / 27 to 21 t / 33 and. 56 / 2,
56/4, 56/5 in to layout of housing plots and obtained Approval from thc
Deputy Director of Country and Town Planning Chingleput granted their
approval vide D.T.C.P. Approved No.1,222 /90 based on Thiruvattur
Panchayat Union Commissioner's Letter R.C.No.38950/ 1990, dated
27.12.1990 and the layout named as "SHRMNKATESWARA NAGAR",.

WHEREAS the VENDOR is the sole, legal, true absolute and exclusive
OWNER of the vacant plot and measuring an extent, which is more fully and
particularly described in the schedule hereunder, which he has purchased
from and out of his own funds and savings, without any ancestral nucleus,
from M/s. Modi Steel Wire Manufacturing Company, a Unit of Registered
Partnership Firm namely M/ s. Modi and Modi Co, represented by its
Partners: l.Mr.Ashokkumar Kantilal Modi also Known as Ashok Kantilal
Modi or Ashok K Modi, 2.Mr.Anilkumar Kantilal Modi also known as Mr.Anil
Kantilal Modi,3. M/s. Alvittas Electricals Private Limited & 4. M/s. Modi &
Modi Renewable Enerry LLP, to and in favour of the VENDOR herein
(Mr.L.Sreedhar Reddy), vide Sale Deed dated OL.l2.2o2l, Registered as
dated O8.O3.2O22,DoctmentNo.3278l2O22 of Book-I on the lile of the
Sub-Registrar OIIice, Tiruvallur. The above same was rectified under
Rectification Deed dated 26.07.2022 registered as Document
No.ll724l2O22 of Book-l, on the file of the Sub-Registrar Office at
Thiruvallur Joint -I.

WHEREAS the VENDOR herein being the sole and absolute owner
of the
Schedule property as on date is in absolute possession and enjoyment
of the
same as on date without any let or hindrances and affrrms that
it has got
absolute right, title, interest and unfettered authority to convey the
same to
anyone.

WHEREAS the VENDOR being tJ.e absolute owner and was in


exclusive,
unintermpted, continues possession of the vacant housing plot No.2S
measuring an extent of 198O Sq.ft., consists as plot IIo.2SA (measuring
825 Sq.ft.,) and Ptot No.2SB., (measuring 1155 Sq.ft.,) in ttre said layout
and the vENDoR has got right, titre and interest and unfettered authority
to
convey the above said property to anyone.

WHEREAS the VENDoR herein offered to sell and the puRCHASER


evinced
interest to purchase in the vacant housing plot t{o.2SB
measuring an
extent of 1155 Sq.ft., Comprised in Suwey lyos,2lol1O & 21Ol11., (patta
No.277Ol, in the layout named as 3SHRMNI(ATESWARA NAGAR",
situated at No.78, Kilambakkam Village, Thiruvallur Taluk, Thiruvarlur
District, which is more fully described in the Schedule hereunder,
hereinafter referred to as Schedule property for a sale consideration of
Rs.8,37,375 /- (Rupees Etght Lakhs Thlrty Seven Thousand and Three
Hundred and Seventy Five Onlyf ., free from all encumbrances.

whereas the vendor has been in continuous possession and enjoyment of


the above said property, viz., hereunder and have been exercising all rights
of ownership, without any let or hindrance from any person/s.

whereas the Vendor has agreed to sell and trre purchaser has agreed to
purchase the schedule mentioned property for a total consideration of
Rs.8,37,375 /- (Rupees Etght Lakhs Thirty Seven Thousand and Three
Hundred and Seventy Five Oalyf., free from all encumbrances, charges
and liens.

NOW THIS D EED OF AGREEMENT OF SALE

1' The above vENDoRs assures the puRCHASER trat there


is no
encumbraace over the schedule property as on today
and that there is no
subsisting agreement of sale in favour of any person or persons
in respect
of the propert5r and agreed to be sold in favour of the pURCHASER
herein.

2. The VENDOR hereby agrees to sell the vacant housing plot

measuring an extent of llSS Sq.ft., Comprised in Sunrey

& 2lOl ll., (Patta No.2ZZOl, in the layout named as .SHRI
VENKATESWARA NAGAR", siruated at No.78, Kilambakkam Vilage,
Thiruvallur Taluk, Thiruvallur District

3. The PURCHASER hereby has paid a sum of Rs.f0,000/- (Rupees


Ten
Thousand only) as Advance to the vendors herein, which the
vendors
hereby admit and acknowledge it.

4' The vendor confirm trat on receipt of the sale consideration in fulr,
registration expenses, stamp duty, document registration fees,
and
miscellaneous expenses, will facilitate, arange and complete
the
Registration of the Schedule property in favour of the puRCHASER
and
hand over the possession of the scheduled property.

5' The parties hereto agree that the entire sale shafl be completed
within a
period of sixty Days from t].e date of signing this Agreement
of sale and
time shall be the essence of this Agreement of sare. And in the event,
the
Purchaser fails complete any the terms of this Agreement,
the
PURCHASER forfeits his advance and this agreement will
become null
and void.

6. During the Pendency of this Agreement of Sale, any upward revision in


Land Guideline/Value/Registration charges etc, effected by the
Authorities concerned, then the same will have to be borne by
the
Purchaser.

7. In case of need the vendors agree to a.r€rnge for an inspection of the


original title deeds relating to the Schedule propert5z by tJre purchaser or
by their authorized Bank Representative in respect of which the
PURCHASER has already collected and verifred the marketable title of the
Vendor.
8. All disputes arising out of or in respect of this Agreement of sale shall be
decided by Arbitration at chennai Jurisdiction, and the Arbitrator will be
appointed by the Vendor or his nominee/s only. The language of
Arbitration shall be English only.
