The term 'DEVELOPER" and "PURCHASER", wherever the context so


means, requires or permits, includes their legal heirs, representatives,
executors, administrators, nominees, successors-in-interest and assigns;

WHEREAS Mr.V.Babu & Ors are t]:e absolute owners of the vacant houses
in all totally measuring an extent of

Sy.Nos.362l3C, 362/38, 36114c, 362/3D, 36212, 362/38, 362/4A,
36213A,357,36112,36Ll4A,36tl4B,36Ll4D & 362l3F, in to layout of
housing plots "AYAAN CITY", Approved from Chennai Metropolitan
Development Authority vide PPD / LO No .32 I 2023 in Letter
No.LL / 15962 /2022, dated t6/02/2023 and Planning Permit No.15302 on
1611212023 and subsequently approved by 'Commissioner' Poonamallee
Panchayath Union, vide RC.No.496/ 2023 I A3 dated. 24 I 02 / 2023, situated
at Kavalcheri Village [Voyanallur ts' Village], Poonamallee Taluk,
Thiruvallur District.

WHEREAS Mr.V.Babu & Ors entered into an MOU on 23.03.2023 wild,:.


M/s.MANJU PROMOTERS PRTVATE LIMITED, to carq/ out the activities viz.,
develop, market & sell the housing plots in the aforesaid layout.

WHEREAS, the DEVELOPER herein, after careful consideration, agreed to


develop, market & sell the aforesaid Housing Layout named as "AYAAN
CITY', situated at Kavalcheri Village [Voyanallur ts' Viltagel, Poonamallee
Taluk, Thiruvallur District.

WHEREAS the VENDOR being the absolute owner and was in exclusive,
uninterrupted, continues possession of the vacant housing plot No.23O,
(extent of 828 Sq.ft) & Plot No.231, (extent of 82g Sq.ft) totally measuring
an extent of 1656 Sq.ft., ir1 the said layout and the VENDOR has got right,
title and interest and unfettered authority to convey tJ:e above said property
to anyone,

WHEREAS, with an intention to Purchase housing plot No.23O, (extent of


828 Sq.ft) & Plot No.231, (extent of 828 Sq.ft) totally measuring an extent of
1656 gq.ft., comprised in Survey No.362/3A, as per patta sub - division
Survey No.362/3A1A1, in the aforesaid Project, more fully described in
Schedule hereunder, the PURCHASER herein, approached the DEVELOpER
herein, with a request to develop the aforesaid plot proposed to be
purchased, and agreed to pay a sum of Rs.17,38,8OO/- (Rupees Seventeen
Lakhs Thtrty Elght Thousand and Elght Hundred OnIy), to the
DEVELOPER towards Development Works as listed in the Annexure to this
Development Agreement.

NOW THIS DEVELOPMENT AG RDEMENT WITNESSETH AS FOLLOWS:

1) Upon request from the PURCHASERS, the DEVELOPER herein has


agreed to develop Plot No.23O, (extent of 828 Sq.ft) & plot No.2B1,
(extent of 828 Sq.ft) totally measu.ing an extent of 1656 Sq.ft.,
comprised in
Survey No.362/3A, as per patta sub - division Sunrey
No.362l3A1Al, Approved from Chennai Metropolitan Development
Authorityvide PPD/LO No.32/2023 in Letter No.LtltS962/2O22, d,ated
16/0212023 and Planning Permit No.15302 on L6/t212O23 and
subsequently approved by'Commissioner' Poonamallee panchayath
Union, vide RC.No.496l2023lA3 dated, 24/02/2023, situated at
Kavalcheri Village [Voyanallur ts' Villagel, Poonamallee Taluk, Thiruvallur
District, more fully described in Schedule hereunder, for an estimated
Development Charges Rs.17,38,8OO/- (Rupees Seventeen Lakhs Thtrty

Works as listed in the Annexure to this Development Agreement.
2) The PURCHASERS has paid a sum of Rs.1O,0O0/- (Rupees Ten
Thousand Only) paid as Advance, from out of the total estimated
Development Charges, to the DEVELOPER, to develop the Schedule
mentioned Property.
3) The PURCHASER agrees to pay the balance remaining Development
Charges amounting to Rs.17,38,8OO/- (Rupees Seveateen Iakhs
Thkty Efght Thousand atrd Etght Hundred Oaly), at the time of
Registering the Schedule Property, or within one month from the date of
this Agreement, earlier.
4) THE DEVELOPER has agreed to complete the Development Works of the
Schedule Property within one month from the date of signing this
Agreement.
5) During the pendency of this Development Agreement, if Taxes/Charges are
revised or additionally levied by tJ:e Government of the Day, and/or, by the
Statutory Authorities, the PURCHASERS herein agrees to bear the same
including any other incidental expense/s incurred thereon.
6) THE DEVELOPER herein, agrees to arrange for the Registration of the
Schedule Property, in favour of the PURCHASERS or their Leea]
Nominees upon receipt of the entire Plot Cost at Guideline Value
including the Development Charges.
7) The DEVELOPER herein, agrees to hand over the duly developed Vacant
Possession of the Schedule Propert5r to the PURCHASERS, after tJ:e
Registration of the Sale deed in respect of the Schedule Property.
8) Any dispute or difference arising out of or in connection witJ: this
Agreement, the same shall be referred to Arbitration in accordance with
the provisions of the Arbitration and Conciliation Act, 1996. Arbitration
will be conducted by a Sole Arbitrator to be appointed by the Developer.
The proceedings will be conducted in the English language and the venue
shall be in Chennai. The Courts in Chennai, Tamil Nadu and Laws of

India will have exclusive jurisdiction on any matter concerning this


Agreement.
