A proposal to open a current account with the State Bank of India, Lachhamangarh Branch in Sikar
was placed before the board for conducting its day-to-day financial transactions. After discussion the
board passed the following resolution: -

“RESOLVED THAT current account in the name & style of PANJI HOTELS PRIVATE
LIMITED be open with State Bank of India, Lachhamangarh Branch in Sikar (hereinafter referred
to as “Bank”) for the operation of the activities of the company and that any of the following shall be
authorised signatories for the purpose of opening and operating the account:

2. Shri Ashok Kumar Saini – Director _______________

“FURTHER RESOLVED THAT Bank be and is hereby instructed to honour all cheques signed by
any of the directors/authorised signatories mentioned above as well as all the promissory notes and
other order drawn by and  all bills accepted on behalf of the company and to accept and credit to the
account of the company all money deposited with or owing by the bank or any account or accounts at
any time or times kept or to be kept in the name of the company and the amount of all cheques, notes,
bills other negotiable instruments order or receipts provided they are endorsed/ signed  as above on
behalf of the company and such signature(s) shall be sufficient authority to bind the company in all
transactions between the bank and the company including those specifically referred to herein.

FURTHER RESOLVED THAT the bank be furnished with a copy of the Memorandum & Articles
of Association and be from time to time informed by notice in writing under the hand of the
Directors/Authorized Signatory of the Company of any changes which may take place therein and be
entitled to act upon any such notice until the receipt of further notice under the hand of any Directors /
Authorized Signatory.

“FURTHER RESOLVED THAT the Company do hereby apply to the Bank for Net Banking/
Mobile Banking/ Debit Card facility and that the contact number : 9829014393 be registered with the
bank as registered contact number of the company for all the transactions.

“FURTHER RESOLVED THAT the Authorised Signatories are hereby authorized to operate the
Net banking facility severally or jointly and to receive the login id and passwords for accessing
information on the Internet Banking for usage of Net Banking / Mobile Banking / Debit Card,
confidential and limited to the persons authorized by the Company.

“FURTHER RESOLVED THAT the certified true copy of this resolution together with the
specimen signature of the authorized signatories be handed over to the Bank and remain in force until
an amending resolution shall have been passed and a copy of such amending resolution certified as
true by all the above signatories shall have been received by the Bank, and until receipt of the same,
the Bank shall be entitled to rely and act upon this resolution only.
