1. DEFINITIONS
Where the following terms are mentioned in this

Confidential Information:
means all information, data and documents directly or
indirectly related to the Services and whichever it
includes, or related to, including financial, technical,
operational, administrative, legal, economic,
accounting, databases, specifications, tools, samples,
prototypes, drawings, models, plans, procurement
requirements, engineering information, computer
programs (source codes and classification), and
signatures; or details of current or future projects,
inventions, technical know-how, trade secrets and other
information, arising out of or derived from, or subject to
discussions or negotiations relating thereto, in any form,
whether written, oral, visual or electronic, received,
accessed or viewed whether it is recorded, stored or

‫المستقبلية واالختراعات والمعرفة الفنية واألسرار التجارية وغيرها‬
‫من المعلومات أو ما ينبثق عنها أو مشتق منها أو الخاضعة للمناقشات‬
‫ في أي شكل كانت سواء مكتوبة أو شفهية‬،‫أو المفاوضات المتعلقة بها‬
‫ أو تم تلقيها أو الوصول لها أو االطالع عليها‬،‫أو بصرية أو الكترونية‬

confidential information, and whether it is directly or
indirectly related to the Services, disclosed directly or
indirectly to us or any of our representatives by you or
any of your representatives, and the information
includes all copies of any of the above.
Representatives:
mean our employees, their respective directors, their
respective employees, agents, consultants, and any
affiliated entities to us.
2. DUTY OF CONFIDENTIALITY
Pursuant to this undertaking, we undertake the
following:
2.1 We will hold the Confidential Information in
strict confidence and will not disclose, reproduce
or distribute any Confidential Information in
whole or in part, directly or indirectly or permit
any of the foregoing, to any persons, other than to
our Representatives to the extent that such
disclosure, reproduction, or distribution
necessary for the purposes of performing the
Services.
2.2 Neither we nor any of our Representatives will use
any Confidential Information for any purpose
other than the Services or allow or assist any other
person to make any announcement in relation to
the Services.
2.3 The undertakings given by us in this letter are
given on our own behalf and on behalf of each of
our Representatives with their full knowledge and
authority. We ensure that each of
Representatives is informed of the terms of this
undertaking and adheres to it, and we will be
responsible for any breach committed by any of
our Representatives in relation to this undertaking.

3. PERMITTED DISCLOSURE
The undertakings in paragraphs 2 will not apply to
Confidential Information relating to the events set out
hereunder for which we can prove to you with the
respective supporting documents.
a. In the event that, the Confidential Information,
which was disclosed to us or one of our
Representatives, subsequently became disclosed to
the public and could be obtained by any person with
no more than reasonable effort (other than as a direct
or indirect result of the information being disclosed
in breach of this undertaking ).
b. The Confidential Information was known to us or
one of our Representatives prior to the date of this
undertaking and such person was not under any
obligation of confidence in respect of that
information.
c. We or one of our Representatives have attained the
Confidential Information prior to the date of this
undertaking from a source not connected to you or
any of your Representatives and this source was not
under any obligation of confidence in respect of that
information.
d. In the event that the Confidential Information is
required to be disclosed by any applicable law or
regulation or by a competent governmental or
regulatory authority order or any order of any court
of competent jurisdiction.
4. RETURN OR DESTRUCTION OF
CONFIDENTIAL INFORMATION
In the event that you or us at any time, through a written
notice, decide not to proceed with the Services, we and
each of our Representatives will, within five (5)
Business Days, destroy or return to you (as per your

5. GENERAL PROVISIONS
5.1 We will adhere to the articles and content of this
undertaking during the duration of the Services or
the related agreement or purchase order and shall
be extended to the maximum duration permitted in
the governing laws and regulations of the
Kingdom of Saudi Arabia.
5.2 We may not assign or amend this undertaking or
any of our obligations therein without your prior
written consent.
5.3 If any provision of this undertaking is found to be
invalid, unenforceable, or illegal from the
perspective of the laws or the competent
governmental authorities, the other provisions of
the undertaking shall remain in force.
5.4 This undertaking is governed by and construed in
accordance with the laws of the Kingdom of Saudi
Arabia, and we agree to submit to the exclusive
jurisdiction of the courts of the Kingdom of Saudi
Arabia in regard to this undertaking.
5.5 This undertaking does not violate or limit the
application of any law in the Kingdom of Saudi
Arabia, including the Penal Law on Dissemination
and Disclosure of Classified Information and
Documents, issued by Royal Decree no. (M/3)
dated 08/05/1432AH.
