1.0 BACKGROUND

The 2/F of Sha Tin Clubhouse (STCH) is combined by different sectors/facilities to provide
leisure and dining service to the Members including The Ladies Purse Restaurant, Fitness
Studio, Gym, Massage room, Billiard Room, Indoor & Outdoor play zones, and a pool view
deck as a multi-functional hub for ‘Best in class’ enjoyment.

Most of these facilities have remain unchanged since the last renovation in 2009, except the
kitchen of Ladies Purse in 2007, carpet and chair replacement of Ladies Purse in 2016 &
2019 respectively and Outdoor play zone in 2008 and have fallen below Member’s
expectations. The atmosphere, spatial planning and circulation are far below the standard of
other Clubhouses’ and Racecourses’ facilities and no longer to suit the operation need in
boosting business and enhancing Members’ customer experience.

Regarding to the survey on Members’ satisfaction and statistic on revenue and usage of
facilities, the satisfaction level in overall ambience and interior design are relatively low due
to outdated decor, spatial planning, circulation and aging fit-out, also dropping in revenue
occurred in Ladies Purse. Besides of the restaurant, there is trend of increase in Gym revenue
and usage, however, satisfaction level in service and product of such recreation facilities are
dropping rapidly due to congested space in gym, inadequate studio/changing rooms, aging
fit-out and equipment.

The Club would like to renovate the entire 2/F in rearranging of spatial planning, improving
circulation, elevating design & decor and enhancing connectivity and visibility to different
facilities to meet with market standards and provide “best-in-class” customer experience.

2.0 OBJECTIVE

The renovation should raise satisfaction levels and customer experience in line with the ever-
rising Members’ expectations and be more competitive to catch current market trends where
the Members can enjoy the “Best in class” leisure life in the coffee shop also other recreation
facilities. It should be able to catch the opportunities to:

- Revitalize recreation facilities to attract Members to increase their visitation

- Make Family & Wellness zone prominent to suit for more concentrated and identical
segments especially family with kids and Members who look for fitness and wellness

- Reposition the restaurant to be more concentrated and identical segments especially


family with kids and Members who look for convenience

- Revitalize the restaurant to attract the Rare & Very Rare members to increase their
visitation

The facilities should benchmark against top-tier contemporary style restaurants, wellness and
stylish Gyms, boutique style massage room, creative edutainment play zones to offer relax
and wellness yet hip experience to Members. The facilities are to provide right offering &
sophisticated environment for Members and to drive utilization on both race and non-race
days, eventually generating incremental business return and an attraction point of STCH.

3.0 SCOPE OF WORK

A full renovation will be carried out for the 2/F to bring in new design concepts as described
in the following paragraphs. In general, the design and renovation shall introduce take away
area is convenient to guests, interconnect the coffee shop and Play zone, enlarging the Gym
with more fitness studio classrooms, exploring the possibility of usage of pool viewing deck
and enhancing customer experience with clear way finding from lift lobby to different outlets.

3.1 Lift Lobby

The current lift lobby is lack of sense of arrival and looks unattractive to the Members.
Identical feature and wellness look and feel to differentiate the floor as a leisure and wellness
zone is preferred, also contemporary repection and clear directroy to greet the Members and
project an image of a journey to wellness, an integrative approach to a healthy and enriching
lifestyle where Members can find wellness with personalized attention, fitness forward
programming, and professional aromatherapy treaments.

A bypass lobby for Gym in the main lobby for connection of the staircase leading to 1/F to
provide direct circulation from 1/F to 2/F Gym area is preferred.

The lift lobby of 2/F is over spacious, the illumination level is low, the decor & lighting
fixture is outdated.

3.2 Coffee Shop (Ladies Purse)

In order to create a hip and relaxing space, uplifting interior finishes for sense of wellness
and decent details, also upgrade the kitchen by replace deteriorated kitchen equipment,
explore the possibility to create a showcase kitchen as attraction point to guests is expected.
In addition, improve proximity and visibility of play zone and introduce direct access is more
favourable to the family guest with kids.

Improvement of circulation and spatial planning is another critical point to be addressed and
resolved in this renovation, aiming at higher efficiency, sense of spacious and measures
including introduce larger window to allow higher visibility to STRC.

It is a busy restaurant but the entrance and reception is too small. Members and staff with
different activities are crowded and crossing each other ie. Members enquiries, checking in
for tables, ordering takeaway, picking newspaper, choosing pastries from the cake fridge.

The restaurant space allocation is inefficient for operation. The salad bar and Japanese
counter have taken up much space of dining area, and therefore cannot create more seats for
business.

The main kitchen is too small to cope with the busy operation and there is insufficient space
for storage, fridges, worktop & pick up area. The existing open kitchen design is not
operationally effective and require additional manning to operate it. The access from dining
are to the kitchen is too narrow and always create bottleneck when operation is busy.

Kitchen re-layout to improve efficiency with better circulation, open kitchen in the restaurant
is in low usage and preferred to be removed. In addition, a take away counter near the
entrance with waiting area is needed.

The floor size of viewing gallery to the swimming pool (adjacent to Ladies Purse) is too
small to offer any activities for members. It has become a void area at the 2/F.

There is no proper storage area for furniture and operating equipment, and the manager’s
office is in the Switch Room.

3.3 Play Zone (Indoor)

The indoor play zone should be relocated to get closer to coffee shop, and create direct
accesses in connecting to other outlets, also to have visual connection to the coffee shop is
preferred. It is not prominent in location and cannot create an eye-catching feature to draw
the attention of families & children.

The play equipment are outdated and limited to toddlers which cannot cater the need of
young kids like 2-6 and 7-12 years old.

Explore and introduce cutting edge yet interesting play equipment while maintaining
sufficient flexibility for different seasonal events.

Higher transparency of kid zone is essential.

3.4 Gym

The Gym is expected to be enlarged to all more guests to enjoy their exercise/work out, also
more studio with flexible partioning system to be introduced for different professional
personal training clasess.

Apart from the Gym space, the design shall create bigger resting area/streching area.

3.5 Massage

Prefer to upgrade the massage rooms by enhance the acoustic of rooms and allow flexibility
to separate 2 persons room into 2 single rooms when necessary.

3.6 Billiard Room

The utilization of Billiard Room is also low but it occupies the prime location at the 2/F.
Prefer to relocate it to another floor.

3.7 Others

New lighting system with dimming system to provide different lighting scenarioes during
different time and days.

Operating equipment such as tableware, glassware, cultery, service stations, linen and
uniform and furnitures will be introduced to complement the ambience and design of outlet.
Store room with smart storage system are required.

4.0 SCOPE OF CONSULTANT SERVICES

General

All-in Consultant Service is required to provide the following services:

a) Perform all duties of Authorized Person/Register Structural Engineer/ Building


Services (or name as MEP elsewhere in the proposal) Engineer service as stipulated
in the Building Ordinance;
b) Act as Licensing consultant for the project such as Club License, Swimming Pool
License (if necessary), Massage License, Play Room / Equipment License, etc.
c) Provide advice and perform all duties as required by the Government Departments
such as Buildings Department, Fire Services Department, Home Affairs Department,
Food and Environmental Hygiene Department, etc.;
d) Perform project management throughout the project life cycle includes, site survey
and construction contracts administration, lead consultant, programme/scheduling
and risk management, testing and commissioning and handover management.
e) Act as Contract Administrator to implement the construction contracts including
issuing certificates, instructions, chair the consultants and contractors meeting,
prepare minutes and action plan, monitoring and control the design change, quality,
programme as well as the safety and environmental issues.
f) Provide Architectural service, Engineering service including structural engineer,
mechanical, electrical (including lighting (Back of House areas like plant room,
kitchen, stores, etc., Lift Platform design, audio and visual (AV) design, acoustic
design, cable containment design for all ELV systems, plumbing/drainage engineer
and swimming pool system specialist (if required for any effect to the existing
swimming pool during/after construction), an independent Testing and
Commissioning (T&C) consultant who will dual reporting to the HKJC and Lead
Consultant, and implement the best industrial practice for sustainability/ de-
carbonization design for the project which may be supported by the consultant's life
cycle analysis
g) Act as Lead Consultant to work with other consultants employed by the Club to
complete any necessary information as required for this project to ensure the project
is designed to the user brief, successful presentation to the Management for approval
and construct to the required standard, tested and commissioning successfully for
handover
h) Provide Master Programme from design, procurement, construction and completion
stages that incorporates timelines due to various procedures of statutory
submissions/approval and client's and users' operational requirements/constraints
i) Prepare all necessary documents and drawings for tendering the works, carry out the
tender assessments and analysis to help to identify the capable contractor for the
works

j) Provide Technical Competent Person (TCP) as per statutory requirements and


perform the duties as required
k) Supervise, check and inspect the contractors' works to ensure it complies with the
code requirements and the agreed standard and specification
l) Handover and close out the project to make sure the works is fit to use and all
statutory works are completed and acknowledged.
m) Follow up the defects until they are clear
n) Monitor and advise by a report the actual performance of the completed systems
against the design after 12 months operation during defects Liability Period
o) Provide All-in consultancy services for Improvement works proposal after practical
completion to facilitate handover and soft opening

In Stage I - Concept and Schematic Design Stage, the Consultant shall provide an all-in
consultancy services including architect and authorized person, Structural engineer, MEP
engineering including Lift Platform specialist, license consultant, lighting consultant (for
Back of House areas such as plant room, kitchen, stores, etc.), AV consultant, Acoustic
consultant, project management and scheduling services and other necessary consultancy
works. A Quantity Surveyor and Interior Designer will be appointed by the Club separately.

In Stage II and Stage III - Design Development and Tendering and Project Implementation,
upon approval of the Concept and Schematic Design, the Consultant shall provide an all-in
consultancy services including architect and authorized person, Structural engineer, MEP
engineering including Lift Platform, license consultant, lighting consultant (for Back of
House areas such as plant room, kitchen, stores, etc.), AV consultant, Acoustic consultant,
project management and scheduling services and other necessary consultancy works.
Further, the independent T&C consultant shall input their comments to the MEP design with
respect to the commissionability and maintainability of the equipment and system.

The list of your proposed sub-consultants shall be submitted together with the fee proposal
for the Club’s assessment.

In all stages, your service shall include all necessary liaison/coordination with other
specialist consultants and vendors directly employed by the Club as mentioned above. Your
service shall include but not limited to the following:

4.1 STAGE I – CONCEPT AND SCHEMATIC DESIGN

a) Liaise with the Club and any other Consultants to obtain all relevant information relating
to the premises, the Club's special requirements and determine the areas of work. A site
walk with user departments will be arranged for the finalisation of user requirements.
b) Arrange all necessary Site Inspection with other consultants.
c) Review the existing layout and facilities within the proposed area.

d) Carry out concept and schematic design presentations including but not limited to the
following:-
 Design brief for conceptual design options;
 Plans and elevations for the design options and construction methods with the
consideration of its functionality, space utilization and aesthetically matched with
the surrounding environment;
 Indicative cost estimate with breakdown (to be provided by quantity surveyor
directly employed by the Club);
 Identify the programme and constraints for the implementation of the works;
 The Consultant shall be required to make necessary amendments to the concept and
schematic design upon request.
e) Attend progress meetings and user meetings to deliberate and review the design options.

4.2 STAGE II – DETAIL DESIGN DEVELOPMENT AND TENDERING

Work with other consultants/sub-consultants including but not limited to architect and
authorized person, Structural engineer, MEP engineering including Lift Platform, license
consultant, lighting consultant (Back of House areas, such as plant room, kitchen, stores,
etc.), AV consultant, Acoustic consultant and other necessary consultancy works. A Quantity
Surveyor and Interior Designer will be appointed by the Club separately and quantity
surveyor based on the approved concept and schematic design to achieve a coordinated
design.
a) Carry out a detailed site survey of all existing equipment and provide solutions to suit
the Club's requirements and to ensure the compliance with all statutory regulations.
b) Detail discussion on design and the kind of recommended equipment to meet all
licensing and operation requirements.
c) Coordinate with any other Consultants to suggest work schedule to meet target
completion date.
d) Coordinate with any other consultants to prepare a design proposal including your
proposals with options and preliminary programme from conceptual to completion of
the work based on the tentative completion date of construction works and cost budget
for the Club's approval.
e) Prepare cost estimation with breakdown items for design options (to be provided by the
Quantity Surveyor directly employed by the Club).
f) Carry out value engineering exercise under the instruction of the Club.
g) Coordinate with any other Consultants to prepare and submit detail design options
including plans, rendered plans & elevations, 3D renderings, schematic, cost plan, cost

estimate and programme for the Club's approval. The Consultant may be required to
make presentation to the Club management and make necessary amendment(s) if
required.
h) To seek input from the independent T&C consultant for the MEP system with respect
to commissionability and maintainability of the MEP equipment and system.
i) Prepare tender documents including technical specification, equipment schedules and
drawings for tendering purpose.
j) Recommend tenderer list and assist any pre-qualification process.
k) Attend tender interviews, prepare tender analysis, report and recommendation for award
of tender.
l) Prepare contract drawings and specifications.
m) Provide advice if any cost saving exercise is necessary.
n) 3 nos. of photo realistic 3D renderings are required once the construction documentation
is completed.

4.3 STAGE III – PROJECT IMPLEMENTATION

a) Being a Contract Administrator to issue the instruction to the contractor on behalf of the
Club and the role of Contractor Administrator shall be all in accordance with the Standard
Form of Building Contract issued by HKIA/ HKIS.
b) Check and endorse contractor’s shop drawings, fabrication drawings, samples and
equipment / material proposals submitted by the contractor.
c) Carry out periodic inspection and supervision in conjunction with Club's project team so
as to ensure the designed effects, required levels of workmanship are implemented to the
required standard.
d) Attend regular meeting with the Club's representatives, the statutory bodies and the
contractor for working programme and site progress and to solve any technical
difficulties encountered in the work progress.
e) Attend T&C inspections and endorse all T&C forms for records;
f) Attend regular VO meeting and provide all necessary information for QS’s cost estimate
for each proposed variation work for the Club’s prior approval before actual site work
carried out.
g) Coordinate with other Consultants to prepare cost estimation for each proposed variation
works and for the Club's prior approval before the actual site work carried out.
h) Coordinate with other Consultants to provide information for the preparation of site
instructions and Architectural Instructions for the Club's approved variation works.
i) Provide advice to certify interim payments and final account to the contractor(s) and
execute other administrative duties under the contracts.
j) Take lead to prepare the Handover Action plan which includes the T&C, pre-handover
and handover inspections, formulating the pre-handover and post-handover defects lists,
clos-out documents checklists, etc.
k) The independent T&C consultant, as dual report to the HKJC representative and the Lead
consultant, shall take lead to manage the T&C programme, progress and reporting. The
independent T&C consultant shall coordinate with MEP consultant to participate all T&C
inspections and to sign as witness (by T&C consultant) and endorse (by MEP consultants)
for all T&C forms and collate in the close-out manual set,
l) Upon completion, carry out a detailed inspection of the works with the Club, to ensure
compliance with the design intent and contract documents. Provide set of record drawing
in both AutoCAD and PDF format.
m) Coordinate with any other Consultants to prepare defects list, monitor the site progress
of defects rectification, inspect the works with the Club after rectification and certify
making good defects.

n) Finalise the contractor's as-built drawings and O&M manuals. statutory certificates and
letters and drawings, warranties, T&C records, etc. and consolidate complete set(s) for
the Club's record.

4.4 BUDGETED CONSTRUCTION COST

The budgeted construction cost including operating equipment, contingencies and inflation
is approximately $156M.

* The construction timeline is only for indicative purpose and is subject to review. However
it is anticipated that the Date of Commencement of the Works shall not be later Dec 2023.
The Consultant shall have no rights to claim an expenses and/loss of profits against the
Club as a result of any shifting of the programme.

4.6 SUPPLEMENTARY NOTES

The Consultant shall also abide by the Supplementary Notes for All-in Consultant at Annex
A1.

5. FEE PROPOSAL

5.1 On basis of lump sum fee, splitting into Stage I, Stage II and Stage III.

5.2 Your submitted lump sum fee shall include all services to be performed by your
company and any other sub-consultants for the satisfactory completion of services stated
in this Request for Proposal.

5.3 The Club shall be at its own discretion to decide if and when the Stage II and III and
different sub-consultancy services should be commenced or deleted AND the Club
reserves the right to split award the tender by different sub-consultancies and the
Consultant shall have no right to claim any expenses and/or loss of profits against the
Club.

5.4 Disbursement
The lump sum fee shall inclusive of 3 nos. of photo realistic 3D renderings and all
normal disbursed expenses such as printing, black / white and colour photocopying,
adequate copies of drawings at all stages, CD-R for soft copies, local / overseas facsimile
and telephone, postage, courier, travelling, photographic progress records, document
reproduction, travel insurance, taxation, levy and other charges etc. except for
Government processing fees which will be reimbursed at net cost.

5.5 Site Supervision


Except for full-time site supervision, all site visits or attendance to site meetings as
necessary for the design coordination, regular TCP services and ensuring the
installations are in compliance with the design intent and fit for purpose of beneficial
use by the Club shall be included in the respective Proposed Fee. You are required to
submit an optional fee proposal for the provision of Resident Site Staff on monthly basis
of services including all fluctuations for reference. The employment of Resident Site
Staff is subject to the Club’s discretion throughout the project period. The Consultant
has no right to claim any loss of benefit if the Club decided not to employ Resident Site
Staff for the projects. For the avoidance of doubt, the Club’s decision on the
employment of Resident Site Staff for the projects shall not create any impact and / or
shall not affect the Consultant’s role and responsibility for the projects.

The optional fee proposals for Resident Site Staff are all-inclusive in nature and shall
include but not limited to the following (which for the avoidance of doubt, shall be
provided by your firm to the Resident Site Staff at your own costs):-

 MPF and / or Retirement benefit
 Life, personal accident & workmen’s compensation insurance

5.6 The Club is not liable for any costs incurred by us in the preparation of our response to
this Invitation to Fee Proposal.
5.7 The Club shall not be bound to accept the lowest or any Tender which may be received.

7. ADDITIONAL SERVICES

For Additional Services such as major changes to the scope of work requested by the Club,
the fees for the Additional Services shall be based on the time involved and submitted time
charge rate. Your firm shall advise the estimated time required for each of the Additional
Services to the Club, and obtain the Client's approval of the same before carrying out the
Additional Services. The time charge rate shall include all disbursable items such as
lithography, printing charges etc. and shall apply throughout the whole period of this
project. Any cost effect due to change of work scope of the Services will be subject to
agreement with the Club.

8. VARIATION WORKS

Unless there are major changes raised by the Club in the scope of work after award of
contract works, the Lump Sum Fee proposed shall include all additional services which
require any design input and supporting services from your firm in relation to the issuance
of Architect’s Instructions and design and coordination for variation works during
construction period.

9. VALUE ENGINEERING

Your fees shall include for active participation in all value engineering exercises which
may be authorised by the Club including but not limited to coordinate with other
consultants, suppliers and contractors to provide technical advice to any investigation
development of alternative designs and negotiation with the tenderers.

10. SUBLETTING

Sub-letting of the whole of consultancy services will be prohibited, prior written approval
of the engagement of any sub-consultants must be obtained from the Club.

11. TERMINATION OF APPOINTMENT

Your appointment may be terminated by the Club in the event of your firm being unable
to fulfil its obligations and/or deliver the deliverables as specified for reason attributable to
your firm and/or your sub-consultants upon 7 days' written notice by the Club for
rectification of the same. Any termination of your appointment shall be without prejudice
to the rights and remedies of the Club in respect of any antecedent breach of the terms and
conditions herein contained.

12. ELECTRONIC COPIES OF DOCUMENTS AND INFORMATION

Electronic copies of all documents (in Word 2003, Excel 2003 or Autocad 2008 format)
shall be provided to the Club for information and record within 14 days upon request during
the whole services period up to end of Defect Liability Period.

13. CONTRACT DOCUMENTS

You have to co-ordinate with relevant Consultants to ensure Contract Documents including
contract drawings (in both electronic copies and hard copies) shall be forwarded to the Club
within one month from the date of Letter of Award of the contractor(s).

14. EXTRA SETS OF TENDER DRAWINGS

Your fees shall include for providing extra 3 sets of tender drawings (include tender
addendum/addenda) to facilitate future contract binding and prompt contract execution
during tender stage. The extra 3 sets of final tender drawings (include tender
addendum/addenda) shall be provided before the tender award.

15. CONSULTANCY AGREEMENT

You shall enter into the Consultancy Agreement with the Club should you are appointed
with this consultancy services. The terms and conditions in the Consultancy Agreement
should be read in conjunction with this Terms of Reference.
