With reference to our discussions, we are pleased to appoint you on fixed term contract basis Team Manager
on the following terms and conditions
TERMS AND CONDITIONS

Tenure: You are required to join us on or before 17 AUG 2021, failing which your Contr shall stand cancelled. You are
being appointed far the said position for a fixed period of twelve (12) months, and your employment shall automatically come to an end on
expiry of the specified period unless notified in written for the extension of the same basis the requirement of the project

Your employment is "Project Specific" and shall be co-terminus with the Project client contract In case client contract is determined earlier for any
reason whatsoever, then your employment shall come to an end automatically with the termination of the contract. In case during the subsistence
of the client contract. if the job requirement of the client changes or ceases, then your employment term may also be curtailed by the Company

Compensation: Please refer to the Annexure-I (enclosed herewith

Location: You will be based primarily in Mumbai. However, you may at the discretion of the Company be transferred to any other place within or
outside India as well as deputed seconded, transferred or absorbed in the rolls of any associate, affiliate, holding company or subsidiary of the
Company (herein after collectively referred to as Azra infotech Group) or its client anywhere in the world You will be given sufficient prior notice
in writing of any such change In the event of such deputation, secondment, transfer or absorption, your salary and benefits. will be varied in
accordance with the salary and benefit structure or policies and practices of the Company or the new employing entity prevailing from time to
time

Duties and Responsibilities: You will devote your entire time, attention and energy to the performance of vour duties and shall not during the
continuation of your Contract be engaged in any other business activity without prior written approval of the Company, whether or not such
business activity is pursued for gain, profit or other pecuniary advantage, except your personal investment activities carried on for your own
benefit and account, provided such investment activities do not require any services on your part in any operations and do not ir any manner
interfere with or create any conflict of interest with the duties to be performed by you hereunder for the Company The fixed term employment
shall not create any right of any nature whatsoever for future employment or otherwise with the Company or with any of its client.

5. Required Documents: It is mandatory for you to submit the following documents at the time of reporting for duty

a) Photocopies of all educational/professional qualification certificates and Mark sheets.


b) Proof of salary. Relieving certificate from the previous employer
c) Three passport size photographs
d) d) ID Proof. Address proof & Age Proof

6. Abandonment: Absence from work for a continuous period of three (3) days (including absence upon leave though applied for but not
granted) or when overstayed for a period o three (three) days after expiry of sanction leave, shall make you lose your lien on the job and your
employment shall automatically come to an ind without any notice or ated
intimation and accordingly, appropriate steps shall be taken against you for having termi proper notice. the employment without

7. Confidential Information: During your entire tenure with the company, you will dev interests of
the company. You will neither communicate nor divulge any information connected with the business of te full attention to guard the
the company including that of its clients nor take any documents, photograph or other official
paraphernalia of the company & its clients without the written consent of Management.

8. Equipment & Property: You shall be responsible for safe keeping & safe return of the assets of the Company in good and working
condition which is/are under your possession at the time of your resignation, termination, retirement or in the event of your separation from the
Company, for any reason whatsoever In the event of failure to return/handover the assets of the Company, you shall indemnify the Company
against the loss of such assets and value of the same shall be adjusted at the time of your full and final settlement or may be recovered from you
directly.

Rules Regulations & Office Orders:

a) Your working hours. holidays & leaves entitlement will be governed by Company Policy and as per the requirement of the 'Client Company'
as given in HR Handbook

b) in case of any change in your residential /correspondence address during the course of your employment, it shall be your duty to intimate the
same to the HR Dept within one week from such change. In the absence of same, all communication addressed to you at the last given address
shall be deemed to have been served upon you.

e) You will be abide by the service rules and regulations of the company which are in force or which may come into force from time to time in
relation to conduct, discipline or any matter relating to service conditions. The Management reserves the right to modify, alter or delete the
existing service rules or to introduce fresh service rules which will be binding upon you.

d) You will be paid no salary in case you leave the services of the company within 20 Days of your joining on your own accord. However, if the
Management terminates your Contract, you will be paid salary upto the date of your termination.

10. Termination of Contract: a) Subject ot applicable laws. your employment can be terminated at any time by either side, after giving 7 days
notice or salary in lieu thereof Notice of resignation needs to be served in hand written note or from official email id.
b) The Company may also terminate your employment without notice and without any payment in lieu of notice period
in the event of misconduct. Without prejudice to the generality of the scope of the term 'misconduct th ing acts
or omissions shall amount to misconduct.
i) non receipt of documents/testimonjals.
ii) the submission of false information, documents & testimonials etc.
iii) indiscipline, insubordination, non-performance, dishonesty or negligence, whether alone
another of any lawful order of a superior
iv) breach of any of the terms of this employment contract.
v) absence without leave, attendance issue, reporting issues, unapproved leaves.
vi) non- performance or sub-standard performance of duties by you;
vii) sleeping while on duty, malingering, deliberate delaying or carrying out the work
viii) Non-compliance with any of the terms & conditions of your employment contract or C pany policies or instructions issued by the
Company from time to time.
c) On expiry or termination of the contract period, you will not claim any monetary benefits compensation in any form from the Company, other
than whatever is applicable and to be received by you as your full and final settlement from the Company in accordance with the terms of this
contract.
Azra Infotech's which contrac with its client remains in force (i.e. co-

found that you are not medically fit to perform your duties, the management's decision will be the final decision served upon you
f ) Relieving: After a required notice has been served by either of the parties as above, the management retains the right to either require
you to serve the full or part of notice period as above, or may at its entire discretion decide to waive off this requirement, partially or fully. In the
event the management decides to waive part or full of the notice period requirement, it may at its entire discretion insist on compensation / salary
equivalent for the period waived or may even waive that condition, partly or fully, In case management decides to terminate your contract, it may
do so, by serving upon you the required notice as per the requirement above, and may or may not choose you to serve the notice period. In the
event ,management does not wish you to Serve the notice period, it may compensate you by paying you salary for that period. (Only in cases
where there was no misconduct, no breach of integrity / fraud /dishonesty / financial misconduct)
11. Retirement: You shall retire from the services of the company on attaining the age of Fifty Eight For this purpose the record of your age
with the company shall be treated as final
12. Your appointment and selection for the employment with the Company shall be subiect to your successful completion of the training/
certification with the Company (if any, depending upon the nature of the project assigned). You hereby acknowledge that the Company shall
confirm your employment only if, in the opinion of the Company, you have successfully completed such training/ certification, In case you fail to
perform satisfactorily in your training I certification, you may be asked to undergo the same once again or your appointment may be terminated
without any compensation. Any claim of compensation with respect to the training period shall be null and void"

13. You will be required to work in different shifts (Project specific) as determined by company from time to time 14 . Authorization For
Background Check: In connection with my application I understand that an investigative BGV (Background Verification report) may be requested
that may include information regarding my court records both civil and criminal, my driving records, educational and professional credentials, personal
and professional references understand that these documents may be used at any time during my employment to procure an investigative report &
'Azra Infotech' is eligible to take any action as per HR policy in case Background Verification Report is found to be NEGATIVE
