For convenience, MMC may act as an ”agent” on customer's behalf to arrange, schedule and pay
for transportation and brokerage fees. These fees will be added to the final invoice. ("Free Carrier"
means that the seller delivers the goods, cleared for export, to the carrier nominated by the buyer
at the MMC plant, Laval, Québec, Canada.)

The client is responsible for assuming all additional fees that may derive from the project
development such as: international courier fees (related to the shipping of samples, CDs,
documents), duty & brokerage fees.

The lead time we are currently quoting you is valid for 5 days. Please note that the lead time begins when the
Purchase Order and required information pertaining to the project are received. If the lead time changes, MMC
will contact you via email/phone and provide a revised shipping date.
Unless otherwise specified, the quoted equipment will be supplied using MMC's standard designs
and components. MMC reserves the right to deny or quote as extra any modifications required as a
result of a customer technical specification or other customer request not available at time of quoting

TERMS & CONDITIONS FOR SPARE PARTS & SERVICES


1. All orders received from customer, resulting from this quote by MMC Packaging Equipment Ltd, hereinafter
"MMC", and to any amendment thereto, are subject to the prior approval of MMC, at its sole discretion, by one of
its authorized officers at its head office and to confirmation by MMC's credit and production departments. An
acknowledgement will be sent to the customer as to the confirmation or refusal of the order. Said
acknowledgement will be generally forwarded on the same business day as the receipt of customer's order or on
the following business day .
2. Prices and performance quoted are based on information and samples available at the time of quote. Any
changes in the specifications or the product configuration after the date of this quote may result in additional
charges and/or longer delivery period.
3. MMC will provide to the customer, once the order has been approved by MMC, a floor-layout, together with
cutting pattern design ( if applicable) and status report, with mandatory milestones and deadlines for the
customer to meet, which will be forwarded for the customer's signature, prior to production release. Failure by the
customer to return these documents, duly signed, and to meet all milestones and deadlines stated in the status
report may result in delays and additional charges for the customer.
4. An order cannot be cancelled by the customer, except with the prior written approval of MMC at its sole
discretion, after an initial five (5) day period from the receipt of the purchase order by MMC. Cancellation, if
approved by MMC, will however be in all cases subject to a cancellation charge, which shall be equal to MMC's
costs for the material, including restocking costs, and all direct and indirect labour costs incurred up to the time
the written cancellation notice is received by MMC, plus an administrative fee equal to 10%, including all
applicable sales and use taxes.
5. It is the customer's responsibility to use and pay for qualified professionals to set up the equipment at the
customer's plant according to MMC'S floor-layout. MMC cannot be held responsible for any change needed on
site to match MMC's layout nor for related costs and expenses incurred by the customer during or after the
installation , all of which shall be the customer's sole responsibility.
6. When technical assistance for start-up and basic training is requested and agreed upon, the MMC technician will
not be performing any construction or electrical work related to the installation of the equipment at the customer's
plant, which must be performed by local qualified professionals under the sole authority and at the sole cost of
the customer, all start-up assistance being limited to the assembly of modules, calibration , testing of the
equipment and training.
7. If an MMC technician's assistance for start-up of the equipment and basic training is requested by the customer
at the customer's plant, a written request must be sent at least 10 business days before the date required. Unless
otherwise stipulated on the original PO, after Sales services will be executed by MMC Technicians. Except for the
warranty period, all other cost associated with the original PO are chargeable during the life of the equipment.
Therefore, upon expiration of warranty period, buyer may from time to time, by written instructions to the seller by
buyer, make changes, require additional work to be done to the equipment, if expressed a sum in accordance
with MMC Customer Service policy will be chargeable. Scheduling is subject to technician availability and will be
agreed upon between MMC and customer, in compliance with local immigration applicable restrictions, if any.
MMC will make one of its specialized technicians available, at the prevailing MMC customer service rate, plus
traveling, food and lodging expenses and any applicable sales and uses taxes.
8. Shipping dates are approximate and may vary.

9. All designs are the sole property of MMC and are protected under The Copyright Act of Canada and by
international treaties and agreements regarding copyrights. Any reproduction, translation, adaptation, storage in a
retrieval system, transmission or other use or disclosure whatsoever, in totality or in part, and in any form or by
any means whatsoever, is strictly forbidden and requires the prior written approval of MMC. All data is also the
exclusive property of MMC and cannot be used or disclosed in any way without the prior written approval of MMC.
All designs and related documents must be returned to MMC upon request.
10. Until entire contract price is paid and received in full to MMC , the equipment described in the quotation will
remain the sole property of MMC. MMC may register any hypothec, lien or other security to secure its interest in
the equipment. Customer must execute, upon demand, any document reasonably necessary to secure such
interest of MMC in the equipment.
11. All outstanding amounts owed to MMC shall bear interest, at the yearly rate of 18% (1.5% monthly), from the date
the payment is due, until full payment has been received by MMC.
12. Customer may not set-off any amount claimed to be owed to it by MMC, for any reason whatsoever
13. It is the customer's sole responsibility to take possessions of its equipment when ready for delivery, as confirmed
by MMC. A storage fee of 2 % of the total order amount, per week, up to a maximum of 16 % of the total order
amount, will be added to the final invoice for all equipment not picked up starting 30 calendar days from the date
confirmed by MMC for pick-up.
14. All prices are quoted and payable in U.S. dollars, unless otherwise specified on the quote.

15. If, at customer request, MMC makes arrangements for transportation, MMC acts only as an agent on the
customers behalf and cannot be held responsible for lost or damage equipment or any problems during
transportation . It is the customer's sole responsibility to make its claim for damages directly to the freight carrier.
16. Quotes are valid for thirty (30) days. Orders must to be received by MMC within that period, unless otherwise
specified in MMC's quote.
17. MMC shall not be liable for any loss, damage, delay or failure to perform any obligation in all or in part resulting
from causes beyond MMC's control, such as, but not limited to, acts of God, fire, strikes, lay-offs, bands of a
product, war, acts of terrorism, insurrections, riots, embargo's, shortages of motor vehicle, delays in shipping,
inability to obtain or delays in obtaining supplies of materials or components, requirements or regulations of
governments or municipal authorities and similar events.
18. All purchases of MMC products made by the customer resulting from this quote and from any modifications made
thereto, if any, shall be governed by, interpreted, construed and performed in accordance with the laws in force in
the Province of Quebec, Canada. The parties shall irrevocably be presumed to have contracted in Laval,
Province of Quebec, Canada. MMC and the customer agree that all related disputes and litigation shall be heard
by the competent courts of the district of Montreal, Province of Quebec, Canada, to the exclusion of any other
court.
19. MMC and the customer agree that The United Nations Convention on Contracts for International Sale of Goods
(Vienna Convention of 1980) does not apply to the sale of products resulting from this quote and from any
modifications made thereto, if any.
20. The equipment is only subject to MMC's limited written warranty . Please refer to MMC Packaging Equipment Ltd
product warranty document.
21. The parties have expressly requested that the present be drafted in English. Les parties à la présente ont
