PROCESS ASSUMPTIONS
• Some specific assumptions applicable to this quotation include:
• The component level GD&T will support the final assembly dimensional requirements.
• GD&T for the details and assemblies, including tooling holes and net surfaces that may need to be modified, moved or
added, can be resolved to mutual satisfaction of both parties.
• The quoted process assumes welds in accordance with OEM weld specifications will be achievable and that any areas
of concern will be modified to improve the assembly process.
• All projection-welded fasteners are designed and manufactured to attain process reliability using the assembly method
specified.
• All fastener welding will be processed based on the following design assumptions (unless otherwise stated in the
quotation):
o Stud welding – fastener will be located by the stamping hole diameter only.
o Stamping Hole Sizes and Tolerances – used for the same fastener part numbers will be common.
• Materials supplied by customer will be suitable for the intended application and are in good working order. 3D CAD
models, wiring diagrams and functional specifications for the equipment must be provided or labour to create or obtain
these requirements will be a quoted addition. Repairs, rebuilds or upgrades to customer supplied materials will be at
extra cost and will only commence upon customer approval.
• Generation 3 steels have been a recent addition to automotive platforms and end user specifications have been slowly
changing to accommodate. In the current form, specifications mandate non-standard production destruct evaluation
techniques that add significant time and cost to the weld validation process. As a consequence, if any material on a
project is identified as Generation 3, all quotations are void until the end user specification is clearly identified and weld
validation procedures are agreed upon/accounted for in the quotation.
• Containers/dunnage used for shipping stampings to CenterLine will be stackable and returnable. Welded assemblies
will be shipped from CenterLine in the customer provided dunnage.
• Full access to customer facilities will be allowed during installation and commissioning trips. This includes off shift,
weekend and holiday access even if the facility is not scheduled to be open for production purposes.

The offer consists of this quotation and the CenterLine México S. de R.L. de C.V.
Terms and Conditions of Sale

Delivery Time: 36 WEEKS ARO FOR ITEM #2 (MATERIAL SUPPLY CHAIN DELAYS COULD AFFECT THIS
TIMING)
• Additional costs and other risks due to ongoing supply chain instability are assumed by the customer. This
includes risk of milestone delays and special means part build costs and costs associated to component
substitution or the use of alternative vendors.
• Subject to prior sale of capacity and/or delays in the design approval process
• Assumes all dimensional information such as datum schemes and critical features for both components and the
final assemblies will be available prior to the start of engineering.
• Equipment will only be shipped once weld, dimensional and machine function criteria have been met and
confirmed through a successful machine run-off that has been mutually agreed to by CenterLine and the
customer.
• Installation of equipment will be completed during regular work week hours, unless otherwise noted.

Payment Milestones: 25% @ ENG. APPROVAL NET 30 DAYS, 65% PRIOR TO SHIPPING, 10% AFTER

• Final acceptance is deemed to be given if the equipment is operating within the quoted cycle time and used in
production for thirty (30) days.

Typographical Errors: CenterLine is not responsible for any clerical/typographical errors resulting in gross
misrepresentation of the actual product or process proposed. Upon discovery of such errors, CenterLine will
promptly notify the customer with any corrections immediately and in good faith. CenterLine reserves the right to
refuse any orders placed that exploit these types of errors.

Warranty (FlexFast Welding Systems): The equipment warranty, as presented in clause 10 of the CenterLine
(Windsor) Ltd. Terms and Conditions of Sale is amended to (36) months from the start of production or (36) months
from date of ship, whichever is greater, without additional charge, provided Centerline’s recommended spare parts
and consumables (list to be provided upon completion of order) are purchased by the receiving facility and used
throughout the warranty period.

REQUIRED OPERATORS
• Number of production operators anticipated by this process is (3) unchanged.
• Operator utilization is estimated and must be validated by the purchaser.
• Estimated number of production operators is based on accepted industry time standards (e.g., MODAPTS) for
work tasks, assuming components are presented to the operators within a reasonable work envelope for the
application.
• We are assuming this number of production operators will be available for buy-off run prior to shipment.

INCLUDED IN THE QUOTATION


• All designs will utilize soft metric.
• All equipment documentation will only be provided in electronic format and will be published to the CenterLine
Documentation Portal (http://www.cntrline.com/documentation-portal).
• Assembly equipment will have part presence sensors for error proofing of all details and fasteners.
• For fastener welding, an assessment to determine the best process for presence, stud length and inverted nut
detection will be completed and options will be quoted. . Stamping hole size is a critical element in above stated
detection when using CenterLine VeriFast systems.
• (1) cycle of tooling development and setup (dimensional & welding) @ CenterLine
• (1) cycle of tooling development and setup (dimensional & welding) @ the customer facility after installation.
• (100) sets of production components (e.g., stampings, fasteners) delivered to CenterLine (2) weeks for FlexFast
products prior to the scheduled acceptance run.
• (300) additional sets of production components (e.g., stampings, fasteners) delivered to CenterLine one (1) week in
advance of the acceptance run. A full acceptance run will be conducted and is assumed to be 200-300 assemblies.
• We assume the components are the same revision level as the final acceptance PPAP run for the development cycle
@ the customer facility.

NOT INCLUDED IN THE QUOTATION


(unless stated specifically in the body of the quotation)
• Pre-Start Health & Safety Review (PHSR) - a letter of compliance done at the customer's facility
• Implementation of customer build specifications for CenterLine standard equipment (e.g., FlexFast™,
PedTec™, RevTec™, SeamTec™). CenterLine will allow customer specification of sensors, cords, I/O blocks &
hose colour without extra expense. Other deviations from our standard components are allowed and any
additional costs will be quoted to the customer for approval.
• Preproduction parts prior to those produced in the buy-off run, or quantities in excess of the buy-off run
requirement.
• Dimensional development of multiple assembly families to a single part capability measurement. If this is a
requirement, the additional cost can be quoted upon request.
• Weld & dimensional verification of assemblies at the customer facility during commissioning. It is assumed that
the customer will make resources available to coordinate with CenterLine commissioning schedule.
• Detection of holes in stampings, thread presence on fasteners, and stud length.
• Additional costs associated with increased weld force, inverter sizing or transformer capacity determined by
weld trials and/or complete evaluation calculations for nonstandard fasteners (including those with ring
projections), once required fastener and material specification documents have been provided.
• Part marking units including date stamps.
• Operator load/unload assisting devices.
• SPC/Attribute check fixtures. When applicable, the customer shall provide assembly & component attribute
check fixtures (with repeatability studies) to support part development activities.
• Costs associated with transportation of customer supplied materials (i.e., dunnage, robots, SPC/Attribute check
fixtures, sample components, etc.).
• Rigging at the installation site including any work required to clear a pathway to transport the equipment
through the plant.
• Ventilation equipment including any necessary fume hood(s), ducting and connection to facility system.
• Fire extinguishing equipment (or provisions for) under fume hoods or maintenance platforms or customer
supplied mezzanines.
• Equipment service drops and connection within installation facility including: welding gases, electricity, water,
compressed air, etc.
