2. Supply Delivery

 Our offer includes the above materials only. Any further requirement or change in details
will result in re-pricing or extra charges.
 Our current Delivery Period (ex-works) is 1-2 Weeks upon from the latest date of receipt and
acceptance of the following in Dammam, Saudi Arabia:
- Signed contract (Any change must be noted and initiated by both parties)
- Down payment or Acceptable letter of credit/Final accepted L/C amendment
- Final change order, if applicable
- Signed final "approved as noted" or approved as is’ Approval Drawings, if applicable.
 If applicable, please allow a minimum of __4___ weeks for Approval Drawings submittal.
 Customer must return Approval Drawings to Building Component Solution Head Office within
1 week of receipt. Any delay in the return of the approval drawings back to Building
Component Solution may result in a change to our delivery and price commitment.
 Unit rates will be applicable to actual material quantity supplied and not mesured on plan.
 Upon Customer request, BCOMS shall provide COC and coils MTC after job completion. Any
other required documents that shall be agreed upon with sales.

3. Delivering, Unloading and Storage at Job Site

 If delivery to the job site is by Building Component Solutions (BCOMS), the customer, or
his contractor is responsible for unloading the delivered materials at the project site.
 The guidelines for offloading, handling and storing of Sandwich panels as stated in the
“yellow sticker” pasted on every crate shall be strictly followed by the Installers and
deviating from these procedures shall not impose any claims on BCOMS.
 The core thickness tolerance of the sandwich panel is in the range of ±2mm.
 Materials should be thoroughly checked after unloading. BCOMS should be notified in
writing of any shortages or damages within one week from the delivery date.
 “Visible Physical Damages” shall be reported on the delivery/dispatch-notes.
 Any claim related to hidden damages, broken foam, heavily damaged skin in Non-Erectable
condition due to manufacturing defect should be reported within 2 weeks of receipt of panels
at the site prior to installation of the panels.
 Installed sandwich panels are considered as “accepted” and no claims will be entertained.
 Care, storage and protection of the materials at the site are the responsibility of the customer,
or his contractor.
 In case of storing the panels on site for more than 6 weeks, single bundle storing should be
followed and not duplex bundle stacking.
 In case of material replacement, damaged materials should be sent back from the site on the
same truck, which carry the replacement materials.
 For export jobs through land shipment, custom duties and border clearance charges are not
included in the price and it is under the second party's responsibility.

 For sea shipments, all expenses incurred inside the country of import, including but not
limited to customs duties, taxes, clearance fees and demurrage charges due to delays in
returning the containers to the shipping lines, is the responsibility of the buyer.
 The fixing details of the supplied material shall be in accordance with the standard details
provided by BCOMS
 All the sealants be provided based on the standard details, even if it is not supplied by
BCOMS.
 In case the material is ready but if shipment is on “HOLD” from the customer for more than
2 weeks due to site not ready or delay in payment or any other customer related reason, then
BCOMS will not be responsible for Quality or Safety of the material due to long storage.
BCOMS reserve the right to apply demurrage charges 0.1 SAR/M2/Day and repacking
charges 3 SAR/ M2.

4. Proposal Validity
 This proposal is valid for 2 weeks from the above noted date. Any extension of validity by
Building Component Solution must be in writing.
 The price quoted in the contract is a Unit price.Any change in the total quantity will be
accounted after the completion of detailing by engineering or according to the final cut list
from the customer.
 This proposal/contract will be subject to additional “Value added Tax”(VAT) as per the
terms and conditions issued by the Kingdom of Saudi Arabia.
 Customer should pay the applicable “VAT” inorder to clear the material for shipment.

5. CHANGES/REVISIONS
 Any change and/or revision to the above stated scope of supply may lead to a variation in the
price and the delivery period.A change must not hold payment for work completed in the
original contract.

6. PAYMENT TERMS

 Terms of payment shall be full payment upon receiving your purchase order.

OR
 Terms of payment shall be through an irrevocable and confirmed letter of credit payable at sight.
The letter of credit and its amendments (if applicable) should be received at our bank within one
week. Any delay in the receipt of the L/C may result in a change to our delivery commitment
OR
 Terms of payment shall be 50% down payment along with purchase order, prior to
fabrication and the balance 50% payment shall be 7 days before shipment.

7. Cancelation:
Should an order be cancelled in whole or in part or suspended; BCOMS shall be entitled to
recover the full cost of all the materials together with its direct, indirect and overheads in pursuit
of the aborted business.

8. CONTRACT FORM
THIS CONTRACT is entered on: 13th Day: April Month: 2023 Year: AD
BETWEEN
HUSSEIN OMAR Al‐ ATTAS Factory Company (AFCO) ON THE ONE HAND, located in
and represented by Mr. Sharif Khalil, in his capacity as Procurement Manager duly authorized to enter
into this contract.
AND
Building Component Solutions(BCOMS)- (LLC), 2nd Industrial city, P.O. Box 14441 Dammam
31424,Dammam, Saudi Arabia, and represented by Engr. OSAMA KHADRA duly authorized to enter
into this contract. NOW THEREFORE the parties agree as follows:
CONTRACT SCOPE: The supply of (a) Building Component Solutions (s) as described in the
contract documents.
CONTRACT DOCUMENTS: The following documents constitute the contract documents:
1. BCOMS Quotation No. CA3‐23‐219 R00 dated 7th of March 2023 with agreed and initiated
amendments (if any).
2. BCOMS Standard Terms & Conditions of Sale (attached).
3. BCOMS Standard Product Specifications (attached).

CONTRACT PRICE: SAR 5,448,025.95 Excluding VAT, Only Panels

This contract should be executed in full within 2 Weeks from the date of signing the Contract. If the
shipment or fabrication of materials are delayed beyond than that by the customer (due to any
reasons) this may lead to a variation in the price and the delivery period.
