ASSOCIATION CONTRACT AND PROVISION OF SERVICES

This Association Contract (the "Contract") is made and entered into as of March 16, 2023, by and between
________________, an American Corporation with its principal office located at _____________. (the
"Association"), and MPower S.A.C, a Peruvian Corporation with its principal office located at Tuesta Vargas
Napoleon in Lima, Peru.

1. PURPOSE

The Association desires to retain the services of the Service Provider for the purpose of providing Virtual
Assistance to the Association, and the Service Provider agrees to provide such services in accordance with the
terms and conditions set forth in this Contract.

2. TERM

The term of this Contract shall be for 3 years, commencing on March 16, 2023 and ending on March 16, 2026,
unless terminated earlier in accordance with the provisions of this Contract.

3. SERVICES

The Service Provider agrees to provide the following services to the Association:

The Service Provider shall perform these services in a professional and workmanlike manner and shall be
responsible for the quality and timeliness of the services provided. 

 Administrative tasks: This can include managing emails, scheduling appointments, managing
calendars, making travel arrangements, and conducting research.

 Customer service: Virtual assistants may handle customer inquiries and complaints, respond to
comments on social media, and manage online customer support.
 Social media management: This can include creating and scheduling social media posts, managing
social media accounts, and analyzing social media metrics.
 Content creation: Virtual assistants may write blog posts, create website content, and design graphics
or videos.
 E-commerce support: This can include managing online stores, fulfilling orders, and handling
customer returns and refunds.
 Bookkeeping and accounting: Virtual assistants may manage invoices, reconcile accounts, and provide
basic financial reports.
 Personal tasks: Virtual assistants may help with personal tasks such as managing personal emails,
organizing personal calendars, and managing household expenses.
 Project management: Virtual assistants may assist in managing projects, keeping track of deadlines,
and coordinating with team members.
 Technical support: This can include managing websites, setting up software and hardware, and
troubleshooting technical issues.
 Research and data analysis: Virtual assistants may conduct market research, analyze data, and create
reports for businesses.

    4. COMPENSATION
The Association agrees to pay the Service Provider the following compensation for the Service performed under
this Agreement:

5. INTELLECTUAL PROPERTY

All intellectual property created by the Service Provider in the course of providing services under this Contract
shall be owned by the Association. The Service Provider shall assign and transfer to the Association all right,
title, and interest in such intellectual property, including any copyrights or patents.

6. CONFIDENTIALITY

The Service Provider shall keep confidential any information provided by the Association that is not generally
known to the public, including any trade secrets, financial information, or other proprietary information. The
Service Provider shall not use such confidential information for any purpose other than to provide services to
the Association.

7. TERMINATION

Either party may terminate this Contract upon 30 days' written notice to the other party. In the event of
termination, the Service Provider shall be entitled to compensation for services rendered up to the effective date
of termination.

8. LIMITATION OF LIABILITY

The Service Provider shall not be liable to the Association or any third party for any damages arising out of or
related to the services provided under this Contract, except for damages arising from the Service Provider's
gross negligence or willful misconduct.

9. GOVERNING LAW
This Contract shall be governed by and construed in accordance with the laws of the state of Texas, without
giving effect to its conflict of laws provisions. Any controversy arising out of or related to this Contract shall be
resolved by arbitration in accordance with the rules of the American Arbitration Association.

10. ENTIRE AGREEMENT

This Contract constitutes the entire agreement between the parties and supersedes all prior agreements and
understandings, whether written or oral, relating to the subject matter of this Contract.
