SUBLEASE CONTRACT

KNOW ALL MEN BY THESE PRESENTS

This Sublease Contract, made and entered this 8th day of February 2023, at Quezon City,
Metro Manila, by and between:

AKP SKIN CORP, a domestic corporation organized and existing under the laws of the
Republic of the Philippines, represented herein by its President, ARLIE M. SALAGANTIN, with
office address at G/F 8th Street cor. 7th Street 20 Barangay 183, Pasay City, herein after referred
to as the “SUBLESSOR.”

SPECIALISTAR ENTERPRISES INC. , a domestic corporation organized and existing


under the laws of the Republic of the Philippines, represented herein by its President,
MICHELLE JANE C. GO, with office address at ____________________, Quezon City, herein
after referred to as the “SUBLESSEE”

WITNESSETH:

WHEREAS, the SUBLESSOR has an existing Contract of Lease with KAREN


ABIGAIL ONO involving SKIN INFINITY BY KAEN ONO, with office address at G/F 8th
Street cor. 7th Street 20 Barangay 183, Pasay City, with an area of 0ne Hundred Square meters
(100sqm) square meters more or less..

WHEREAS, this contract of lease contain no provision that the lessee may not sublet the
property leased, in whole or in part.

WHEREAS, the SUBLESSOR and SUBLESSEE have mutually agreed to enter into a
Sublease Agreement of a portion/room with an area of 50 sqm (the “subject property”) of the
above leased premises for a period of twelve (12) months with option to renew upon mutual
agreement of both parties, subject to the following terms and conditions:

1. Period – The sublease on the above premises shall be for a period starting from 1ST
of MAY 2023 until 31ST APRIL 2024 with option to renew upon mutual agreement
of both parties in writing through the execution of an Extension of Sublease Contract.

2. Rental – The parties hereby agree that the monthly rental for the subleased premises
shall be as follows:

2.1 1ST OF MAY 2023 to 31ST OF APRIL 2024 P 10,000 per mo. Plus VAT
2.2 The rental for 12 month period above shall be paid upon the execution of
this Sublease Contract.
2.3 Should the Sublessee fail to pay the monthly rental herein stipulated at any
given time and/or violate any of the terms and conditions hereof the Sublessor
shall have the right to eject the Sublessee from the premises and recover fro him
accumulated or accrued rentals including interest thereon at the rate of 6% a
month and a penalty of 5% a month until fully paid.
2.4 In case of litigation based on non payment of the rental or any other
breach of contract on the part of the Sublessee, the Sublessor shall be entitled to
collect from the Sublessee P50,000 as attorney’s fees, excusive of the other
litigation expense and costs.

3. Advance and Deposit- Upon signing of this Sublease Contract the Sublessee shall
pay the Sublessor an amount equivalent to one (1) month advance rental and two (2)
months deposit, refundable to the Sublessee upon the termination of the contract
under the following conditions:

3.1 The advance rental and deposit shall be applied in payment of the back
rentals, if any, upon the termination or cancellation of the contract and other
expenses and charges billed
3.2 That the value of the any of the item/s found within the leased premises at
the time of signing hereof, if damaged and/or missing upon the termination of the
contract or turn over to the leased premises will be deducted from the deposit.
The prices of the damaged items, if any, will be determined only upon the
termination of the contract and/or turn over of the leased premises. The basis of
the cost will be the prices officially canvassed from the two nearest hardware
stores.
3.3 The advance and deposit shall be deducted for any damage caused to the
subleased premises, to restore the subleased premises to the condition at the time
the subleased premises were turned over to the Sublessee.
3.4 The deposit will be automatically forfeited in favor of the Sublessor if the
Sublessee for any reason or cause, will prematurely and unilaterally terminate the
contract period.

4. The Sublessee further agrees to the following conditions:

4.1 The subleased unit/premises is exclusively for business purposes. The


lessee cannot accept boarders, nor assign transfer or sub- leases the whole or any
part of the premises.
4.2 To keep the premises in good and habitable condition and to make
necessary minor repairs at the expenses of the Sublessee.
4.3 Not to make alternations or improvements on the premises that would
affect the structural strength or alter the appearance of any portion thereof without
the written consent of the Sublessor; in case the same has been allowed by the
Sublessor the improvement/s shall belong to the Sublessor upon the termination
of the lease
4.4 To permit the Sublessor and/or any of his duly authorized representatives
to enter and view the premises during reasonable hours of the day in a convenient
manner.
4.5 The Sublessee shall be responsible for any act or omission of any person
claiming rights under his control and/or any person allowed by him to have access
to the Subleased premises, to avoid drinking sessions and the holding of the
similarly reprehensible gatherings liable to create trouble and disturbance within
the Subleased premises.
4.6 If the monthly rental herein stipulated shall be in the arrears or unpaid at
any given time, or if the Sublessee shall at any time fail or neglect to perform or
comply with any of the covenants, conditions and agreements or restrictions
herein stipulated or if the lessee shall become insolvent then in any above such
cases, this Sublease Contract shall be automatically terminated and cancelled and
the said premises shall be vacated peacefully by the Sublessee for the Sublessor to
take over the possession thereof, in which representatives to enter into and upon
the leased premises as through the Sublessor to exercise any and all the rights
arising from the contract and those granted by the law.
4.7 In case the subleased premises shall be vacated or abandoned for a period
of thirty (30) days without prior written notice to the Sublessor. Consequently, the
Sublessor is hereby permitted authorized by the Sublessee to enter the premises,
either by force or otherwise, without being liable to prosecution therefor.
4.8 Upon termination of the Sublease Contract, the Sublessee shall
immediately vacate and peacefully surrender possession of the subleased premises
to the Sublessor or its duly authorize representative.

5. Utilities

5.1 It is hereby understood that the monthly rental herein stipulated shall
include monthly charges for water consumption and electricity consumption
5.2 All other utilities shall be the responsibility and for the sole account of the
Sublessee

6. Remedies

6.1 In case of failure of the Sublessee to pay or settle any due and unpaid
obligations (rentals, electricity, water, telephone, association dues etc.) as
provided for under this lease contract , the Sublessee hereby authorizes the
Sublessor, who is hereby given the right, to disconnect all facilities such as but
not limited to disconnect all facilities such as but not limited to electricity,
telephone, water in the leased premises without need of further notice to the
Sublessee as well as padlock the premises and refuse entry to the Sublessee.
6.2 Likewise, until the aforesaid unpaid obligations are paid or settled, the
Sublessor is hereby given the right to re-renter the subleased premises, remove all
persons therefrom, take possession of any of all furniture, fixtures and
equipment's found thereon or therein and/or padlock the door of the subleased
premises.
6.3 Moreover, by way of a security or to secure the payment of any of the
unpaid obligations of the Sublessor , the Sublessee consents and authorizes the
Sublessor to retain possession of any of all the furniture, fixtures and equipment
that may found on the premises as belongings to the Sublessee until such time that
all the unpaid obligations of the Sublessee are paid or settled.
6.4 If after ten (10) days from the date the Sublessor shall have taken
possession of the aforesaid furniture, fixtures and equipment by way of security,
the Sublessee still fails to pay or settle its unpaid obligations to the Sublessor the
Sublessee hereby consents and authorizes the Sublessor to sell by way of public
or private sale any or all the furniture's fixtures equipment as may be sufficient to
pay or settle the lessee's unpaid obligations plus the accrued interests and
attorney's fee equivalent to 25% of the total amount due and unpaid. All expenses
that may be incurred in the sale shall be for the account of the Sublessee.
6.4.1 For purposes of selling the aforesaid properties, the Sublessee
hereby irrevocably appoint the Sublessor as its attorney-in-fact to sell and dispose
of any or all of the aforesaid the property of the Sublessee in a private or public
sale at a price as may be determined to be just and reasonable by the Sublessor
and to apply the proceeds therefrom to any or all the unpaid obligations of the
Sublessee.
6.4.2 If the sale proceeds should proved to be inadequate to fully payer
settle the unpaid obligations of the Sublessee, the Sublessee shall remain liable to
the Sublessor for any of the deficiency.
6.4.3 Should the proceeds of the sale of any of the aforesaid properties
be sufficient to pay or settle all of the Sublessee’s unpaid obligations, the
Sublessee may get back its other properties not sold by the Sublessor. If after
thirty(30) days from written notice of the Sublessor directed to the last known
address of the Sublessee, the Sublessee still fails to get back the remaining
properties, said properties shall then be deemed abandoned in favor of the
Sublessor.
6.5 The above enumerated remedies provided to the Sublessor shall not be
exclusive, but shall be cumulative and without prejudice to any court action that
may be instituted by the Sublessor for any causes of action that may arise under
this Sublease Contract.

7. Extrajudicial Rescission of Sublease- Any violation of any of the terms and
conditions of this Sublease Contract on the part of the Sublessee shall be a ground for
the rescission of this Sublease Contract by the Sublessor which shall not require
intervention by the courts and shall take effect immediately upon notice given to the
Sublessee by the Sublessor of the rescission of this Sublease Contract.
