Closing of Shiloh Industries, Warren, Michigan Facility

This letter is to inform you that Grouper Acquisition Company, LLC, dba Shiloh
Industries, Inc., EIN 85-3347814, has provided notice to 26 employees individually and 81
employees through their union representatives at Shiloh's facility located at 27101
Groesbeck Highway, Warren, Michigan 48089 on May 23 rd , 2023, as required by law, that
the facility will be permanently closed resulting in a mass layoff, as described below.

In accordance with the requirements of law, we are providing the following information to
you concerning this mass layoff:

3. Duration of Mass Layoff: It is anticipated that this layoff will constitute a "mass
layoff" within the meaning of the federal Worker Adjustment Retraining and
Notification Act ("WARN Act"). This layoff will be permanent. It is not possible to
state whether impacted employees will ever be rehired in the future; however, no
such rehiring is anticipated at this time.

4. Separation Date(s): On October 16, 2023, Shiloh Industries will begin terminating
employees affected by the plant closure which is scheduled to be completed by
February 29, 2024. Most employees will be released in December 2023 and January
2024. The remainder will be released in February 2024.

5. Affected Job Titles: A list of affected job categories at the facility, showing the
current number of affected employees in each job category, is attached to this letter
as Exhibit A.

6. Bumping Rights: No bumping rights exist, except as provided to those individuals


covered by the applicable collective bargaining agreement.

Some employees affected by the closing are represented by the following union:

Bridge, Structural, Ornamental and Reinforcing Iron Workers
