SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS:

We, ____________________________________________ married, and

residing at _____________________ and ________________________, do
hereby name, constitute, our co-heir to the estate_________________,
_____________________________________, of legal age, married, and with
residence at_______________________________________, to be our true and
lawful attorney-in-fact, for us and our name, place, and stead, to do and
perform the following acts and things with respect to the parcel of land
located in the Philippines with TCT No. _______________to wit:

1. To enter into an extrajudicial settlement with respect to the above

mentioned property;

2. To sign and execute in our behalf any deed, instrument, agreement or

contract, including a reservation agreement, contract to sell, deed of
absolute sale, acknowledgment receipt and other
document/instrument pertaining the above mentioned property;

3. To coordinate and transact with the Bureau of Internal Revenue, the

local Treasurer’s Office, Assessor’s Office, Registry of Deeds of, and
other government offices/agencies for purposes of payment of capital
gains tax, documentary stamp tax, transfer tax, registration fees, and
other expenses necessary to or required for the transfer of title to any
buyer;

4. To coordinate and transact with the Provincial/City or Municipal

Assessor and Provincial/City or Municipal Treasurer’s Office for the
transfer of the tax declaration/s of the above mentioned property;

5. To receive and acknowledge receipt of the original copies of all
documents relevant to the above including the Certificate Authorizing
Registration (CAR), tax clearances and other documents;

6. To sign, execute and accomplish any application/request

form/acknowledgement and such other documents or papers
necessary and relevant to the accomplishment of all the foregoing
purposes;

7. To exercise all acts of administration, general control and supervision

over the above-mentioned property in the Philippines, and to act as
our general representative and agent, with full authority to buy, sell,
negotiate, contract and enter into any agreement for us and in our
behalf which our attorney in fact shall deem fit and proper;

8. In general, to do all acts, deeds, matters and things whatsoever, in or

about the above mentioned property, including all affairs relating to
the same, or to concur with persons jointly interested with ourselves
therein doing all acts, deeds, matters and things herein, either
particularly or generally described, as fully and effectually to all
intents and purposes as we could do in our own proper person if
personally present.

HEREBY GIVING AND GRANTING UNTO our said attorney

full power and authority whatsoever requisite or necessary or proper
to be done in or about the premises, as fully to all intents and purposes
as we might or could lawfully do if personally present, (with power or
substitution and revocation), and hereby ratifying and confirming all
that we said attorney shall do or cause to be done under and by virtue
of these presents.
