Code of Ethics Acknowledgement Letter

Dear Sir/Madam:

GCL International Ltd. provides third party independent product and management system (such as, GRS, ISO 9001 etc.) also
Social schemes (such as SLCP, SEDEX, WRAP etc.) audits/verifications/inspections which are recorded and reported to our
impartiality committee, Verification Oversight Organization (VOO), SLCP , SEDEX, WRAP, accreditation body and scheme owners
and other as applicable as per our contractual agreement. We request your co-operation to enable us to do our job in a
professional manner. In return we commit to treating you and your staff with respect, objectivity and fairness during and after
the audits/verifications/inspections.

GCL International Ltd. has implemented a strict code of conduct Policy for our auditors/verifiers/inspectors which prohibit the
acceptance of gifts, payment or benefits of any other kind. This letter is presented to all our clients to explain the expectations
we have for our own auditors/verifiers/inspectors as well as your staff during our visit. We kindly request you read this letter as
presented to you at our opening meeting and then sign it as your commitment to act accordingly.

1. Bribe requests: Never under any circumstances give in to demands or requests for benefits or payments from GCL
auditor/verifier/inspector. If a GCL auditor/verifier/inspector requests or solicits for any direct or indirect benefit or payment,
we expect you to contact us immediately.

2. Bribe Offers: Never under any circumstances offer a payment, bribe, gift or benefit to any GCL auditor/verifier/inspector Any
benefit given or offered to a GCL auditor/verifier/inspector will be considered as a corrupt practice and will be reported to
Impartiality Committee of GCL and respective Standard Owners within 3 working days.

3. Undue Pressure: Do not put any undue pressure on our employees to execute their work in a subjective way or to amend
their findings. Furthermore, do not directly seek out our GCL auditor/verifier/inspector outside of the
audits/verifications/inspection’s duration period for example at their homes, hotel etc. for any reason.

4. Work Environment: Please create an environment where auditor/verifier/inspector can work freely and constructively in a
way that allows them do their job properly, timely and in such a way that independent product and management system (such
as, GRS, ISO 9001 etc.) also Social schemes (such as SLCP, SEDEX, WRAP etc.) audit/verification/inspection expectations shall be
met.
