The Total Contract Price is on for Tata Power Chembur Project.

1 Price Basis of the Offer Quoted : The Unit Price shall remain FIRM & binding and shall not be subject to any
escalation, for any reason whatsoever, till the completion of entire scope
of work including extended completion period. if any.

VENDOR shall submit Contract Performance Bank Guarantee (CPBG) of 5
% contract value within 15 days from award of contract. CPBG shall be
valid till end of Defect Liability Period with claim period of three months

nationalised bank or scheduled bank of RBI as approved by TPL The CPBG
shall be submitted in format provided by TPL. All Bank Charges for CPBG

A } Payment terms:
a) 95% of the total contract price shall be released on pro rata basis
against certification of Invoice on 45th day. Payments shall be facilitated
through A-Treds with 45 days Credit from the date of submission of tax

b) 5% of the Total Contract Price will be retained as retention pay and


shall be payable within 24 months after final completion of your works,
duly certified by TPL's Project managers.

Quantities mentioned are projected quantities and are subject to vary to


any extent including the extended delivery schedule, if any.

However, the agreed unit shall remain FIRM till the completion of the
entire ordered quantities. Payments shall be made only for the quantities
actually supplied and accepted at TATA project site. Agreed/Not Agreed

The Waterproofing Works executed by you shall be monitored checked


and approved by TPL as per inspection| field quality procedures| methods
10 Inspection at various stages of the work. Any error of defect in the work shall be
rectified by you at no extra cost and to the satisfaction of TPL.The quantity
inspected and cleared by field engineers will be only considered

The work shall be warranted against any defects in workmanship for a


period of 24 Months from the date of completion and handover of entire
work to TPL’s Client. If any defect is noticed during the warranty period,
the same shall be rectified / replaced immediately within the agreed
timelines from the date of intimation by TPL. If VENDOR fails to rectify /
replace within this period, TPL reserve the right to get it rectified /

replaced appropriately at the Costs & Risk of VENDOR.

In respect of waterproofing work, a guarantee against any leakage or


seepage shall be submitted by you valid till 10 years(from the date of
virtual completion issued by client) in approved format on Rs. 100=00/-
stamp paper and shall be submitted to us before processing final bill.

In case the works is not completed within the agreed Completion Period
for the reasons attributable to VENDOR, without prejudice to its other
remedies under the Contract, liquidated damages, not by way of penalty,
shall be applicable at the rate of 1% of the Total Contract Price per week
or part thereof subject to a maximum of 10% of Total Contract Price.
15 Price Reduction for Delayed Supply / Services In case of VENDOR failure to Complete Work as per agreed schedule, TPL
also reserves the right to take any / all of the following actions at
VENDOR’s risk and costs.
a) Cancel or amend the order either in full or in part and get the work
done through any other sources available in the market.

b) Make any other alternate arrangement to meet the exigencies of work. Agreed/Not Agreed
Statutory Fee:

1. All subcontractors should provide PF registration Number. In case of


few sub-contractors, PF registration number not available, subcontractors
will provide UAN Number, Adhar Card, bank account number and date of
birth Proof of every contract labour at the time of entry.

2. Subcontractors should provide ESIC Registration number. In case of few


subcontractors, if ESIC registration number not available, Subcontractors
will provide Adhar Card, previous ESIC number, family details.
3. Every month subcontractors should provide following documents with
RA bill for HR clearance
a. Copy of signed wage sheet/bank payment transaction details. (Payment
must be done on or before 7th of every month in presence of TPL
representative)
b. Copy of must roll and all other registers

c. PF challan with ECR
d. ESIC Challan with contribution details
e. LWF Challan (if applicable)
f. PT Challan (if applicable)

4. Bonus :-Sub -contractor should provide Form C & D on annual basis.


5. ISMW:- Sub contractor should obtain a Licence from the licensing of
the State from where the workmen are recruited. Sub-contractor shall pay
displacement allowance &Journey allowance to workmen. Sub-contractor
should Provide copy of displacement allowance & Journey allowance
registers.
6. Any other statutory compliances relating to your Men, Machineries &
other resources, not specifically covered under the above clauses, shall be
deemed to be included within the Total Contract Price and shall be strictly
adhered by you without any deviations to it. Agreed/Not Agreed

1. Security of equipment: Contractor shall be responsible for the security
of their materials, machineries and equipment’s and Contractor shall not
have any claim on TPL for the loss or theft of materials, machineries and
equipment’s or any kind of damages.
2. Contractor shall mobilize all the materials required to execute the work
like chemicals/ Tools & Tackles and other resources immediately after
issuing of the work order and your material can not be taken out of the
site till the completion of the work/ without approval of TPL.

3. Contractor shall deploy competent, qualified full time Foreman/
Supervisor to execute complete scope of works in accordance with
drawings and specifications. The supervisor shall be available at all times
in the site to receive instructions from Engineer – in- charge/ Client in the
day – to – day activities throughout duration of contract.

4. You shall maintain the working areas clean i.e., housekeeping limited to
your scope of work for the given area & work surrounding is in your scope.
5. Your cost includes all lift and lead charges, except tower crane. Agreed/Not Agreed
