Dear MS. ARUSHI SINGH,
Consequent to your application and interview held with us, we are pleased to offer you
employment on the terms below:

1.0 Emoluments & Benefits:

You will be entitled to salary and other benefits as per the Annexure enclosed.
You will be entitled to various statutory benefits such as Bonus/Exgratia, Provident fund and
Paid Leaves as per Company rules in this regard.
2.0 Probation:
You will on probation for a period of six months from the date of joining. Which can be
extended at the discretion of the management for a further period of up to six months. Upon
satisfactory completion of your probation period, your service shall be confirmed along with
a performance review which will be done and you will be placed on the rolls of permanent
employees. The confirmation of your services can be effected only when the Company
conveys the same in writing. However, during probation, your services can be terminated
without notice and compensation.

3.0 Medical Fitness:

The appointment and its continuance is subject to your being found medically (physically
and mentally) fit. You shall submit to pre-employment and/or regular periodic medical
examinations by Company-nominated Medical Practitioner from time to time. Failure to do
so would be considered as gross misconduct resulting in termination of services.

4.0 Other Terms And Conditions:

4.1 You will devote full time to the work of the Company and shall not undertake any
direct/indirect employment or work, honorary or remunerative; or engage in
business of any nature whatsoever except with the written permission of the
Company. In case you are found to be indulging in any such act, your service will be
terminated and you will be liable to pay damages to company to make good the
losses caused by such acts o

4.2 Your services are liable to be transferred to any of Company's establishments,

associate companies, branches or offices whether now in existence or to be set up
here after.

4.3 Your services will be governed by the rules of the Company as may be in force from
time to time and are applicable to yow cadre.

4.4 You will give the company due intimation in writing of any change in your present
residential address and any change in the Permanent address immediately as and
when there is a change. As long as any change of address is not communicated by
you in writing, the address given in your application form shall deemed to be the
correct address for sending any communication to you and every communication
addressed to you at the given address shall be deemed to have been served upon
you.

4.5 You shall not, during the tenure of your appointment with the Company, or at any
time thereafter, use or disclose to any other Company, firm or person including
competitors, rivals, etc. any of the information, secrets or business affairs or work of
the Company. You will not give- out to any one, either in writing or verbally,
particulars or details of our manufacturing process, technical know-how, security
arrangements, administrative and/or organizational matters or secrets of
confidential nature, which may be your personal privilege to know by virtue of your
being our employee.

4.6 It has been agreed that you will not seek employment with any of the Company's
competitors or any other entity involved in the activities similar to those of the
company and in the same area of operation, for a period of 1 year from the date of
expiration or termination of employment. You will also advise us the name of the
entity that you propose to join after leaving and must obtain the necessary clearance
in writing from us.

4. 7 The age of retirement is fixed at 58 years and on the date of your completing the age
of 58 years, you will automatically retire, unless your services are extended by the
company in writing.

4.8 This letter of appointment has been issued to you on the understanding that there is
nothing in your past record which should have prevented the company to offer you
an association with it. If however, it is found that your past record is objectionable or
if any declaration given by you to the company is found to be false, or that you have
willfully suppressed any material Information, the appointment shall be liable for
immediate termination without any notice or com pen

( 4.9 If you are found guilty of any misconduct, insubordination, corrupt practice,
dishonesty, or disobedience, the appointment may be liable to be terminated
without any notice.

4.10 Any dispute pertaining to or arising out of this appointment shall be subject to
Delhi Jurisdiction only.

4.11 Annual Increment/ promotion to higher post cannot be claimed as a matter of

right. It will be based on your performance at the assigned job, accountability and
responsibility during the preceding year and also on the basis of your efficiency,
regularity, punctuality, discipline and good conduct.

4.12 You may have to proceed on tour to any outstation if and when required, in
connection with the work of the management for which you will be paid TA/DA
separately.

4.13 The management is engaged in the manufacturing of pesticides and it will be

entirely your responsibility to use necessary safeguards/ precaution for your safety.
Management will not be responsible for any accident due to your negligence.

4.14 Absence for a continuous period of 10 days, without permission and without
leave having been granted, would make you liable to loose your lien on the service
and the same will automatically come to an end without any notice. In that event,
you will also be liable to pay an amount equal to One month salary in lieu of notice,
which will be recovered from your dues with the management.

5.0 Ownership and assignment of Intellectual Property:

All copyright patents, trade secrets, trademarks, or any other intellectual Property Rights
associated with any ideas (patentable or not), concepts, techniques, trials, products,
processes, or works of authorship developed or created by the employee during the course
of employment shall belong exclusively to SAFEX CHEMICALS INDIA LTD. Employee hereby
assigns, at the time of creation, without any requirement of further consideration, all rights,
titles and interests which he/she may have in such ideas (patentable or not), concepts,
products, processes, trials including any patents, trademarks, copyrights, trade secrets
pertaining thereto.

6.0 Termination of Services:

Your services may be terminated on 30 days' notice on either side or payment of Gross Salary
in lieu thereof. The services can also be terminated without any notice or pay in lieu thereof,

Management finds that the particulars submitted by you either in the application or at the
time of interview are incorrect. No notice or pay in lieu thereof shall be given in case the
services are terminated consequent upon indiscipline or gross misconduct.

7.0 You will use all your physical and mental abilities for furtherance of Company's business
interests.
