ENGAGEMENT CONTRACT
AN AGREEMENT DATED: 26 July 2017

BETWEEN: Emmanuel Joshua Chee of Dirtyrats, No 31, Jalan Cengal, Taman Impian Ehsan, 43300, Balakong, Seri
Kembangan, Selangor , Kuala Lumpur, Malaysia (hereinafter known as “the Company”) of the one part

AND DJ SODA(hereinafter known as “the Artist”) of the other part, to be booked through Supermodified Agency Limited of
8/F, On Hing Building, 1 On Hing Terrace, Central, Hong Kong (hereinafter known as “Supermodified Agency”)

IT IS HEREBY AGREED that the Company hereby engages the Artist and the Artist hereby accepts the Engagement to
appear and perform in his/her/their usual entertainment (“the Performance”) at the Event/s, the Venue/s, on the Date/s, for
the Duration, and at the Artist Fee/s and (if applicable) Booking Fee (all as defined in the Schedule below) and subject to the
Conditions below and the Rider attached to this Engagement Contract. The Engagement Contract shall comprise the
Schedule, Terms and Conditions and Rider attached

SCHEDULE
The Artist agrees to undertake the Performance as follows:-

(a) PERFORMANCE SCHEDULE:

(b) CONSIDERATION: The Company shall pay the following:

Artist Fee 22,500.00 USD
Agency Fee 2,500.00 USD
Flights 1 biz x eco on Korean TBC
Airlines
Bank Fee 30.00 USD

The fee(s) shall be payable according to the following payment schedule:

10% payment due by Aug 1st, 40% due by Sept 1st, the remaining 50% payment due one month prior to the show date.

Failure by the Company to comply with this payment schedule shall constitute a material breach of this Engagement

Contract entitling the Artist to terminate immediately without prior notice. (Invoice for fee shall be sent on receiving of the
signed contract)

(c) BILLING & ADVERTISING:

100% headline billing. Artist to be billed as: DJ SODA All Artwork must be approved by Supermodified Agency before
going to print. Company must provide samples of all advertising for Artist’s approval prior to use. Absolutely no advertising
promotion may be undertaken by the Company in respect of the Artist until the Deposit has been received in cleared funds
and prior to Artist’s approval of the same both to be confirmed by the Artist in writing. The Artist shall receive billing as set
out at the head of this Engagement Contract on any and all press promotional marketing and advertising materials and
activities by the Company in respect of the Event. The placement, typeface, prominence, positioning of such billing shall be
mutually agreed by the Company with the Artist at the time of approval of the advertising. No other rights are granted by
the Artist to the Company in the Artist’s name, professional name, logo, biography or likeness or other intellectual property
rights other than as set above.

(d) EXPENSES / ADDITIONAL MATTERS:

In addition Company shall pay for and/or provide (as applicable) the following at its own expense and at no expense to the
Artist:-

(e) TECHNICAL:
(as per attached Rider)

(f) HOTEL ACCOMMODATION:

2 x King for 2 nights (min 5 star) and 1 x Suite for 2 nights (min 5 star) near to the Venue including breakfast. In the event
that the Engagement Contract relates to an international booking the Company shall in addition pay for and provide three
meals daily and hospitality for the duration of the Artist’s stay. Hotel details shall be supplied by the Company to
Supermodified Agency (including without limitation hotel name and address, tel and fax numbers, reservation details) in
accordance with the Terms and Conditions above.

(g) GROUND TRANSPORT AND FLIGHTS:

1x Business flight(s) and 3x Economy tickets on Korean Airlines to be booked by Supermodified Agency and paid for by the
company (unless otherwise agreed in deal with artist booking agent). Ground transport must be as per rider standard with
a driver engaged or employed directly by the Company from and between airport, hotel and Venue. Ground transport and
flight arrangement shall be supplied to the Company in accordance with the Terms and Conditions above. The Company
shall bear the costs of excess baggage incurred in the transportation of records or other equipment of the Artist. In the
event that the Artist shall confirm that the Artist is making his/her own transport arrangements to the Venue then at least
two (2) weeks prior to the Date the Company shall provide detailed and comprehensive directions to all locations (including
without limitation the Venue and the hotel) which shall be approved by the Artist. A reserved car parking space shall be
provided by the Company adjacent to the Venue

TERMS AND CONDITIONS

1. The Artist will perform on the following agreed time: TBC (after the convention)

2. The Company shall provide Supermodified Agency with details of optional ground transport and flight
arrangements for the Artist to the Venue (including without limitation different flights (dates, departure ports,
times and airlines) and on-ground travel arrangements from airport to hotel, hotel to Venue and vice versa)
together with options for hotel accommodation and work permits and/or visas (if applicable) no later than the
date six (6) weeks prior to the Date. All such details shall be subject to the prior written approval of the Artist
and no arrangements shall be made until such approval has been given by or on behalf of the Artist. Once
approval is given the Company shall confirm in writing the booking of all such approved arrangements by not
later than the date directed by Supermodified Agency. Time shall be of the essence in respect of the matters
set out in this Clause 3.

3. Cancellation of this Engagement Contract by Company will only be acceptable under the terms of Force
Majeure (as defined below) and in these circumstances the Deposit and the Booking Fee shall not be
refundable. In the event that the Company cancels or postpones the engagement or otherwise ceases to
require the Artist to undertake the Performance for reasons other than Force Majeure then (a) if the same
occurs after the date six (6) weeks prior to the Date the full amount of the Booking Fee and the Artist Fee shall
be due and payable by the Company or (b) if the same occurs prior to the date six (6) weeks prior to the Date
then only the Booking Fee and the Deposit shall be due and payable and the Artist shall be entitled to retain
the Deposit.

4. The Artist may terminate this Engagement Contract with immediate effect by written notice to the Company
(“Termination Notice”) if: (a) the Company commits a breach of any of its obligations under this Engagement
Contract; or (b) any sums payable under this Engagement Contract by the Company are not paid on or before
the due date for payment in accordance with this Engagement Contract; or (c) the Company shall be declared
bankrupt or shall enter into any insolvency or administration or receivership or winding up proceedings. In the
event of termination of this Engagement Contract all outstanding Booking Fees, Deposits and Artist Fees
specified in this Engagement Contract shall be paid by Company within five (5) days of receipt of the Artist’s
Termination Notice. Without prejudice to the generality of the foregoing upon the occurrence of a breach of this
Engagement Contract by the Company, the Artist shall be entitled to: (i) discontinue performance of its
obligations under this Engagement Contract; and/or (ii) seek to recover damages from the Company.

5. In the event that the Artist and/or any other party on Artist’s behalf pays for or incurs any expense (which Artist
shall be under no obligation to do) in respect of the Additional Matters set out in the Schedule above to be paid
by Company then Company shall reimburse the Artist immediately upon receipt of the Artist’s invoice
therefore.

6. The Company agrees and undertakes that no recording (audio or audio visual) and/or broadcast (by any
means whatsoever) shall be made, knowingly permitted or authorised by the Company of the Performance.
The Company shall take all necessary steps by way of security or otherwise to ensure that no recordings of
the Performance shall be taken. The Company agrees and undertakes that no transmission, broadcast
transmission of the Performance shall be made by way of radio, television (satellite, cable, terrestrial, closed
circuit or otherwise), internet, cinema, telephony (mobile or otherwise) or any digital or other media. The Artist
shall be under no obligation to give interviews, statements and/or attend press conferences in respect of the
Event or otherwise. Notwithstanding the foregoing, in the event that the Artist approves the making of a
recording of the Performance by the Company no exploitation or use of such recording shall be made unless
and until terms for such use and exploitation have been agreed in writing with the Artist.

7. The Company shall ensure that the Event is organised and conducted in such a way as to comply with all
laws, regulations, rules and guidance covering the holding of such events and shall obtain (at the Company’s
sole cost) all consents, necessary licences (including without limitation public performance licences from PRS
and PPL), permits, authorities, permissions, safety certificates and insurances required at law from the relevant
governing bodies or authorities prior to the Date. If any such consent licence authority etc is not issued prior to
the Date then the Company will not permit the holding of the Event. The Company and/or Venue must be
insured for any and all medical emergencies and against loss, theft, breakage, fire and damage. In addition,
Company shall pay for and maintain valid and subsisting and comprehensive general and public liability
insurance as required by the laws that govern the Venue. The Company will provide adequate security for the
Artist at all times commencing on Artist’s arrival at the Venue until Artist has left the Venue. Any breach of this
Clause 7 will be deemed a breach of this Engagement Contract.

8. Nothing in this Engagement Contract will be construed as creating between the parties a relationship of
principal and agent, or of employer and employee.

9. This Agreement shall be governed by the laws of Hong Kong and any dispute shall be subject to the exclusive
jurisdiction of the Courts of Hong Kong.

10. The Artist will not be held responsible for non-attendance as a result of public calamity, civil unrest, political
unrest, armed conflict, civil war, epidemic, fire, civil strikes and/or Acts of God (“Force Majeure”) or any factors
beyond the Artist’s control. In the case of illness a doctor’s certificate will be produced and Company will take
no action against the Artist. In this circumstance the Deposit and Booking Fee will be refunded to Company.

11. For the avoidance of doubt Supermodified Agency is not responsible for the fulfilment of this Engagement
Contract by the Company or the Artist, although every reasonable safeguard is assured. Supermodified
Agency is only responsible for the placement of the Artist and cannot be held responsible or liable for breaches
of this Engagement Contract by Company and/or the Artist. A Booking Fee is payable with the Deposit and is
not refundable in the case of cancellation of this Engagement Contract.

12. Each party warrants and represents that it has the power and authority to enter into this Engagement Contract
and the signatory/ies to this Engagement Contract is/are of a legally acceptable age to enter into this
Engagement Contract and have/s authority to represent such party and enter into this Engagement Contract of
this nature

13. It is the Company’s responsibility to obtain (at Company’s sole cost and expense) all required visas and
permits (including without limitation work permits and union forms) in respect of the Artist and tour party for the
Performance/s and the Date/s set out in the Schedule above.

14. A party will indemnify the other party in respect of any and all claims, liabilities, costs, demands and expenses
(including reasonable legal fees) actually incurred by the other party arising out of any breach or alleged
breach or claim in respect of the warranties, undertakings, agreements or obligations of such party contained
in this Engagement Contract.

15. Each party shall keep all the terms of this Engagement Contract and the transaction contemplated hereunder
secret and confidential.

16. Either party’s liability to the other party for breach of this Engagement Contract shall be the total amount of the
fees (less the Booking Fee) actually paid by the Company.

17. The Company will supply sufficient security for the Artist. At least two security persons must be in place at the
Venue on the night of Performance.

18. For the Performance, the Artist agrees and warrants as follows:
a) The Artist shall provide the Performance with all reasonable skills and care and in accordance with the first
class commercial practices and standards in the industry for similar performances.
(b) The Artist shall be solely and entirely responsible for its acts for the Performance.
(c) The Artist shall comply with all applicable laws in relation to the provision of the Performance.
(d) The Performance shall not infringe any intellectual property rights or other proprietary rights of any third
party.

19. The failure by either party to enforce at any time or for any period any one or more of the terms or conditions of
this Engagement Contract will not be a waiver of them of the right at any time subsequently to enforce all terms
and conditions of this Engagement Contract. The rights and remedies provided in this Engagement Contract
are cumulative and not exclusive of any rights or remedies otherwise provided by law.

20. Except as expressly set forth herein, no remedy conferred upon either of the parties by this Engagement
Contract is intended to be exclusive of any other remedy, and each and every such remedy shall be
cumulative and shall be in addition to any other remedy given under this Engagement Contract or now or
hereafter existing at law or in equity.

21. This Engagement Contract: (a) Constitutes the entire agreement and supersedes all other prior agreements
whether written or oral
between the parties in respect of the subject matter hereof and each party acknowledges that it has not relied
upon any oral or written representation made to it by the other or its employees or agents other than those
contained herein; (b) will not be capable of assignment by either party (whether in whole or in part) without the
written consent of the other; provided however that the Company may assign all of its rights and obligations
under this Engagement Contract to its affiliates or subsidiaries without the written consent of the Artist; and
(c) may be amended only in writing signed by both parties.

22. The parties intend that no term of this Engagement Contract may be enforced by any person who is not a party
to it.

23. This Engagement Contract may be executed in any number of textually identical counterparts, each of which
when so executed and delivered shall be deemed an original, and such textually identical counterparts
together shall constitute one and the same instrument
