TERMS AND CONDITIONS - CUSTOMER ORDER AGREEMENT
Section A. WARRANTY: See Seller’s separate written limited warranty for complete details of any warranty that accompanies the purchase of a product. Seller makes no warranty
of merchantability or fitness for particular purpose, express, implied, or otherwise. Seller does not assume any liability in connection with the sale of the spa, other than its limited
warranty against manufacturer’s defects in material and workmanship, and no warranty is express or implied by this Customer Order or the Terms and Conditions of this Agreement.
All manufactured equipment or appliances installed as provided for in this Agreement shall carry only the manufacturer’s current limited warranty. Such warranty is effective only if
Buyer has complied with all the provisions of this Agreement. Where Buyer has work performed by others or has performed work himself/herself that is not expressly pre-approved
by Seller, Seller shall not be liable for such work or any resulting loss or damages. Such work may void the warranty. Spa covers, cover lifters, water purification systems, and all
other accessories are excluded from the Seller’s limited warranty and are covered by their respective manufacturer’s warranty. Replacement parts including, but not limited to,
filter cartridges, light bulbs, pillows, grab bars, ice bucket lids and pump seals are not included in the original limited warranty. Seller has the right to make changes to the product
without notice prior to the delivery of the product that are considered design improvements by the manufacturer without any additional cost to Buyer.
Section B. CONTRACT SPECIFICATIONS AND ACCEPTANCE: This Agreement constitutes the entire agreement between the parties relating to its subject matter, and supersedes
any previous agreement between the parties relating to that matter, and Seller shall not be liable or bound by any verbal agreement. Each party acknowledges that it has not
entered into this Agreement on the basis of, and does not rely on, any representation, warranty or other provision that is not expressly included in this Agreement. This Agreement
may be varied only in writing under the signature of each of the parties. Upon acceptance of this transaction, Seller will require a deposit of the total purchase price or approval
of financing. Because all spas are built to order, if the order is refused or cancelled after the three-day cancellation period but not more than thirty (30) days after the date of
purchase, customer will incur a 25% restocking/cancellation fee based on the total order purchase price. If the order is refused or cancelled more than thirty (30) days after the
date of purchase, customer will incur a 50% restocking/cancellation fee of the total order purchase price, or the maximum amount allowed by law up to 50% of the total purchase
price. Any order not accepted for delivery by Buyer within 30 days of arrival at local warehouse or within 30 days of Tentative Delivery Date shall be considered a canceled order,
subject to a restocking/cancellation fee set forth herein. During the three-day cancellation period, Buyer has right to a full refund of all deposits when written notice of cancellation
is provided to the Seller no later than midnight of the third business day after the date of acceptance of this Agreement. Seller has right to cancel an order at any time prior to
delivery, upon written notice to Buyer at the address set forth on this agreement, subject to the above terms and conditions.

Section C. INDOOR INSTALLATIONS: Indoor installations must be on a nonporous flooring, with adequate drainage and installation, and are done at customer’s risk. Seller’s
limited warranty excludes damage to flooring, carpeting, ceiling, walls or personal property due to malfunctioning or leaking of the spa. All indoor spas require proper ventilation to
avoid risks to personal health. For proper ventilation guidelines please refer to the current published report from American Society of Heating, Refrigeration and Air-Conditioning
Engineers, Inc.

Section D. RESPONSIBILITIES OF BUYER– CONDITIONS AND LIMITATIONS: Buyer is responsible for Buyer’s own personal choice in purchasing of any products. Buyer
acknowledges that Seller will have no liability for any damages resulting from delivery of the product to any part of Buyer’s premises. Any change in spa specifications necessary to
conform to existing or future building codes, zoning laws, electrical work or upgrade of electrical service or regulations of inspecting public authorities shall be the responsibility of
Buyer and considered additional work to be paid for by Buyer. In the event Buyer authorizes access through adjacent properties for Seller’s use during delivery, Buyer is required to
obtain permission from the owner(s) of the adjacent properties for such use, and Buyer agrees to be responsible and to hold Seller harmless and accept any risks of such use. Buyer
is required, at his/her expense, to do all construction and other acts necessary, and to meet all conditions necessary to allow Seller to install the spa as provided in this Agreement.
Buyer shall direct the location of the spa. Any location chosen by Buyer on the day of delivery that varies from the Site Survey/Spa Positioning Agreement completed at the time of
purchase may result in additional charges to Buyer. Seller shall have no liability for an incorrect location or for encroachment or interference upon the property easements or rights
of any other parties. All spas must be installed on a solid level surface with no more than a 1/4 inch pitch over 4 feet. Seller’s Delivery Guidelines shall be deemed an addendum
to and part of this Agreement. Buyer shall be responsible for any necessary variance and association permits or fees. Your spa requires specific electrical requirements and it is
necessary to use copper wiring and a GFCI breaker. It is the responsibility of Buyer to hire a licensed electrical or building contractor to meet all installation requirements for the
spa. A Seller site inspection is for guidance only, and in no way eliminates the responsibility of Buyer to have a licensed contractor and electrician verify the integrity of the spa
site in preparation for delivery. Buyer is responsible for checking with local building codes to ensure proper code requirements are met. Also, please refer to the Site Evaluation/
Pre-Delivery Guide provided by Seller, which is deemed an addendum to and part of this Agreement. Buyer understands this is not a chemical free spa. Failure to follow these
instructions may result in property damage, risk to personal health and or death.

Section E. RESPONSIBILITIES OF SELLER – CONDITIONS AND LIMITATIONS: Seller agrees to deliver the product as provided in this Agreement, but shall not be held responsible
for any losses if the fulfillment of any terms or provisions hereof shall be delayed or prevented by civil disorders, wars, acts of enemies, strikes, floods, acts of God, or by any other
cause not within the control of the party whose performance is interfered with, and which by the exercise of reasonable diligence, said party is unable to prevent, whether of the
class of causes hereinbefore enumerated or not. Seller is not responsible for damage to such items as, but not limited to, curbs, sidewalks, driveways, patios, lawns, shrubs, sprinkler
systems, walls, railings, fences, flooring and appurtenances caused by persons delivering materials or equipment. Buyer acknowledges that Seller will have no liability for any
damages resulting from delivery to the product or any part of Buyer’s premises.

Section F. FINAL PAYMENT: For cash transactions a minimum deposit of 25% of the total purchase price or tax down on financing is required to start production of the spa.
Payment in full is required before the spa is shipped to the designated warehouse. Payment may be made only by bank cashier’s check, by certified bank check, by signing finance
documents, or by credit card (MasterCard, Visa, Discover, American Express) with prior approval made during the delivery confirmation. We cannot accept cash, personal checks,
credit card checks, equity line checks, or any other form of payment except those specified above. Drivers and delivery personnel are not permitted to accept cash. If you are
financing your spa, the delivery verification portion of the finance documents must be signed by a borrower.

Section G. DELIVERY, SET UP AND STORAGE FEES: On the date of delivery, you will be asked to show a picture ID and the signature must match the original sales slip. Due to
the complexities of the manufacturing process, it is impossible for Seller to guarantee an exact delivery date or an exact time of the day for delivery, and Seller cannot be held
responsible for any delays. Buyer must accept delivery within 30 days of being notified the spa is ready for delivery to avoid being assessed a $100 per month storage fee charge,
and if delivery is not taken within 30 days of being notified the spa is ready for delivery, ThermoSpas may consider the order cancelled, pursuant to the provisions of Section B,
above. If the spa site is not ready at the time Buyer is notified the spa is ready for delivery, drop ship deliveries are available to avoid storage fees.

Section H. BINDING ARBITRATION AGREEMENT AND LIMITATION OF DAMAGES: Any controversy arising out of or relating to this contract, or the breach thereof, shall be
settled by arbitration before a single neutral arbitrator administered by the American Arbitration Association under the commercial Arbitration Rules and Supplementary Procedures
for Consumer Disputes, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The arbitration proceeding may be
conducted on documents alone or telephone hearing, unless the arbitrator determines that an in person hearing is necessary. Neither party may take any other action by way of
request for injunctive relief or otherwise. The order of the arbitrator may be entered into any court of competent jurisdiction. Buyer and Seller agree to abide by the ruling of the
American Arbitration Association in lieu of filing a lawsuit. The sole and exclusive remedy of Buyer and the obligation of Seller for the matters set forth herein, whether on warranty,
contract, negligence or strict liability, is the repair of the defect. Seller shall in no way be liable for special, exemplary, multiple, or consequential damages. Should Buyer file a suit or
motion in any court or attempt to resolve a dispute in any manner other than through the arbitration process as described in this Agreement, the Buyer agrees to reimburse Seller
for reasonable attorney fees and expenses incurred in connection with any suit or motion to compel such arbitration. This arbitration provision shall be construed according to
federal law and the laws of the State of Connecticut. A court may decide only whether an agreement to arbitrate exists or a controversy is subject to any agreement to arbitrate. An
arbitrator shall decide whether a condition precedent to arbitration has been fulfilled and whether a contract containing an agreement to arbitrate is enforceable. An arbitrator may
award reasonable attorney’s fees and other reasonable expenses of arbitration if such award is authorized by law in a civil action involving the same claim or by the agreement of
the parties to the arbitral proceedings. This arbitration agreement is made pursuant to a transaction involving interstate commerce and shall be governed by the Federal Arbitration
Act, 9 U.S. C. & 1-16, (“FAA”). No claim submitted to arbitration is heard by a jury and no claim may be brought as a class action or as a private Attorney General. Buyer will not have
the right to act as a class representative or participate as a member of a class of claimants with respect to any claim. This arbitration section applies to all claims now in existence
or that may arise in the future. This arbitration section shall survive the termination of Buyer’s account with Seller as well as any voluntary payment of the debt in full by Buyer, any
bankruptcy by Buyer or sale of debt by Seller. This arbitration section shall apply to the successors and assigns of the parties and any purchaser of Buyer’s account. Additionally this
arbitration section shall apply to any third party providing benefits, services, or products in connection with the account (including but not limited to credit bureaus, rewards, credit
insurance companies, debt collectors and all of their officers, directors, employees and agents) if, and only if such a third party is named as a codefendant in any claim Buyer asserts
against Seller. If any part of this arbitration section is found to be invalid or unenforceable under any law or statute, the remainder of the arbitration section shall be enforceable
without regard to such invalidity or unenforceability. The result of this arbitration section is that Buyer is waving Buyer’s rights for a dispute between parties to be litigated in court,
tried before a jury, brought as a member of a class action, or brought as a private Attorney General action.

NOTICE OF ARBITRATION AGREEMENT: SECTION H OF THIS AGREEMENT PROVIDES THAT ALL DISPUTES BETWEEN BUYER AND SELLER WILL BE RESOLVED BY BINDING
ARBITRATION. BUYER THUS GIVES UP BUYER’S RIGHT TO GO TO COURT TO ASSERT OR DEFEND BUYER’S RIGHTS UNDER THIS AGREEMENT (EXCEPT FOR MATTERS THAT
MAY BE TAKEN TO SMALL CLAIMS COURT). YOUR RIGHTS WILL BE DETERMINED BY A NEUTRAL ARBITRATOR AND NOT A JUDGE OR JURY. BUYER IS ENTITLED TO A FAIR
HEARING, BUT THE ARBITRATION PROCEDURES ARE SIMPLER AND MORE LIMITED THAN RULES APPLICABLE IN COURT. FOR MORE DETAILS, *REVIEW SECTION H. ABOVE,

Section I. NOTICE OF CANCELLATION: Buyer may cancel without penalty or obligation, within three business days from the Order Date. If Buyer cancels, any property traded
in, any payments made by Buyer under this Agreement, and any negotiable instrument executed by Buyer will be returned within 10 days following receipt by Seller of your
cancellation notice, and any security interest arising out of the transaction will be cancelled. To cancel this transaction, mail or deliver a signed and dated copy of written notice of
cancellation to: ThermoSpas Hot Tub Products, Inc., 10 Research Parkway, Suite 300, Wallingford, CT 06492.

the entire agreement and the Buyer acknowledges that he/she has read the entire document. All sales are final and no refunds or returns will be accepted after the three-day
notice of cancellation expires. This Agreement is not binding on the Seller until accepted by Seller at its corporate headquarters in Wallingford, CT. Buyer acknowledges they
have received notice of their right to cancel.

SITE
Spa must be located on a structurally sound, level surface. Level surface is defined as a surface whose pitch is less than 1/4" over 4'.
Consult a qualified building contractor or structural engineer before you place the spa on an elevated deck or an indoor location.
In all locations, permits are required forthe installation of electrical circuits or the construction of exterior surfaces. Customer is responsible
to obtain all permits required.
Spa cannot be installed directly on asphalt, gravel, lawn surface, laid in dead sand or on stone dust.
Spas placed on slate, bricks or pavers, must be checked regularly to ensure that the spa remains level. Failure to maintain a level
surface will cause your shell and/or cabinet to warp, Voiding Your Warranty.
Spas installed indoors must be placed on a non-porous surface with a floor drain. Do not put the spa on a carpet. Flooring materials
must provide a good grip when wet. Water damage caused by indoor or outdoor spas is not covered under any ThermoSpas
warranty.
All spas installed indoors must have an adequate method of ventilation. Humidity will naturally increase with
the spa installed. Water may get into woodwork and produce dry rot, mildew or other problems.

Drop Ship -ThermoSpas Hot Tub Products, Inc. ("ThermoSpas") will deliver (through an approved third party) a fully assembled
spa to the customer's driveway.
Home Delivery -ThermoSpas will have a fully assembled spa delivered, unpackaged, and positioned at the customer's home.
ThermoSpas will not perform any alterations required to place the spa (removal of doors, jams, railings etc.) and reguires that
they be done in advance.
Swim Spas/Aquacisors or anything lifted over 48" above the ground requires use of a lift or crane, which will result in an
additional charge.
Delivery crew is not equipped to level and/or repair spa sites.
Delivery of spa may result in property damage to such things as grass, brick and other surfaces over which the spa must be
transported to get it to the delivery location, and may also result in damage to items that obstruct a clear path to the delivery
location. Customer understands this property damage may occur, and agrees to hold harmless ThermoSpas, its delivery
personnel, installers and contractors from any such damage.
• Delivery does not include filling spa with water, chemical adjustments or electrical hook-up.
In order for the spa to be delivered, the customer agrees to make the following alterations:

Spa Position Agreement
Congratulations on your ThermoSpas purchase. This form will ensure that we place your new spa in the exact
location that you desire. When deciding the placement of your spa take into consideration the following:
• The views from within the spa when relaxing. Make sure that there are no obstructions such as the cover,
trees or buildings.
• The entrance to the spa and the exit from the spa. Make sure that the internal spa steps are accessible and
there are no obstacles when entering and exiting the spa.
• A minimum 18" of clearance around the entire spa is required. Placement not following the 18” clearance
required will result in additional charges if service is needed in the future.
• Determine the entrance of the electrical wiring. Ensure the length of the electrical conduit required will reach
the spa pak based on the spa orientation. Make sure there are no electrical, tripping or obstruction hazards.

COVER LIFTER ORIENTATION


• If installing a cover lifter, use caution when determining where to install the lifter. Make sure not to block the
entrance to the spa or the control panel. Also, take into consideration that when the cover is lifted it could
obstruct your view (see Figure 1 below).

Preparations for spa delivery should be made


1st Week: Order is submitted by you starting now if your site is not ready.
It often takes 2 months to have a site ready for
delivery.

New Spa Order FAQs
Congratulations on placing your ThermoSpas order! ... Now what?
• Due to unprecedented demand, the custom-build and delivery process will take longer
than usual. It is normal for there to be a minimal contact from us until we are near the
ETA of your delivery.
• Your estimated delivery window is located on your Customer Order Form (top right corner).
• You will receive notice as we get closer to the delivery date. Typically, 2-4 weeks prior to
shipment to your local warehouse. We will NOT surprise you at the door with a spa!
• NOTE: Accessories may arrive well in advance of your spa’s delivery.

Water care, how to prepare...


• Visit ThermoSpas Customer Support on our website to find all kinds of helpful tips and
downloadable manuals and guides!
• Be ready for your Spa Orientation call! Our Service department will call within one week of
your Delivery Report being submitted to our home office. A member of our Service team
will walk you through the ins-and-outs of getting to know your new spa!
• Can’t wait? Click the Resources Tab of our website to watch our start-up tutorial video.
Once you have it down, water care only takes about 5 minutes per week.

Should I have my electrician on-site when my spa is being delivered?


• NO. We recommend that you DO NOT schedule your electrician for the same day as delivery.
Too many unknowns, moving parts, and schedules to coordinate.
• But, it is never too early to start getting quotes!!
• IMPORTANT! Provide your electrician with a copy of the Pre-Delivery Guidebook. They
should use ThermoSpas schematics and follow the provided wiring guidelines.
