ACQUIRING AND MANAGING BUSINESS IN BUYING AND SELLING PRODUCT

DIGITAL CURRENCY BTC, USDT, OTHERS

Date: 03 july 2023

Parties: The Legal Entity Agro Industry Gold Green Business Center, which will disclose
confidential information] (hereinafter, "Discloser"), represented by [and as natural person Fabio A.
Henriquez Guzman Passport AY024772 nationality Colombia] with address in [Colombia D.C.],
and [Name of the company/individual that will receive confidential information] (hereinafter,
"Recipient"), represented by [Name of the legal representative] with address in [Address of the
Recipient].
WHEREAS:
Discloser possesses confidential and sensitive information that it wishes to share with Recipient for
the purpose of [ACQUIRING AND MANAGING BUSINESS IN BUYING AND SELLING
PRODUCT DIGITAL CURRENCY BTC, USDT, OTHERS].
Both parties are willing to maintain the confidentiality of the information disclosed and to establish
the conditions under which such information will be confirmed and protected.
Therefore, the parties agree as follows:
Definitions: a) "Confidential Information": any information, knowledge, data or material of any
nature provided by the Discloser to the Recipient which is marked as confidential or which, by its
nature, should remain confidential. b) "ICC": refers to the International Criminal Court.

Obligations of the Recipient: a) The Recipient agrees to maintain the confidentiality of the
Confidential Information and not to disclose it to third parties without the prior written consent of
the Discloser. b) The Recipient shall continue the Confidential Information solely for the purpose
set forth in this agreement and shall not continue it for its own benefit or for the benefit of any
unauthorized third party. c) The Recipient shall take reasonable steps to protect the Confidential
Information and prevent its unauthorized disclosure or misuse. d) The Recipient shall only disclose
the Confidential Information to its employees or consultants who have a need to know the
Confidential Information for the stated purpose and who are subject to confidentiality obligations
similar to those set forth in this contract.
Restrictions: a) The Recipient may not copy, reproduce or duplicate the Confidential Information
without the prior written consent of the Discloser, except to the extent necessary to fulfill the
purpose set forth in this contract. b) The Recipient may not modify, alter or transform the
Confidential Information without the prior written consent of the Discloser. c) The Recipient agrees
to return or destroy all Confidential Information received by it, including any copies or
reproductions, upon the earlier of the request of the Discloser or the termination of this contract.
Term and Termination: a) This Agreement shall become effective on the date of its signature and
shall continue in effect until [according to AGREEMENT SIGNED BETWEEN THE
CONTRACTING PARTIES BETWEEN BUYER AND SELLER] unless terminated in writing by
either party upon THIRTY DAYS (30 DAYS) notice.
The Parties hereby agree to give knowledge participation to the Supplier on this particular matter
NCNDA in order to include in the Business management the result of the same.
The Parties hereby agree to copy the documentation via email to
businesscenter@agroindustrygoldgreen.com of the present and ongoing negotiations.
