COMMERCIAL SPACE SHARING AGREEMENT

This Agreement for Apartment rent is made on 4th day Tuesday, of July, 2023 AD Dhaka,
Bangladesh.

BY AND BETWEEN

Syed Hossainuzaman Titu S/O Late Syed Yousuf Ali, Address: House No.: 16, Road No- 9/A,
Urban Park View, and Apartment No- 3B, Dhanmondi, Dhaka, Bangladesh.
First Party.
AND
Sunnyat Ali, Father- Shaukat Ali, Mother – Nazneen Shaukat, Address: House 19, West
Malibagh, Siddeshwari ,

Second Party.

(The above-mentioned parties are collectively referred to as “Parties” and individually as


“Party”. The address of the First Party shall be considered as “Commercial Address”).

WHEREAS, the First Party wants to share their Commercial Space and the Scheduled premises
on a yearly rental basis for a period of 1 (One) years and whereas the Second Party agrees to
take the scheduled premises on a yearly rental basis. Now both the parties do hereby covenant
with each other on the following terms.

TERMS AND CONDITIONS

1. That the Second Party hereby accepts the scheduled premises as described at the last
part of the Agreement on monthly subscription basis BDT 32,000/- (Thirty-Two
Thousand Only) for a period of 12 (Twelve) month/s which shall be effective from 1st
October, 2021 valid till 30th September 2022.
2. That the Second Party has paid an advance amount of BDT 64,000/- (sixty-four thousand
only) at the time of the agreement.
3. That the Second Party shall not sub rent or share the scheduled premises with any other
party.
4. That the First Party shall not be liable for any activity or transaction of the Second Party.
5. Second Party hereby acknowledges that it is indemnifying and proving all kinds of
warranties to First Party while using this address which includes any financial liabilities,
criminal activities, damages or losses caused by the Second party to any third party
locally and internationally.
6. It is also agreed by the second party that they shall abide by the standard terms and
condition of the CoSpace & CoSpace keeps the rights to amend their terms and
condition on case by case basis.
7. That the Second Party shall use the “Commercial Address” only for their business
purposes and as “Cospace, Level 04, Awal Center, 34 Kemal Ataturk avenue, Banani C/A,
Dhaka-1213, Bangladesh.”.
8. That the Second Party shall use the scheduled premises only for their business “Peak
Prima Tech Bangla Networking Ltd.”.
9. That the Second Party shall pay the payment of each year within the first week of
renewal month according to the calendar year through Account Payee cheque in favor
of “Patrons Venture Ltd. “or fund transfer in our following account:

10. That the Second Party shall be able to leave the premise by serving a 3 (three) month/s
notice to the First Party after the initial contract period. In case the Second Party fails to
give such notice the Second Party shall be liable to pay next renewal period rent. The
First Party shall also have the right to give 3 (three) month/s notice to the Lessee
whereupon the Lessee shall have to vacate the Scheduled Premises.
11. That the Second Party leaves the premise within or after the agreement period, the
Second Party shall no longer be able to use the “Commercial Address” for any of their
purposes.
12. That the First Party shall take proper care to all electric, sanitary, bathroom fittings, tap,
switch, fixtures and other items with its lines to maintain good order. For any damage,
the first Party shall have to bear the cost at market price.
13. That the Second Party shall vacate the Schedule Premises on the expiry of the
Agreement. After this period (i.e. 12 months) if the Second Party wants to renew this
Agreement, then the First Party shall give priority to the Second Party. However, that
time a new agreement shall be entered into by the Parties’ mutual understanding.
14. That the “Commercial address” shall be as “Cospace, Level 04, Awal Center, 34 Kemal
Ataturk avenue, Banani C/A, Dhaka-1213, Bangladesh.”
15. That the “Secound Party” can update their exsisting space area to a larger space area in
Cospace within or after the agreement period.
16. New subscription fee / rent will be applicable for the new space based on the Second
party requirement
17. That the First Party shall reserve the right to cancel the use of “Commercial Address” by
Second Party for any issue that is unsolved within 14 (Fourteen) days.
18. The laws of Bangladesh shall govern the validity, performance and all other matters
relating to the effect of this Agreement and any amendment hereto. Any disputes,
controversies, and claims arising out of or relating to this Agreement or concerning the
respective rights or obligations hereunder of the Parties shall be settled through
arbitration as per Arbitration Law of Bangladesh.

SCHEDULE OF THE DEMISED PREMISES

Space Measuring: Estimated 56 square feet space in “Cospace”, Level 04, Awal Center, 34
Kemal Ataturk avenue, Banani C/A, Dhaka-1213, Bangladesh. The Scheduled Property as shall
be determined and specified by the Lessor upon availability of the space for a particular hour in
a day/month as per the absolute discretion of the Lessor.
IN WITNESS WHEREOF the parties hereto have put their respective signatures hereunder on
