Non-Disclosure Agreement (NDA) for Employees

This Non-Disclosure Agreement ("Agreement") is made and entered into

on this [Date] (the "Effective Date"), by and between [Your Company's
Name], a company registered under the laws of [Your Country], with its
principal place of business at [Address] (hereinafter referred to as the
"Company"), and [Employee's Full Name], residing at [Employee's
Address] (hereinafter referred to as the "Employee").

WHEREAS, Employee will have access to certain confidential and

proprietary information of the Company during the course of their
employment;

NOW, THEREFORE, in consideration of the mutual promises and

covenants contained herein, it is agreed as follows:

Confidential Information:
Employee agrees to hold in strictest confidence and not to disclose,
directly or indirectly, during or after the term of their employment, any
confidential or proprietary information, data, trade secrets, processes,
techniques, know-how, research, business plans, customer lists,
financial information, software code, or any other information
("Confidential Information") relating to the Company's business.

Use of Confidential Information:

Employee agrees to use the Confidential Information solely for the
purpose of performing their duties for the Company and shall not use the
Confidential Information for any other purpose without the prior written
consent of the Company.

Non-Disclosure and Non-Competition:

Employee agrees that during the term of their employment and for a
period of [Duration] after the termination of their employment, they shall
not engage in any business or employment that is competitive with the
Company's business, nor shall they disclose or use any Confidential
Information for their personal gain or the benefit of any third party.
Return of Confidential Information:
Upon the termination of their employment with the Company, Employee
agrees to promptly return all physical and electronic copies of
Confidential Information and any other Company property in their
possession or control.

Remedies for Breach:

Employee acknowledges that any breach or threatened breach of this
Agreement may cause irreparable harm to the Company, and in the
event of such breach or threatened breach, the Company shall be
entitled to seek injunctive relief, in addition to any other remedies
available at law or in equity.

Governing Law:
This Agreement shall be governed by and construed in accordance with
the laws of [Your Jurisdiction], without regard to its conflict of laws
principles.

Entire Agreement:
This Agreement contains the entire agreement between the parties and
supersedes all prior and contemporaneous agreements, representations,
and understandings, whether oral or written.

IN WITNESS WHEREOF, the parties have executed this Non-Disclosure

Agreement as of the Effective Date.
