sDEED OF ASSIGNMENT OF RIGHTS

with RELEASE WAIVER AND QUITCLAIM


(the “Agreement”)

The ASSIGNOR/s : JOHN DARWIN AGAPITO, Filipino Citizen of legal age single/married,resident of
Poblacion ,Bustos, Bulacan.

The ASSIGNEE/s : MELCHOR S. FERNANDO, Filipino Citizen single, resident of Cherry Blossom St.
Waterwood Park, Brgy, Pagala, Baliuag Bulacan.

PROJECT & LOCATION LANDCO/WATERWOOD PARK, PAGALA, BALIUAG BULACAN

PROPERTY PHASE 2A
(the “Property”): BLOCK/LOT BLK O2 LOT 03
AREA (SQM) 129 SQUARE METERS

KNOW ALL MEN BY THESE PRESENTS:

By virtue of this Agreement freely executed by the above name parties, the ASSIGNOR/s agreed to cede,
transfer and convey all his/her rights, title and interest over the Property in favor of the ASSIGNEE/s,
subject to the mutual covenants, terms and conditions stated herein.

1. The ASSIGNEE/s, by executing this Agreement has knowingly agreed to assume all the ASSIGNOR/s’
outstanding obligations and /or liabilities over the Property, including but not limited to the payment of
amortizations and all other relative costs, charges and monetary obligations;

2. The ASSIGNOR/s and ASSIGNEE/s both acknowledge their joint and solidary responsibility to report the
instant transaction to appropriate government regulatory agencies, when required by law, rules and
regulations, to pay any/all consequent tax liabilities that may arise from this Agreement; and to submit
proofs of said reporting and payment of taxes, as may be necessary. As such, the ASSIGNOR/s and
ASSIGNEE/s hereby hold the Property’s seller/developer free and harmless from any kind or nature of
liability connected with the reportorial requirements and consequent tax liabilities arising from the
instant transaction. The ASSIGNEE/s as the transferee - buyer, assumes full responsibility and/or
accountability to pay all said related/consequent government taxes insofar as the same may effect the
seller/developer’s transfer of legal title over the Property after full payment of the price.

3. The Parties jointly declare that they both read and understood all the provisions of this Agreement,
and acknowledge their free and mutual consent to the terms and conditions thereof, with full knowledge
of all the legal factual implications or consequences involve in the subject transaction.

By virtue of the mutual covenants stated in this Agreement, the ASSIGNOR hereby freely, absolutely and
irrevocably cedes,transfers and conveys unto the ASSIGNEE all his/her/their rights, title, and interest over
the Property.

IN WITNESS THEREOF, the parties have hereunto affixed their respective signatures in this Agreement on

same is their voluntary act and deed, and/or legal entities they therein represent herein, if any.
