Constitution of Yan Xin Life Science and Technology Club (YXLSTC)

Preamble and Mission Statement:


YXLSTC was founded by a group of undergraduate students, graduate students and staff from
the University of Alberta in March, 2000. The purpose of our group is to learn advanced Life
Science and Technology, understand life techniques and apply it to our health care. The function
of our group is to help both students and staff members to achieve a comprehensive health in
body, mind and heart. We have some special techniques in Life Science and Technology, which
are very helpful for health improvement and happy life.

Article I: Name and purpose of group


I.I Name
The name of our club is Yan Xin Life Science and Technology Club and short title YXLSTC.

I.II Compliance
The Club shall operate at the University of Alberta, subject to University of Alberta policies and
procedures. This group will also comply with all local, provincial, and federal laws and
procedures. The Club will also comply with the University of Alberta’s Students’ Union’s
bylaws and policies.

I.III The Constitution


a. This constitution will come into force upon review and approval from Student Group Services.
b. Amendments to this constitution will come into force upon review and approval from Student
Group Services.
c. This constitution will comply with all Student Group Services requirements.
d. It is the responsibility of the Executive Committee to submit this constitution for review with
Student Group Services each year, and to make edits required by Student Group Services each 3
years.
e. When this constitution comes into conflict or is silent with regards to Student Group Services
Policy, Dean of Students Policy, UAPPOL Student Group Procedure, Code of Student
Behaviour, SU Bylaw, Municipal, Provincial, or Federal Law, the regulations of the higher
overseeing body take precedence

I.IV Objectives and Goals
The major purpose of our group is to help students and staff to reduce stress, prevent diseases,
enhance work and study efficiency, increase life quality, and achieve longevity.

Article II: Membership and Eligibility


II.I Membership
Active memberships shall be open to full-time or part-time undergraduate students, graduate
students and staff members at the University of Alberta.

Associate memberships shall be open to full-time or part-time undergraduate students, graduate


students and staff members from other Alberta universities.
Honorary memberships shall be extended upon the discretion of the Executive to persons who
are deemed to have made outstanding contributions in forwarding the goals of the group.
Membership shall run from September to September each year. Members may withdraw from
membership by filing written notice to the Executive through the Membership Chair. A member
may be expelled from membership by the Executive by a simple majority of the Executive
present and voting at the regular or special meetings of the Executive, for any reason which they
deem necessary and proper. Notification of expulsion must be given within seven days by double
registered mail.

II.II: Membership Dues


The membership to YXLSTC is free of charge, yet YXLSTC expects attendance to at least 75%
of weekly group learning and meeting, and participation in at least two big events each year. The
failure to fulfill this minimum requirement gives YXLSTC the right to consider the expulsion of
member following a discussion with executive members. Also, in the case of serious offenses
under Student Union or University of Alberta code of ethics, YXLSTC has the right to expel the
member from the club. Above two behaviors will be regarded as a member of bad standing.

Article iii: Elections


III.I Eligibility
Only members of YXLSTC may vote and be voted in general elections. In order to be eligible to
run and hold office, the following requirements must be met:
Election candidate must be a member of YXLSTC.

Election candidate must be active members who fulfill the requirements for a member which are
mentioned above in sections II and III.
Election candidate must be a registered full-time student at UofA.

III.II Election Supervision


Elections will be monitored by the current president of the club and vice president. The election
process will be supervised by the current executive committee. The candidates and voting
members will be provided by the current executive committee based on information about active
members’ performance in club learning during the year and elections, one month prior to voting.
Self-nomination is acceptable.

III.III Election Procedures


Methodology: The Executive Committee will be selected by a secret ballot system by members.
¾ of the members is needed to be present in order to hold the elections.

Time of the Elections: The election should be done before the end of April Examinations.

The Result of Elections: A candidate must receive a simple majority (50% or 50% with one vote)
to be elected. First three candidates with highest votes will be selected to executive committee.

III. IV Appeals and By-Elections

A candidate or General Member may appeal election results within one week of the Elections
Committee announcing them. The Elections Committee will decide whether the appeal is
justified through consensus decision-making. If found to be legitimate, the Elections Committee
will hold a re-election within 2 weeks.

Should an executive position not be filled or become vacant partway through the year, the
President will, with 2/3 member support, appoint a member to that position.

Article IV. Executive Committee


IV.I Executive Committee Members

The Executive Committee of YXLSTC will be composed of: the President, Vice President
(Finance), and Secretary.

IV.II Duties of Executive Committee Members


The President shall:
- preside over all general and executive committee meetings.
- develop a general plan for the group during the year in agreement with the executives
- be the official spokesperson of the club.
- oversee the implementation and coordination of activities.
- ensure all key events are run smoothly.
- recruit student participants.
- co-sign authority on the club bank account.
The Vice President Finance shall
- preside over all meetings general/executive in the absence of the president or inability of
the president.
- perform all other duties that may be decided by the executive committee or delegated to
him/her by the president.
- advise and coordinates activities with President.
- ensures that all internal communication proceeds properly.
- be in charge of the group bank account, and keep records of all of the financial activities
of the club.
- co-sign authority on the club bank account.
The Secretary shall
- arrange regular YXLSTC executive/general meetings, and convey notices of meetings to
all members with the approval of president.
- keep records of all meetings, events and activities.
- perform all other duties that may be decided by the executive committee or delegated to
him/her by the president.

IV.III: Other Executive Members
We have honorary executive members without voting right. We have an international umbrella
organization, which is International Association of Yan Xin Life Science and Technology
(IAYXLST). This umbrella organization will only help our study Life Science and Technology
and will not participate in any other group management affairs.

IV.IV: Impeachment/Removal and Replacement of Officers and Members


Members of YXLSTC in bad standing will be removed from the group in compliance
with sections III (Membership Dues).
If an Executive Member fails to fulfill the duties of their position, any General or Executive
Member may petition for their impeachment. The VP Elections/Elections Committee is
responsible to present the evidence and petition to the group’s membership at its next meeting,
and the impeachment will pass with a 2/3 vote.

Article V: Committees
We have only the Executive Committee and do not have any other standing Committees.

Article VI: Meetings


There are four types of meetings for YXLSTC:

Weekly Meetings:
Weekly meeting takes place on weekend (Friday evening, or Saturday /Sunday in the morning or
afternoon), depending on most of members’ available schedule.
Members meet together to learn the new knowledge of Life Science and Technology.
Where 75% of members is present in person, quorum shall be deemed formed for a weekly
meeting of the club.

Monthly Meetings:
Monthly meeting takes place on the last Saturday/Sunday of week of every month.
Members meet together to exchange our experience and benefits of learning Life Science and
Technology.

Where 60% of members is present in person, quorum shall be deemed formed for a weekly
meeting of the club.

General Meeting:
General meeting takes place once in May of every year.
Members should be notified one month prior to general meeting.
When 51% of active members is present in person, quorum shall be deemed formed for a general
meeting of the club.

Executive Meetings:
Executive meeting takes place the first weekend of every month.
Executive meetings are only open to executive members of YXLSTC.
Executive members shall attend at least 80% of executive meetings.
Where ¾ of executive members is present in person, quorum shall be deemed formed for an
executive meeting of the club.

The Presiding Officer of the meeting will be the President, in whose absence the Vice President
will preside.

Article VII: Finance


Currently, YXLSTC does not handle any money. However, if we need to handle money in the
future, the process is as follows:
We will open a bank account, which is used for donations provided by family and friends.
The YXLSTC’s fiscal runs from June1st to May 31st.
The President and Vice President have the authority over finances.
The Vice president can only sign the cheques in the event that the president is away.
The Vice President will be responsible to make deposit or when an amount greater than $500 has
accumulated in the cash box, whichever is sooner.
Bank statements and other financial documents are to be kept in a secure location depending on
the place where our Vice President chooses, for entire club’s fiscal year before being shredded.

Any reimbursements will be handled through the President and Vice President.

Article VIII: Amendments to the Constitution


Constitution may be rescinded, altered or added to by an "Extraordinary Resolution" passed by a
majority of not less than three-fourths of active members present in person or by proxy at a
general meeting of which one month's written notice specifying the intention to propose the
resolution as an extraordinary resolution has been duly given.

Article IX: Dissolution of Club


The Club may be dissolved by a 2/3 majority vote at a Special General Meeting convened for the
purpose of which 90 days’ notice must have been given in writing to all members. The group is
automatically dissolved upon membership dropping below 10 members. Upon dissolution, the
Executive Committee is responsible for ensuring that any remaining financial resources are
donated to charity and the bank account is closed down. Any resources or group assets will be
donated to charity where appropriate but will not be distributed to individual members.
