WAIVER, RELEASE, AND QUITCLAIM

KNOW ALL MEN BY THESE PRESENTS:

I, JENNIE KIM, of legal age, Filipino, married, and with postal address at
Lot 1, Block 8,Villa Asuncion Subdivision, Tetuan, Zamboanga City, under oath do
hereby declare and make manifest that:

1. I am an employee of OCENA DISTRIBUTORS INC., (hereby known as the

“COMPANY”) and hereby confirms my separation from the COMPANY
due to termination effective January 20, 2023;

2. For this reason, I received from the COMPANY the sum of THIRTY FIVE
THOUSAND PESOS (P35,000.00) which amount I unconditionally declare
and accept to be and as in full and final settlement of any and all claims I
have or may have against the COMPANY;

3. In consideration of the foregoing premises and receipt of which is hereby

fully acknowledged and confessed:

a. I release, remiss, and forever discharge of the said COMPANY, its

stockholders, its officers, directors, agents, employees, and other
parties with which it does business, from any action, sum of money, or
other obligations arising from all incidents of my previous
employment with the COMPANY;

b. I acknowledge that I have received all amounts that are now or in the
future may be dur from the COMPANY, by reason of my employment
with said COMPANY and its termination;

c. I acknowledge that I have no cause of action, complaints, case of

grievance whatsoever against the COMPANY, its stockholders, its
officers, directors, business associates, agents or employees in respect
of any matter incident to or arising out of my employment;

d. I have read and understood this document and the receipt, release,
waiver and quitclaim executed herein is given by me willingly and
voluntarily and that this document is a complete settlement of all my
claims against the COMPANY, its officers, directors, business
associates, agents and employees.
