THE BUSINESS PURCHASE AGREEMENT

This Business Purchase Agreement is entered into as of the 31th day of May 2023

Seller(s): Elizabeth M Puzon and

Buyer(s): Rosario D Manalo/ JR Manalo

WHEREAS, the Seller owns and operates a business known as Aqualino water station located
at 245 pablo ocampo cor. Flordeliz st. barangay la paz Makati city.
that engages in the business of Corporation
WHEREAS, the parties intend that the Seller shall sell to the Buyer the Business for the price
of 1,100,000 pesos terms and conditions described below.
First payment April 29, 2023 (Php 100,000) deposit.
Second payment May 02, 2023 (Php 150,000) cheque deposit.

Third payment May 31, 2023 (Php 520,000)

Fourth payment June 30, 2023 (Php 110,000)

Fifth payment July 30, 2023 (Php 110,000)

Last payment august 30,2023 (Php 110,000)

NOTES:
 The quality of the water is well maintained.
 Should accommodate and sustain all existing customers.
 ( maam baka may maisip pa po kayo na idadagdag natin ditto )

NOW THEREFORE, for the reasons set forth, and in consideration of the mutual covenants and
promises of the parties hereto, and intending to be legally bound, the Seller and the Buyer agree as
follows:
Sale of Business. On the terms and subject to the conditions set forth in this Agreement, the Seller
agrees to sell, assign, transfer, convey and deliver to the Buyer, and the Buyer agrees to purchase
and acquire from the Seller all rights, and to the Business, including:

 With 136 water dispenser.

 With 836 containers.
 With TDS meter
 With alkaline meter
 With heatgun
 With initial inventory of seal, cups, etc
 Free 3 months rent
 With 2016 Mitsubushi L-300Van, ending 0 (w/ comprehensive insurance till August 2023)
