the partial subcontracting of the aforementioned work, in order to perform part of the

THE SUB- CONTRACTOR" declares:

a) That it is fully familiar with the DRAFT of the work that is part of the subcontract, the work
SCHEDULE agreed upon by the contractor and the corresponding WORK PROGRAMS.

b) That it has the technical elements, equipment, personnel and experience necessary to carry
out the subcontracted work, that it is familiar with the Construction and Installation Standards
and the Quality of Materials, such that it has full capacity to carry out the work in accordance
with the project, work schedule and work programs mentioned above.

c) That for the purpose of making its own work plan, considering the necessary equipment and
suitable support personnel, it has carefully inspected the site where the subcontracted sub-
work is to be carried out in order to consider all the factors that will intervene in its execution.

11.- Having stated the foregoing, the contracting parties declare that the present subcontract
is governed by the following clauses:

FIRST: SUBCONTRACT AMOUNT: The total work that is the subject of this subcontract shall be
performed by THE CONTRACTOR. in the amount of: S/. ………………….

SECOND: IN ADVANCE PAYMENT: For the commencement of the work entrusted to it, THE
CONTRACTOR shall receive from THE CONTRACTOR the sum of S/. ……………………………………
(…………………………. nuevos soles), which THE SUBCONTRACTOR is obliged to use for the
purchase of materials, transfer of machinery, installation of equipment and in general to
provide everything necessary for the beginning of the work under its responsibility, and THE
SUBCONTRACTOR is obliged to purchase the materials, as long as possible, by means of
preference given to the suppliers based on equal circumstances.

The granting and amortization of the advance payment will be subject to the provisions of the
Public Works and Related Services Law, and its amortization will be made proportionally to
each of the estimates for work performed, with the remaining amount to be amortized being
paid in the last estimate.

THIRD: METHOD OF PAYMENT: The parties agree that the work covered by this subcontract-
shall be paid by means of the preparation of estimates for biweekly periods, which shall be
accompanied by the documentation that proves that payment is due, basically the amounts
that correspond to THE SUBCONTRACTOR.

FOURTH: DOMICILE FOR PURPOSES OF CONTRACTUAL PERFORMANCE
