1. That I am the duly elected, qualified and incumbent Corporate Secretary of WELLIFE
NETWORK MARKETING CORP (the “Corporation), a cordporation duly organized and
existing under and by virtue the laws of the Repulic of the Philippines, with principal
office and place of business at 2nd FLOOR CLYDEGRACE BLDG., BRGY. DON
FELIPE LARRAZABAL, ORMOC CITY.

2. That in a special meeting of the Board of Directors of the Corporation which was held last
JUNE 24, 2023 at ORMOC CITY during which a quorom was present and acting
throughout, the following resolutions were unanimously approved to wit:

“RESOLVED, AS IT IS HEREBY RESOLVED, that the Corporation be authorized to

apply with PayMaya Philippines Inc. (“PAYMAYA”) for Partner Affiliation (the “Application”);

“RESOLVED, that the Corporation hereby appoints and designates any (/) one; any ( ) two

to sign, execute, and deliver any and all applications, contracts, documents, forms and

“RESOLVED, that the Corporation hereby ratifies and confirms any and all acts and things
which the above named representative/s may lawfully do or cause to be done pursuant to
the authority herein granted;

“RESOLVED, FINALLY, that the foregoing resolutions shall remain valid and effective
unless otherwise notified in writing to PAYMAYA.”

3. I further certify that the Corporation’s Ultimate Beneficial Owners (who are natural
person/s who has at least 20% ownership and/or has ultimate effective control over the
business/organization) are the following, with their required declared information, as
required by BSP Circular 1022:

4. I attest, under penalty of law, that the foregoing is in accordance with the records of the
Corporation presently in my custody.
5. However, due to the ongoing Enhanced Community Quarantine, the Corporation is
unable to submit the Paymaya Philippines, Inc. All the documentary requirements needed,
including the notarized secretary’s certificate. To prevent the delay of the cooperation,
Paymaya has agreed to enter into an agreement with the Corporation provided that the
required documents will be submitted once the ECQ is lifted.

6. In view of the foregoing, I hereby undertake to submit the notarized secretary’s certificate
attesting to the authority given to the Corporation’s representatives as well the ultimate
beneficial ownership of the Corpotaion, within thirty (30) days from the lifting of the ECQ.
