and tubes. Machine is fitted with pneumatic belt tensioning device and quick mandrel
interchanging facility. Supplied with a sophisticated control panel with a 11 KW (15 HP) A.C.
Variable Speed Drive of ABB Make or equivalent. Provided with an On-Line Printing Device to

2. DELIVERY: Despatch within 3 months from the date of receipt of your down payment and
irrevocable L/C and found in order. Suggested delivery period specified in the offer is
subject to change in schedule between offer and receipt of order. The promised shipping date
must be considered a conservative and reasonable estimate as to the probable delivery of the
equipment, based upon the conditions existing at the time the offer is submitted. In case of
Force Majeure i.e., any unforeseen circumstances as Act of God, War, Strike, Floods,
Government Action or any other cause beyond our control which prevent us to effect delivery,
we may proportionally prolong the time of delivery. A buyer's claim for damages on that
account shall be in no case admissible. No claim for damages by the buyers on account of
delays or failure to deliver within the time stated shall be admissible.
3. We will not be liable for any loss of production or other costs due to delay in delivery, installation
or start-up.
4. GUARANTEE: The machineries are guaranteed for a period of 12 months from the date of
delivery against faults arising out of any defective workmanship or material except normal wear
and tear and defects out of accidents, neglect, misuse or other abnormal conditions due directly
or indirectly to circumstances beyond control. Parts or ancillary equipment incorporated in
our manufacture, will carry guarantee or warranty as their manufactures allow.
5. Specifications, illustrations, dimensions, weights, power performance stated in our offers
and catalogues must be taken as approximate and not binding in detail and are subject to
alteration without prior notice. We reserve the right to modify the design or alter specifications
during the course of manufacture, if we think in our opinion such modifications constitute an
improvement or are in accordance with revised standards of manufacturing methods. All
motors are of 3 phase 400/440 V AC motors, unless specified otherwise.
6. The delivery period commences only after clarifications of all technical and commercial
doubts.
7. VALIDITY: This offer is valid for 1 month only from its date and thereafter subject to our
written acceptance and confirmation.

8. LIABILITY: SODALTECH EXPORTS will not be liable for consequential damages resulting
from the Purchaser's use of the machine.
9. CONFIDENTIAL PROPOSAL: The calculations, specification and ideas submitted herein are
the exclusive property of SODALTECH EXPORTS and are disclosed in confidence solely
for the purpose of this negotiation. As such they are not to be used without the prior
written permission of the said company.
10. JURISDICTION: All suits, if any arising out of contracts shall be instituted in a court of
competent jurisdiction situated in Coimbatore only and in no other court.
11. GENERAL: The provisions, terms and conditions, of this agreement shall prevail not-
withstanding any variance with the provisions, terms and conditions of any order or contract
submitted by the Purchaser in respect of the equipment to be furnished under this agreement.
