ERECTION & COMMISSIONING : For 1st 30 days per day charges are not applicable (for 3 Technicians). After
30 days.Rs.2000 per day per person (plus applicable Service Tax) should be paid towards salary of the

All such services made against advance payment .If there is any balance left out after their arrival the
amount will be paid back by the seller. If their service to be extended, further advance to be paid before
continuing their service.

GENERAL TERMS AND CONDITIONS OF SALE

The acceptance of our Quotation / Proforma Invoice implies the acceptance of following terms and conditions as part of
the Sales Agreement between the Buyer and Seller.

1. All prices and quotations are subject to change without prior notice.

2. Prices quoted are exclusive of applicable taxes, Transit Insurance Premium, Packing and forwarding charges, transport
charges and other applicable levies etc and the same shall be charged extra at actuals, unless otherwise specified.

3. In case of Force Majeure i.e., any unforeseen circumstances such as Act of God, War, Floods, Government Action or
any other cause beyond our control which prevent us to effect delivery, we may proportionally prolong the time of
delivery. A buyer's claim for damages on that account shall in no case be admissible. No claim for damages by the
buyers on account of delays or failure to deliver within the time stated shall be admissible.

4. GUARANTEE : The machineries are guaranteed for a period of one year from the date of delivery against faults
arising out of any defective workmanship or material except normal wear and tear and defects out of accidents, neglect,
misuse or other abnormal conditions due directly or indirectly to circumstances beyond our control. In case of parts
or ancillary equipment not of our manufacture but supplied by us, we will, at our discretion extend such guarantee or
warranty as we receive from the supplier. Seller does not guarantee the quality of end products made by the buyer as it
depends upon parameters like raw materials used and other local conditions which are beyond Seller’s control.

5. All the machinery and equipment will be made available for trial and test at seller’s works before despatch in the
presence of the Buyer’s representative and the cost of the test materials will be debited to the Buyer’s account. In case
the buyer’s representative is absent, the machines will be despatched after Seller’s self-inspection as per test certificate of
seller which shall be conclusive evidence that goods covered by the certificate can fulfil guarantee given by seller and it
will be binding on customers. The acceptance of machines by buyer’s representative shall be final and conclusive.

6. An order once confirmed with advance cannot be cancelled or withdrawn by the buyer under any circumstances.

7. The machinery should be taken delivery within 15 days from the date of receipt of the intimation sent by seller.
Otherwise the order will be treated as cancelled and the advance will be forfeited without any prior intimation.

8. Specifications, illustrations, dimensions, weights, power and performance stated in seller’s offers and
catalogues must be taken as approximate and not binding in detail and are subject to alteration without prior notice.
The seller reserves the right to modify the design or alter specifications during the course of manufacture, if they think
in their opinion such modifications constitute an improvement or are in accordance with revised standards of
manufacturing methods.

12. JURISDICTION : All suits, if any arising out of contracts shall be instituted in a court of competent jurisdiction
situated in Coimbatore only and in no other place.

13. Seller’s responsibility ceases as soon as the goods are handed over to the Carriers.

14. The delivery period commences only after clarifications of all technical and commercial doubts.
