1. OVERVIEW
The late Dr. Thandi Ndlovu established the Motheo Construction Group in 1997.
She teamed up with Chris Cudmore and Tim Potter and under the trio’s leadership, Motheo
developed into South Africa’s leading, predominantly black female owned and managed
construction company. We are the leading provider of Social Housing in the country,
but we are far more than a housing company. Having branched out into general building,
civil construction, water saving technologies, electrical works, as well as having established
a fully fledged academy, Motheo is a formidable force in the construction industry.

One of our key focus areas is the development of young talent. Having diligently worked
on this over the years, 35% of the company’s shares are black female owned, as well as
a Board seated with four black females. We pride ourselves in being TRULY EMPOWERED.

Through Dr. Ndlovu’s involvement, Motheo is a founder member and leading role player
in South African Women In Construction (SAWIC). Dr. Ndlovu was the past president
of the Black Business Council for the Built Environment.

The company is currently registered with the CIDB as 9 GB PE, 9 CE PE, 7 EB PE and 8 EP PE.
Motheo has been registered with the NHBRC since its inception and remains in good
standing. As of 2020, Motheo holds an ISO9001 accreditation.

While the company has grown and diversified into other fields, Motheo remains fully
committed to Social Housing.

in accommodation built by Motheo.

That leaky tap in your school or office park may have been automatically turned off
by Motheo’s patented Aqua Trip device. Not only saving South Africa’s precious resource, but
saving South Africans millions of Rands in wasted water.

The solid waste you generate could be processed in a Solid Waste Depot – built by Motheo.

We tell this story to indicate that – although we remain passionate about housing –
we are far more than a housing company.

What started as a small operation in 1997 has developed into MOTHEO Construction,
Motheo Civils, Motheo Water, Motheo Electrical and Motheo Academy.

Motheo’s offering has expanded over the years.

2.1 GENERAL CONSTRUCTION

2.1.1 HOUSING

We have extensive experience in all areas of Social Housing including:

2.1.2 BUILDING

We have had a lot of business in the general building arena with projects ranging from railway stations
to schools.

2.1.3 PROPERTY DEVELOPMENT

On a limited and selective basis we develop properties for our own account as well as for a client’s
account. This incorporates all of the aspects as outlined under Turnkey Design and Construct but
includes the procurement of project finance, both development and term finance.

2.1.4 TURNKEY SOLUTIONS TO DESIGN AND CONSTRUCT

Integral to the successful implementation of housing projects is the capacity to manage the overall
project. In housing terms, this is commonly referred to as being the “Implementing agents”.
This function entails the overall project management, from the sourcing of land, bulk and link
infrastructure, appointment and management of the professional team, and the physical delivery of
the project, be it civil infrastructure/housing and/ or both.

In addition to housing projects, we have undertaken more conventional type projects such as:

• New Headquarters and Guest Lodge for the Department of International Relations;
• Facilities for the South African Police Service (SAPS).

Motheo’s Civils division prides itself on delivering high quality multi-disciplinary engineering and construction

Motheo Civils provide a highly experienced, knowledgeable and well-trained workforce which endeavours

2.3 WATER SOLUTIONS - EVERY DROP COUNTS
PROTECTING THE WORLD’S MOST PRECIOUS RESOURCE.

Information is powerful. To measure is to know – so it is with water consumption – if you know what’s happening –
you can manage consumption. Motheo Water has the technology to do just that! By logging water meters remotely,
and collecting that data, clients can have real time information. This in turn, allows for quick lead time responses.

With information one can then introduce water saving technologies, water on demand, remote control
and the like.

Motheo also offers a shared savings model to our clients. This allows Motheo to intervene at no cost to the client.
Motheo will install the requested technologies and share in the achieved savings.

• We’re engaged with the Dept. of Public Works in Free State and deliver timeous water data on our platform
for their hospitals and clinics;
• In hospitals where we’ve initiated our water savings interventions, we’ve reduced annual consumption
by over 50%;

WATER SUCCESS STORIES

• University of Pretoria set out to reduce their water consumption by 100,000,000 litre/annum.
Using Motheo Water monitoring and our unique technology the university has reached 70% of their goal.

3. EMPOWERMENT AND B-BBEE

LEVEL 1
Post the tragic passing of Dr. Thandi Ndlovu, the remaining shareholders decided, consistent with Dr. T’s vision,
to empower the Motheo staff. As such, some of the existing shareholders have been offered additional shares and
8 new beneficiaries have been identified. The outcome of which will be:
• Retaining the owner-managed principle;
• Empowering staff;
• Broadening the shareholder base – we now have 13 black shareholders (7 female and 6 male) holding
51,5% of the share holding in Motheo. All the required agreements have been signed and documents lodged
with CIPC to effect these changes.

Central to the way that Motheo does business is the development and empowerment of our staff and associated
Suppliers and Subcontractors (SMME’S) consistent with our mantra of “TRULY EMPOWERED.” Internally
we are focused on the development of selected individuals. Our efforts to grow individuals and SMME’s has deeply
shaped the way that we do business.

We have seen newly qualified, inexperienced individuals move to integral members of our team, today managing
projects and departments within Motheo. A further measure of our success in building into people’s lives is
that over the past eleven years, thirteen beneficiaries have acquired a share holding within Motheo. Collectively
they now hold 51.5% of the issued share capital of the business. This offers them a real sense of ownership and
significant wealth creation. This process will be on going in the years to come to both reward and incentivise
deserving individuals.

Our success has been a function of training, generally provided by external professional service providers
in areas such as negotiating skills, building contracts, programming, estimating, valuations, finance for non-financial
managers, concrete technology, accounting and more. Creating a mentorship structure within Motheo with
experienced practitioners supporting the newer entrants, then supports the formal training. In terms of working
with SMME’s, Motheo has a proven track record as recognised in a number of industry awards in the development
of small and medium enterprises.

We also have 12 enterprise development beneficiaries which we have supported over a number of years,
with entrepreneurial training and financial assistance when required.

4. CORPORATE SOCIAL INVESTMENT
Motheo has a stated objective to contribute to the upliftment of the communities in which we operate.
This is in line with our motto of true empowerment.

Our contributions over the years have taken many forms such as:
• The Building of Homes;
• Home Repairs;
• Schools;
• Sports Facilities;
• Basketball Courts;
• Gardens;
• Voter Education;
• Ilingelethu Service Centre, Middledrift.

Ilingelethu Service Centre: Middledrift Eastern Cape

Ilingelethu which means “It’s ours”. This non-profit organization was formed in 2007 by elderly citizens
in Middledrift. Their aim was to support other elderly citizens in the area, as well as provide a place of connection.
With a small initial contribution of R50 by members a healthy weekly meal was set in motion. These elderly
citizens participate in a variety of activities together – including Golden Games and sewing projects. Motheo’s
initial engagement began in 2018 with a monthly financial contribution towards groceries, this allowed the elderly
to meet together five days a week. Motheo assisted in other smaller ways, including obtaining sewing off cuts
for craft work. Motheo was also able to support the community through the process of obtaining a grant from
Social Development. Later we assisted the community with a Lottery grant for food and centre running costs.
Motheo continues to assist the community – our most notable contribution being that the community now has
their own piece of ground – thanks to Motheo’s support, it is fenced and a gate has been installed. Motheo is in
the process of assisting the community with the building of the Centre.

4.1 CSI PROJECTS WE ARE PROUD OF


The importance of being of service to others and of sharing your gifts and talents with those who have less than
you is a building block of the Motheo culture. It is from this place that we operate when making decisions about
the CSI projects that we want to participate in. At the centre of that is the desire to serve people.

When the eThekwini Municipality were requested by the Premier of KwaZulu Natal to assist two families in the area
who were facing extreme hardships. The first was a 22-year-old soccer enthusiast who lost both his legs as a result
of injuries sustained playing soccer. He was living in a 15m2 shack, which was in a poor state of repair.

We decided to step in as Motheo to build him a new home on the site. Giving him his own home was our way
of helping him become Truly Empowered. In the same area we extended a house for a single amputee,
gogo Thabani Goba.

In 2019, Motheo donated 620 school shoes, and 500 school bags across the country. Motheo’s reach is extensive,
having donated towards various projects over the past 22 years of business - above and beyond the call of duty.

4.2 HISTORICAL PROJECTS
We have worked on a number of projects that were designed and executed to empower the communities
where we operate.

Some of those have included:


• Financial support for the Voter Registration Drive - Adelaide Eastern Cape;
• Sports Equipment - Verulum Institute Durban;
• Offices for Community Meetings - Fort Beaufort - Eastern Cape;
• Repairs to storm damaged schools - Marian Hill;
• Sports Equipment - Diepsloot;
• Youth Development - Eastern Cape;
• Aids Awareness - eThekwini;
• Play Ground Equipment – Welbedacht.

Other CSI projects we have done include:


• Motheo Construction Group supported the development and construction of the Constitution Hill
Women’s Memorial at Constitution Hill, at a cost of R 350,000;
• We have supplied school uniforms to children from needy families in Ladysmith and Newcastle;
• We are currently constructing crèche’s in Newcastle and Hlabisa;
• We continue to support schools, the aged and vulnerable communities in the areas we operate;
• We refurbished the West Orlando Golf Club facility in Soweto;
• Dr. Thandi Ndlovu Children’s Foundation raised R 1m for marginalized and orphaned children.

5. DR. THANDI NDLOVU - OUR LEGACY
Born in Soweto in 1954, Dr. Thandi Ndlovu was raised in a home where kindness, love, excellence and the values
of sharing were central to living. In that dynamic setting, she was encouraged to be a good student and to be an
active member of her community. A natural leader even at a young age, she was a part of many organisations and
one of the founders of the Students Christian Movement in Soweto.

She went on to further her education at the University of Fort Hare where she read towards a Bachelor
of Science (BSc) majoring in Chemistry and Biochemistry. It was here where her political awareness increased
even further. While studying at Fort Hare, her youngest brother was killed during the student uprisings of June
1976. The loss was a devastating one and it marked the beginning of a deeper involvement in the political arena,
which ultimately led to her going into exile for 17 years.

While in exile, Dr. Thandi’s leadership qualities were undeniable. She was appointed the Senior Political
Commissioner, charged with running a Literacy and Education Programme within Umkhonto we Sizwe (MK),
the African National Congress (ANC) Military Wing. Over the years she would have many other leadership
roles within the party including Chief Medical Officer, Administrative Secretary of the Women’s Section and
Commander among others.

In 1984 she decided to go back to university to complete her studies. She enrolled with the University
of Zambia, completing a BSc (Human Biology) and MBchB degrees. She completed her degree just as the apartheid
government unbanned the ANC in the country so she came home and did her internship at Baragwanath
Hospital, in Soweto. Her journey in the medical fraternity led her to opening up her own practice in Orange Farm,
an informal settlement that had been created while she was in exile. Here Dr. Thandi saw first hand how terrible
living conditions were affecting the health of the community. She had heard that the government was eager
to help such communities with funding for homes so she tried to help the community secure such funding.

It was through this eagerness to help others that she found what would be her second
career - the world of construction. In 1997, she created Motheo, a company that would
go on to build over 87 000 homes and counting.

Dr. Thandi’s natural leadership qualities, tenacity, insistence on excellence and innate desire to be of service has
led to her being honoured many times over the years including being awarded the Business Women of the Year
Award in the Entrepreneurs Category among many other accolades. Her passion to empower those around her
especially young black women has left many lives changed for the better. She shared her gifts with the world while
challenging herself to try new things, like climbing mountains. In 2017, she went on a climb to Mount Everest Base
Camp, a feat that she adds to her long list of achievements in both her personal and professional life.

She has also summitted Mount Kenya (point Lenana), Mount Kilimanjaro (twice), and reached the Base Camp
of Mount Annapurna. In 2019 before her tragic passing she had planned to summit Machu Picchu, Peru. All of her
summits were in aid of her children’s foundation, as part of the Summit For Hope campaign.

Summit for Hope is the fund raising arm of the Dr. Thandi Children’s In support of
Foundation. To date (Oct 2019) 5 teams have summitted high mountain
peaks in a self-funded effort to raise awareness and support the Dr. Thandi
Children’s Foundation.

Post the tragic passing of Dr. Thandi Ndlovu, the message to all Motheo staff was clear:
• To protect her legacy:
• To pick up the mantle. As a staff team of 220 strong, and approximately 1000 waged labourers, we’ll never
fill the hole that Dr. Ndlovu leaves. Each staff member continues to be encouraged to do that little bit extra
to bridge some of the gaps left by her absence.
• To consider what Dr. Ndlovu would have hoped for we believe she would have encouraged team Motheo:
• To be strong,
• To keep going, and
• For Motheo to remain a shining light in the construction industry, an example of a Truly Empowered ,
South African company.

Every employee is important, regardless of the type of work that they do or the level
of their intelligence, together we compliment each other and complete a puzzle
of a successful business.

Ms Lettie Mashau was appointed by the Board of Directors of Motheo Construction Group, on the
9 September 2019, as the new Chief Executive Officer.

Ms Mashau has been a part of the Motheo family for 15 years. Ear-marked early on as Dr. Ndlovu’s successor,
Ms Mashau has been closely mentored by Dr. Ndlovu for many years. Having grown up in the township
of Malamulele, Limpopo, Ms Mashau joined Motheo Construction Group as a trainee site Quantity Surveyor
in 2005, having qualified with a Diploma in Building and Civil Engineering.

Showing integrity, determination and initiative in the work place, Ms Mashau took the opportunities offered
her by Motheo with both hands. She quickly rose through the ranks. She is a shareholder and Director at Motheo.
Prior to taking up the position as CEO, she held direct oversight of all Northern Cape, Mpumalanga, Limpopo,
North West, Free State and Pretoria operations. Lettie has served on the Motheo Board since September 2011,
which oversees the company’s national operations and strategic direction.

Ms. Mashau has time and time again risen the Motheo flag high. Her character and industry track record express
the culture, ethos and excellence that is Motheo. Whilst we all wish that Dr. Ndlovu was still with us, we know
that this appointment would have been her hope. We believe that this appointment honours her legacy.

The Motheo Construction Group head office is based in Randburg, Johannesburg.

Over the years, we have completed projects and contracts in all of South Africa’s nine provinces, and are
currently considering options in the Western Cape. Motheo remains flexible having successfully completed
